[转贴] 逾期申报股权交易 官有缘破3戒

官有缘近期内有3宗破此5%警戒线，且都逾期申报的股权交易。
（怡保11日讯）根据大马交易所条例，持股超过5%，就是大股东，买卖有关股权时，须在14天內向马交所申报。
虽然逾期申报而受对付的例子，在市场上鲜有所闻，不过本地著名的股市投资好手官有缘涉及3家上市公司的股权交易，却一而再、再而三犯此险境。
当事人、有关上市公司、股票经纪，谁应负起责任？当局会否采取行动？
大家都在紧盯着事件的发展。
大股东股权变更逾时申报 官有缘3交易引热议
拫据规定，买卖股票逾5%的大股东须在14天内向大马交易所申报，但我国有许多投资者可能在不知情下，没依规定申报交易实情，而当局是否会加强执法力度，对这些违规人士采取行动，引起市场关注。
其中极受关注的高调案例，就是在本地股票市场颇具盛名的投资者官有缘，近期内有3宗破此5%警戒线，且都逾期申报的股权交易。
这种违例事件，涉及投资者、上市公司、股票经纪，而哪一方须负起责任？
根据大马交易所列出的上市要求，大股东买卖股票，须在两个星期内向交易所申报信息。
大股东（Substantial Shareholder）在交易所的定义，是持有公司股权超过5%的股东。
《星报》今日也大事报道官有缘有关3起股权买卖的交易；涉及的3家公司是富佳木业（Focus Lumber，5197，主板工业产品股）有限公司、纬树（Latitud，7006，主板消费产品股）和威城（VS，6963，主板工业产品股）。
他在这3家公司的股权交易，除了富佳木业是成了大股东而逾时申报；另两家其实是由大股东变为小股东。
报道指官有缘在4月11日，因买进沙巴州的三夹板制造商富佳工业的6.71%股份（693万股），而成为该公司大股东，但这项信息昨日才公开。
有关公司表示在5月9日才获得上述通知。该公司今日报2.12令吉，起7仙或3.41%，成交量有227万2400股。
在涉及纬树的交易方面，官有缘之前在2014年10月买入5.01%股份成为大股东，最高时持股5.23%或508万股，但2015年11月杪减持，不再是大股东；但有关交易却在两个月后，即今年1月才申报。
官有缘拒绝评论
纬树今天没有交易，股票最后作价是5.55令吉。
此外，他也曾是威城的第三大股东，占有8.8%股份，3月18日至4月11日之间卖出4408万股，但在5月4日，即7周后才呈报。
威城今天以1.21令吉挂收，跌3仙或2.42%，成交量有620万8800股。
本报针对此事尝试联络官有缘，惟他拒绝评论。
陈金阙：不知情下触犯条规
专业财务规划师陈金阙今日在本报专栏指出，他和股票经纪朋友常针对“信息披露”的规定有所争执，其中就论及一名投资者若在不知不觉中触犯了交易条规，就是犯了商业罪行。
“若执法当局严厉执行条规，他可能面对被检举，进而遭当局处罚，如公开谴责、罚款，甚至坐牢。”
他指出，许多投资者不是对法律那么有认识，甚至不小心触犯了法律也毫不知情，如何能采取主动去通知当局他是无意犯错？
他所提出的疑问是，到底股东自己有义务要通知公司呈报，还是公司必须时时监督本身公司的股权，在出现新大股东或旧大股东与卖股到5%以下时及时向交易所呈报？
马交所和证监会指公司委员会应负责
《南洋商报》针对这项事件向相关监管单位提出咨询，大马交易所和证券监督委员会都把相关问题指向大马公司委员会，表示该委员会才是给予回应的合适单位。
马交所接到本报询问后，发言人表示：“有关股东向公司通知本身股权的条例，是公司条令第69E、69F与29G，因此，该事件是由大马公司委员会负责。”
“大马公司委员会是适合给予回应的监管单位。同时，你要询问证监会，究竟该单位将采取何种行动。”
当本报把马交所的回应告知证监会后，证监会发言人指出，大马公司委员会是处理有关事件的单位，要求本报向对方咨询。至截稿为止，大马公司委员会还未回复本报咨询。
官有缘简介
与3合伙人创设金务大
官有缘生于1933年1月6日，现年83岁。其父约100年前在吉隆坡怡保路开棺材店，小时的生活激发他勤奋向学，并获得公共工程局提供的奖学金，于1957年在吉隆坡现在的大马工艺大学（UTM）土木工程文凭课程毕业，后来也自修成为合格土木工程师。
1967年，官有缘与3名合伙人合作创设Mudajaya Construction私人有限公司与金务大（GAMUDA）私人有限公司，过后在1980年合并怡保花园（IGB Construction）私人有限公司、Jurutama Construction私人有限公司及MudajayaConstruction私人有限公司，以创办怡保工程（IJM Corporation）有限公司。他在1975年卖了金务大私人有限公司。
官有缘在1983年心绞痛，在手术后就辞去怡保工程执行董事一职，并学习投资股票赚钱。他在本地股市是颇为有名的投资者，有些散户甚至把他视为研究对象，跟随他的投资步伐。而他也经常不吝于分享投资心得，甚至开设部落格，公开其投资组合，是个很受股民欢迎的领导者。
官有缘除了乐善好施，也勇于针砭时弊，经常公开批评当政者的不当之处，希望民众能够突破国阵的强权，壮大反对党，遏制滥权的问题。

Hope he will be fine. If I'm him, will do the same....Ooppss.....maybe I will not share with other people if I found a gem so that will not get myself trouble in this situation. He's just too generous..

Just my point of view. No offense.
1. He is professional and "unawareness" is unacceptable. Now he is not professional with the actions. He should be fined.
2. He might not want to let others follow him blindly.
3. Those follow him to buy stock, have to blame themselves because of being a "follower". Be responsible to oneself, if you decide to "follow" those gurus.

Old man went around to tell people he was the founder of IJM and Gamuda, as though he responsible to groom those billion dollars construction firms. In actual fact, he sold them in 1970s when they were still Sdn Bhd

All ethical, dignity, fairness, law seems out of question to him. What he concern is making money. Donation could be part of his strategy to make him popular in the public so that he is able to attract more attention from Ikan bilis while promoting stocks.

Trap and mislead small investors maybe part of contribution to his today's success. I do not know and many do not know. Only he himself know. If that's true, he will get back what he has had done.
