Yes buy if u don't mind taking the risk of holding unlisted shares !!! And Yes, the Yeo family is using delisting ( automatic with no need EGM if >90% acceptance) to frighten small shareholders into accepting the share swap or selling their shares cheaply !!!

Offer extended to 20 September 2019, now 83% acceptance. If >90% very unfavorable for Dissenting Shareholders without any CASH or other reasonable alternatives under "Exit Offer" due to no need EGM for Delisting Application. No 'forced' compulsorily takeover by SHARE SWAP unless acceptance >97.37% on any final extended closing date (maximum till 7 October 2019). Also very likely YTLCorp and Yeoh family using friendly parties under proxies to buy cheap YTLLand shares by panicky sellers due to the impending Delisting in Bursa to assist them to get the >90% acceptance !!!

Please read Offer Document dated 4 July 2019 on pg 33 carefully under Duration of the Offer. (1) Not possible to revise offer after 19 August 2019 (2) Offer can still be extended from 30 August 2019 with at least 2 days prior notice (3) Maximum duration for acceptance if extended is till 7 October 2019. Our only hope for more reasonable offer is only under "Exit Offer" during the required EGM to approve the Delisting if Offeror gets less than 90% (Now is around 80%) !!! If >90%, very bad news due to no need EGM approval for Delisting and hence no reasonable cash or other reasonable alternative under "Exit Offer" as shares will be automatically delisted after following the procedures of Bursa Listing Requirements !!!

After rechecking with the Independent Advisor, Affin Hwang IB has confirmed that if Offeror get less than 90% acceptance by closing date on 30.8.19 or any extension period, under " Exit Offer" for Delisting Application, there will be a reasonable CASH alternative offer instead of the present lousy share swap !!! So don't let the Offeror gets the 90% or more acceptance at all costs !!!

To summarise potential outcome of Offer for easy understanding as follows (1) >75% <90% likely delisting after Offer expired subject to Offeror obtained Delisting approval in EGM. Those who do not accept shall hold delisted shares/ICULS from suspension trading date (2) >90% <97.37% Delisting but Dissenting Holders able to require Offeror to acquire their holdings at same terms in offer. Those who do not exercise their rights under S223/224 CMSA shall hold unlisted shares/ICULS (3) >97.37% compulsorily acquisition meaning all shareholders compulsorily 'forced' to accept offer by share swap

According to Independent Advice Circular pg 53, if Offeror, YTLCorp get >75% but <97.37%, only likely Delisting but no compulsorily acquisition under S222(1) of CMSA ! Is this what pg 53 meant ?

Own YTL group of companies not doing well both financials and price wise, how n why need to help others ?

If can, change the whole BOD due to not so good financial performance and poor management !!! Employed professionals to run the company !!!

Although record low share price now with no dividend for a long time is shit due to poor management but this company still got a lot of valuable precious properties !!! So don't give up n sell cheap to those rascals cum blood suckers and don't accept the ridiculous share swap offer !!!

What rubbish by the Independent Advisor ie. Affin Hwang IB !!! On 3 May 2019, its research dept set a price target of only RM0.70 for YTLCorp but in the Independent Advice Circular, the estimated fair value of YTLCorp now jumps almost double to RM1.38 for share swap evaluation purposes !!! Why so much difference even though they may not be exactly the same thing ?

Too bad over 75% even before seeing the independent advice due mainly to Yeoh's proxies, to see next threshold at 90% whether achieved or not !!!

Why negative comments plus complaints ? Do u know that both YTLand n its LA will soon force to be delisted whereby they cannot be traded anymore ? The only alternative for them to remain tradeable is to swap them cheaply at a ridiculous swap ratio for YTLCorp shares which only benefit mostly the Yeoh family !!!

As for any listed company facing funding issues for working capital purposes or expansion purposes, it needs funding whether by PP or rights issue if banks are not willing to give further loans. All these PP or rights issue are dilutive in nature but it may be a necessary evil for longer term survival or future growth of the company. Therefore it is important to know the objectives and purposes of the PP or rights issue whether it is for productive purposes or not before deciding whether it is good or not for the company and shareholders especially on a longer term basis !!! The PP circular should explain why the PP is needed in this case !!!

Although the PP is dilutive but in longer term, it should improve the financial health of the company !!!

Still awaiting for the independent advice from Affin Hwang IB for comments on the takeover offer with a detailed analysis of YTLLand's financials/assets versus YTLCorp and its recommendation !!!

To clarify matters, takeover offer price for the YTLLand-LA is 32 sen (still very low) not 28 sen but the share takeover exchange ratio is 1000 YTLLand-LA to 280 YTLCorp shares resulting in many small shareholders having odd lots problems !!!

Yes agreed MSWG has so far done nothing much to assist Minority Shareholders in many cases of controlling shareholders bullying/taking advantage of Minority Shareholders in Bursa !!! ie. NATO !!!

First time ever in Bursa that a takeover target ie. YTLLand with its price dropped to all time record after takeover announcement !!! Can only happened under YTL group !!!

Can also call the Share Registrar to confirm. If can, also get them to email u the CONVERSION FORM provided they already drafted it out as the conversion on a 1 to 1 basis without any further payment can only be done from 28 November this year !!! ( note : no further payment is needed as this PA (convertible preference share) is already fully paid and issued at 80 sen and the conversion price is also 80 sen to convert to ordinary share, therefore no need further payment for conversion)

Same procedure as buying YTB ordinary shares as its PA is also listed in Bursa !!! BTW, YTB-PA is not a warrant ( warrant is not even ordinary share as yet) as it is a convertible preference share which is rank higher than ordinary share in term of safety and priority !!!

The nasty & unfair takeover offer by YTL not only killed the interest payable to YTLLand-LA Holders till maturity but also destroyed the convertible time value element of the LA which is supposed to be matured/expired only in October 2021 !!!

If this bloody con job is beneficial, both YTL & YTLLand's prices should be up not further down after takeover announcement !!!

Besides complaining to SC, Bursa, MSWG etc, it can be even more effective if we minority shareholders formed protest group to protest to both the BOD of YTL & YTLLand. Please ensure u know the difference in this case between Yongtai-PA which is a fully paid preference shares which do not need any further payment for conversion and Yongtai-WA which required additional payment of 50 sen for conversion/subscription !!!

U don't need to pay anything when converting the PA to share on a 1 to 1 basis from 28 November 2019 onwards as 80 sen conversion price already fully paid as PA nominal value is also 80 sen !!!

Yes Yongtai-PA is still a bargain now at a prospective attractive conversion discount of around 30% !!!

Doesn't make sense, now TP is 38sen but after proposed PP at 36 sen, TP reduced to 25sen !!! How to derive at 25sen as after PP, the company should be at much better financial health n hence more stable or even better price level ( unless PP is assumed to be priced at 25sen or below which is unlikely at the moment) !!!
