My EGM questions send out yesterday.
What will capitalA BOD answer on:
Question 3: BOD, with such a good deal will Capital A chief executive officer Tan Sri Tony Fernandes put money where his mouth is by converting his holding in RCUIDS into CapitaA shares?

And AAX WYNCORP Independent Adviser answer on:
Question 5: WYNCORP Independent Adviser how to justify paying RM 3 billion for AAAGL that is still PAT negative, shareholders’ deficit of RM (4,515,397,000) and with total borrowings, debentures and lease liabilities of RM 9,638,715,000 to be fair and reasonable when Mr. Market only valued the whole of CapitalA at RM 4.049 billion as at 27th Sept 2024?

Add in addition 2 questions:
Projection risk
“The AAAGL Purchase Consideration and AAB Purchase Consideration were arrived at after taking into consideration, amongst others, the range of valuation for the entire equity interests in the Target Companies based on the valuation undertaken by Deloitte. In arriving at the valuation of the Target Companies, the Valuer has considered a number of valuation approaches and adopted the DCF method of valuation as the primary method for the valuation of the AOCs, namely AAB, TAA, PAA and IAA using the 5-year financial projections of the said AOCs from 1 January 2024 to 31 December 2028 together with the underlying bases and assumptions.

Question 15: Deloitte, what are the projected: Net cash generated from operating activities, repayment of borrowings, debentures and lease liabilities for each of the 5-year financial projection of the said AOCs from 1 January 2024 to 31 December 2028?

Question 16: BOD since the valuation is based on 5-year financial projection and to eliminate the projection risk should BOD get a 5 years contractual guarantee that capitalA will reimburse AAX on any shortfall to the projection?

7.6.4 Goodwill and impairment risk
“The Proposed Acquisitions are expected to give rise to goodwill to be recognised, the amount of which will depend on the fair value of the Target Companies’ identifiable assets acquired (including any intangible assets identified) and liabilities assumed upon completion of the Proposed Acquisitions.

The identifiable assets and liabilities of the Target Companies will initially be recorded in the New Aviation Group’s books at their provisional fair values as at the acquisition date pending the conclusion of a purchase price allocation exercise in accordance with Malaysian Financial Reporting Standards 3 Business Combinations. Although a preliminary assessment has been conducted, the final outcome of the purchase price allocation exercise cannot be ascertained at this juncture. Any fair value adjustment to the identifiable assets and liabilities arising there from may affect the goodwill and financial position of the New Aviation Group. In addition, any impairment on the carrying amount of the investments in the Target Companies (including any goodwill and intangible assets arising from the Proposed Acquisitions) and amortisation of
any intangible assets identified from the Proposed Acquisitions may affect the financial performance and financial position of the New Aviation Group.

For illustrative purposes, as set out in the pro forma consolidated statement of financial position
of our Group as at 31 December 2023 in Appendix VIII of this Circular, the goodwill and intangible assets upon completion of the Proposed Acquisitions are RM10,090.74 million and RM2,430.84 million respectively, based on the assumptions and parameters stated therein.

Lowest unit cost airline in the world. Management is very ambitious, cost conscious and forward-thinking.

Is capA after paying lease payment to lessors, will it be one of the most highest unit cost airlines?

Group’s YTD net cash from operations doubled YoY to RM2.1 billion.
Cash flow from financing activities
Repayment of lease liabilities RM (1,792,676,000)

CapA is too good to the lessors and still paying lessors RM (100,343,000 + 76,568,000) for non operating aircrafts in Q2 ended 30/6/2024.

As at 30/6/2024
RM'000
Net current liabilities (13,478,846)
Total equity (11,244,436)
NTA RM (2.12)

Current lease liabilities RM 5,510,697,000

Can capA generate enough cash flow to pay the current lease liabilities?
Luckily revenue bond come to the rescue. So that capA can live to fight for another day
