Sell if earning will drop and buy back when the earning will increase

And if that stock earning will depend on commodities price then monitor the commodities price trend

Mr Lee Soon Sheng, a shareholder mentioned that he intends to mobilize not less than 50 shareholders to send in requisition to move and vote on resolution requiring special notice under Section 322 of the Companies Act 2016 at the 57th AGM of INSAS :
To approve share distribution on the basis of one (1) Inari Amertron Berhad (“INARI”) (Company
No. 1000809-U) share for every two (2) existing ordinary INSAS shares of RM1.00 held in the Company.

His reasons for doing so are:
(a) To boost the INSAS share market price above RM1.00 so that warrant holders have the opportunity to convert their warrant with payment of RM1.00 into INSAS share
and at the same time receive the INARI share distribution rather than total losses if warrants expired on 25/2/2020 out of money. By so doing INSAS will receive RM265,202,536 and can utilize half of the sum to redeem the RPS.

(b) Reward the existing shareholders by distributing the INARI share to them and make it less tempting for big shark to make a hostile take-over.
Will the Board support the resolution? If NO what are the reasons for rejecting the resolution?

Board answer:

Based on the current depressed market conditions, the Board will not support such resolution as the Board believes that the distribution of INARI shares by way of dividend in specie or otherwise to all INSAS shareholders is not in the best interest of the Company.
Reasons (amongst others):
(a) for prudent management, INSAS needs to retain adequate reserves to weather any potential unforeseen deterioration in the market conditions, and to position the Group for future growth and any good investment opportunities which may arise during this downturn;

(b) pursuant to the Companies Act 2016, a company may only make a distribution to the shareholders out of profits of the company available. As of 30 June 2018, the available profit of the Company is RM22.0 million only; and the priority of the Board is to retain sufficient available profit to redeem the RM132.6 million RPS which are due to mature in February 2020;

(c) INSAS has more than 26,000 registered shareholders and the share distribution will create a large free float of INARI shares in the market, and the increased liquidity will likely depress further the market price of INARI; and

(d) INARI contributes a significant annual equity profit and cash dividends to INSAS.

I wrote in my 2013 New Year Sharing: Have you ever wondered what life is about?
I recalled watching a TV program: The Journey of Civilization. The guest speaker said,

“From Confucianism, (Ruler has ruler responsibility, subject has subject responsibility, father has father responsibility, and son has son responsibility.) I learn to take on responsibility. (拿得起)

From Buddhism, (Things are in flux never still. It’s begins from emptiness, will end in emptiness and reemerge from emptiness. Life is cycles of birth and death until Enlightenment and Nirvana.) I learn when to relinquish my responsibility and let other take over. (放得下)

From Taoism, (Heaven and Earth are one. Nature and Man are one.) I learn to live with nature, at peace and at ease with myself and others.” (看得开)
How beautifully and elegantly this speaker summary what life is about?

As Chinese Malaysian we were brought up with the influence of Confucianism, Buddhism and Taoism which are more about philosophy, spirituality, way of life and tradition belief/practices than religion.

After we sign the S&P, we have to get shareholders’ approval, which will take a couple of months, and then court approvals for capital reduction and then relist it, and then we hope to raise US$300 million or US$400 million of equity.

Will AAX price fall into penny stock then when the court approvals for capital reduction and then relist it, and then we hope to raise US$300 million or US$400 million of equity?

Petrochemicals had historically been an exception to Beijing’s general push to be self-sufficient in basic materials, but the new plants being built by Rongsheng, Hengli and even offshore players such as BASF SE are changing that picture. As a result, traditional trade deficits in most downstream oil derivatives are turning into substantial surpluses:

A crucial question for the direction of the global climate is how the rest of the world now responds. Executives running petrochemical facilities outside China are facing glutted markets erasing their profit margins. The EU in November imposed anti-dumping duties on Chinese products made from PET, the type of plastic derived from polyethylene that’s widely used in bottles.

In Europe, competition from the influx of low-cost Chinese products in recent months has been an issue for chemicals producers on a par with the disappearance of cheap Russian gas as feedstock. “We see imports from China coming in, in an order of magnitude like never before," BASF chairman Martin Brudermüller told an investor call last month.

Right now, plants outside China are still holding on and pumping out products at a loss, in the hope that global consumption of plastics will eventually catch up. There’s no guarantee when, or even whether, that happens. Should the global chemicals sector capitulate to the tidal wave of polymers flowing out of China and shut down, 2024’s demand surge might look like oil’s last gasp, before decline and fall set in.

Steel futures extended their slump and fell to CNY 3,330 per tonne in April, the lowest since March 2020, as persistent pessimism over the health of the Chinese property market sustained a poor outlook for ferrous metals. The developments were lastly underscored by grim corporate results for key property developers, with Vanke reporting a 50% slump in their core profit for 2023, while debt-ridden Country Garden delayed the publication of their report. Additionally, industry data showed that the value of new homes from the 100 largest Chinese real estate companies plunged by 46% in March. Poor consumer demand for new homes drove constructors to slow the purchasing of ferrous-metal-intensive construction material, driving stocks of iron ore inputs in China to surge to a one-year-high of nearly 130 million tonnes.

Will AAX's BOD be considered as commiting the below offend if they take on capA aviation's assets and liabilities knowingly very well that after the merged AAX most likely will default in debts repayment? (Need another round of debts restructure, capital reduction and shares consolidation)

The Companies Act 2016 (“CA 2016”) codifies a general duty on directors’ conduct of trading in a company close to the point of insolvency and any potential liabilities on that account. In broad terms, ‘insolvent trading’ may also be referred to as ‘wrongful trading’ and ‘fraudulent trading’.

Wrongful Trading
In the CA 2016, an offence of wrongful trading is captured in section 539(3) that:

“…an officer of the company who knowingly was a party to the contracting of a debt had, at the time the debt was contracted, no reasonable or probable ground of expectation, after taking into consideration the other liabilities, if any, of the company at the time, of the company being able to pay the debt, commits an offence…”

Fraudulent Trading
Whereas section 540(1) of the CA 2016 stipulates an offence of fraudulent trading as below:

“If it appears…that any business of the company has been carried on with intent to defraud the creditors of the company or creditors of any other person or for any fraudulent purpose, the Court may declare that any person who was knowingly a party to the carrying on of the business in that manner shall be personally responsible…”

If an offence under section 539(3) has been made out, offenders may be punishable with a maximum imprisonment of 5 years or a maximum fine of RM500,000, or both. Reading together with section 540 of the CA 2016, it is added that the offender may even bear personal liabilities for the payment of the whole or any part of the company’s debt without any limitation of liability upon a court’s declaration

Question 1: Why only present the positive; Group (“EBITDA”) of RM462 million in 2Q2023 and Group operating cash flow over RM1 billion to general investing public and IBs analyst but omitting to state that under MFRS 16:

(i) On the Consolidated Income Statement, expenses which were previously included under aircraft operating leases will be replaced by finance costs – lease liabilities and depreciation of right of use asset;
(ii) On the Consolidated Cash Flow Statement, operating lease rental outflows, previously recorded within net cash flow from operating activities, are classified as “net cash flow used in financing activities” for repayment of principal of lease liabilities.
