To be fair Dato' Sri Thong and BOD is building and accumulate wealth into Insas. They need to relearn beside accumulate wealth into Insas also need to share the Insas wealth with Insas shareholders.

Looking forward listing of Melium Group and more Dome cafe.
Retail trading
During the financial year, Melium Group’s sales have improved considerably to almost pre-Covid level for many of the brands Melium carries. In FY 2023, Melium Group posted a net profit of RM15.4 million as compared to RM2.5 million in FY 2022 as its business continued to improve basing on the numbers of inbound tourists from China are encouraging.

Aetherium Acquisition Corp (“Company”) (Nasdaq: “GMFI”) was granted the extension until November 20, 2023 to regain compliance with Nasdaq’s continued listing rule as it relates to the failure to timely file its Quarterly Report on Form 10-Q for the Quarter-Ended March 31, 2023, and June 30, 2023.

CapA was granted the extension until 31 Dec 2023 to submit PN17 regularisation plan, failure to do so will subject capA to suspension and delisting.

So GMFI and capA must be a perfect match make in heaven as both are in danger of delisting.

You must differentiate what is liquid and illiquid assets and how many % controlling shareholder and PAC is holding.

If controlling shareholder already hold more than 50% like in MUI case then minority shareholders have no chance to unlock value since controlling shareholders is in total controlled.

Insas case is different liquid assets Net Financial assets: RM 1,418,421,000 and Insas still hold 537,008,575 inari share (one of Insas associate company) and 1,215,718,665 M&A an effective holding of 60.83% subsidiary company of Insas.

The controlling shareholders Dato Sri Thong and PAC only officially hold 32.96%. So in theory if anyone have a deep pocket he can accumulate insas share from open market to wrest control from Dato' Sri Thong and become the new controlling shareholder and unlock Insas value.

Insas is a public listed company as you can buy and sell Insas shares in open market. This is fact and Dato' Sri Thong and PAC officially only owned 32.96% is also a fact and Insas cannot do further SBB as this will trigger 33% MGO threshold is also a fact.

Insas Net Financial assets:RM 1,418,421,000 is also fact as it is subject to yearly audit.

Insas still hold 537,008,575 inari share (one of Insas associate company) and 1,215,718,665 M&A an effective holding of 60.83% subsidiary company of Insas.

What I trying to say is Market can never be efficient, that is why we are here to take advantage of market inefficient. But remember market can be irrational longer than you can remain solvent.

Referring to Insas EGM key matters discussed: The rationale for the RTO exercise is to unlock the value of Insas’ investment in M&A Securities by monetizing and securitizing the shares in M&A Securities via SYF. This will enable M&A Securities as a separate listed entity under SYF:

Insas is unbelievable undervalued and Insas can't do SBB unless
(i) the shareholdings of Dato’ Sri Thong and PAC reduce to a level which allows such Share Buy-Back scheme to be undertaken; or
(ii) Dato’ Sri Thong and PAC seek and obtain waiver of MGO from the shareholders and relevant regulatory authorities.
Any SBB will trigger the 33% MGO threshold. Currently Dato' Sri Thong and PAC hold 32.96% Insas.
By the way any stock raiders are welcome to make a raid on Insas and take over insas from Dato' Sri Thong.

If no financial institution wants to lend money to jaks maybe can consider borrowing from Insas credit and leasing.

ICL reported lower revenue of RM25.5 million and pre-tax profit of RM15.9 million in FY 2023 (FY 2022: revenue of RM30.9 million and pre-tax profit of RM22.3 million) from its structured finance business due to a lower loan portfolio of RM281 million as at 30 June 2023 as compared to RM306 million on 30 June 2022. ICL’s revenue and pre-tax profit returns remain fairly consistent in line with the level of its loan portfolio.

Everyone know Jaks Q3 and Q4 outlook as below except Mike-tikus aka Johnchew1-5 still promoting Jaks day and night 24/7/365 with his half past six FA and TA.

Since jaks granted 70,500,000 ordinary shares (“LTIP Shares”) SG. Share grant on 10 july 2023 hence RM12.69M of LTIP expenses will only be charged to Q3 2023 under other operating, administrative expenses.
Hence Q3 2023 NP will be Q to Q drop

Based on past 4 years norm jaks Q4 2023 another Q to Q drop due to impairment on trade and other receivables and impairment loss on goodwill.

Both Brand AA and Fleet Consolidated are newly formed subsidiaries and do not have any revenue.

Brand AA is a brand management company. It is the registered proprietor for all the rights under the AirAsia brand.
Under a master brand licensing agreement dated May 31 this year, Brand AA has the right to collect royalty fees from AirAsia Aviation Group Ltd, Capital A’s aviation division.

Fleet Consolidated, meanwhile, will primarily be responsible for the procurement and delivery of the requisite aircraft for the aviation group based on the agreed allocation plan.

The proposed deal is to merge CAPI with Aetherium Acquisition Corp (NASDAQ: GMFI), a Special Purpose Acquisition Company (“SPAC”) listed on the Nasdaq stock exchange for an indicative equity value of United States Dollars (“USD”) 1 billion based on an independent valuation of the AirAsia Brand.

Capital A International intends to generate revenue from brand royalty and the leasing of aircraft. Additionally, it will be involved in tactical acquisition, incubation and partnerships to provide platforms for entrepreneurs.

If this is the case GMFI will be a subsidairy company of capA

The question without cash injection how to solve capA PN17 status?

Can CapA do a debt restructure by paying creditors with GMFI share?
Or if capA sold the huge block of GMFI share for cash then GMFI most likely will drop into penny stock and capA will lose the royalty fees income to GMFI

Anyway capA by that time most likely already dispose capA aviation to AAX.
