S P Setia also announced it is selling a freehold plot in Setia City, Selangor, for RM228.8 million, cash.

It is selling the 17.99-acre plot to a subsidiary of KSL Holdings Bhd as part of its strategic plan to monetise some of its identified land banks, especially those not planned for immediate development. Can anyone share what is Maybank IB Research aviation analyst Samuel Yin Shao Yang new forecast on core net profit for FY 2023 and FY 2024 to come out with reaffirmed a "buy" call on AAX with a lower target price of RM3.40 (previously RM3.56)?

Previously: In a note on Thursday (July 27), Maybank IB Research aviation analyst Samuel Yin Shao Yang said that moreover, AAX is now effectively debt-free.

He forecast record core net profit of RM160.1 million for FY2023 and RM256.5 million for FY2024.

TAAX recorded a net proft of RM749.17 million in the current quarter. As at 30 September 2023, the unrecognised amount of the Group's share of loss of TAAX which have not been equity accounted for amounted to RM140.28 million. In accordance to MFRS 128, any profits will only be recognised when its shares of the profits equals the share of losses previously not recognised.

Did maybank analyst know that TAAX need to acheive another net profit of RM 140.28/0.49 = RM 286.28 million to clear the balance Group's share of loss of TAAX which have not been equity accounted for amounted to RM140.28 million before any share of TAAX profit?

Yes Stony overcharged AAX, JV partners: AA Phillipine, AA Thailand, AA Indonesia, AA Japan and AA India (profit transfer from JV to capA) to pay dividend to capA shareholders mostly to himself.

Stony is now trying to do the same profit transfer from CapA aviation to Capital A International shall be made up of Brand AA Sdn Bhd and Fleet Consolidated Pte Ltd
Both Brand AA and Fleet Consolidated are newly formed subsidiaries and do not have any revenue.

Brand AA is a brand management company. It is the registered proprietor for all the rights under the AirAsia brand.
Under a master brand licensing agreement dated May 31 this year, Brand AA has the right to collect royalty fees from AirAsia Aviation Group Ltd, Capital A’s aviation division.

Fleet Consolidated, meanwhile, will primarily be responsible for the procurement and delivery of the requisite aircraft for the aviation group based on the agreed allocation plan.

By the way what is debt of RM 40 million in 2001 compare to what Stony facing now?

- Give a fairer, equitable and better yearly dividend
- Distribute portion of the retained earnings to shareholders in the form of special dividend
- Implement a dividend policy to proactively narrow the gap between Insas’ share price and Insas’ Net Assets Per-Share of RM 3.53 as at 30/6/2023
- Will Y.A.M. Tengku Aishah, Dato’ Wong and Dato’ Dr Tan please kindly give support to Insas by buying more Insas shares from the open market since all of you are not persons acting in concert (“PAC”) with Dato’ Sri Thong Kok Khee?

I am hopeful that my questions will be brought to BOD for discussion during the Board meeting on the quarter ended 30 Sept 2023 financial result and BOD will consider doing what is right and fair to reward the shareholders.

I am very sad and disappointed that BOD only gave a mere dividend of 2.5 cents despite my fair and reasonable reasoning for a fairer/better dividend and moreover as at 30/9/2023

My additional AGM questions to Chairperson Y.A.M. Tengku Aishah:

Question 1: Since the Chairperson is primarily responsible to provide leadership at Board level and represents the Board to the shareholders. Will Y.A.M. Tengku Aishah provided the needed leadership to the Board and for the best interest of shareholders and company revised the dividend amount, give a special dividend and formulate a dividend policy?

Question 2: Is the current BOD free to make decisions on dividend, special dividend and dividend policy or is BOD still taking instruction from controlling shareholder Dato’ Sri Thong Kok Khee?

Question 3: If the current BOD lead by Chairperson Y.A.M. Tengku Aishah is free to make decisions on dividend, special dividend and dividend policy then will BOD please decides on the spot at this AGM to revise the dividend amount, give a special dividend and formulate a dividend policy?

KUALA LUMPUR: Maybank Investment Bank Bhd (Maybank IB) has slashed its earnings estimates by 16 to 29 per cent for AirAsia X Bhd following a dissapointing second quarter ended June 30, 2023 (2Q2023) results showing.

The research unit said the earnings estimates were imputed on the basis of increased passengers in financial year 2023, higher user charges as well as higher aircraft leasing expenses.

AAX swung from 1QCY23 core net profit of RM42.5 million to 2QCY23 core net loss of RM33.8 million as it had to lower fares by 32 per cent quarter-on-quarter (QoQ) to attract passengers during the seasonally slower 2QCY23, and maintenance and overhaul (M&O) expenses surged 82 per cent QoQ to RM115.8 million as more aircraft returned to service.

"Going into 3QCY23 and 4QCY23, AAX stated that passenger demand and fares are trending higher as we expected and M&O expenses will moderate to RM90 million per quarter.

Construction of a FPSO for the ONGC NELP Block KG – DWN 98/2 Development Project Cluster-II field (“Field”) located on the east coast of Kakinada, offshore India (“98/2 Project”) for Oil and Natural Gas Corporation of India (“ONGC”)

The Group holds a 30% interest in associates involved in the 98/2 Project. Since December 2022, the FPSO has been hooked-up at the Field, is ready to commence acceptance tests and is waiting for the provision of hydrocarbons by ONGC (“First Oil”). The provision of First Oil is crucial to enable the FPSO to conduct the necessary acceptance tests to achieve final acceptance.

The construction of the FPSO for the 98/2 Project was mainly funded by a USD930.0 million bridge loan facility (“Bridge Facility”) made available by a syndication of lenders (“Bridge Lenders”). The Bridge Facility was intended to be refinanced by long term project finance. The Bridge Facility had a maturity date of 9 June 2023 with a five-business day grace period for payment i.e. 16 June 2023 (“Bridge Repayment Date”).

Despite having successfully executed a Facility Agreement dated 13 April 2023 for a project financing facility of USD948.0 million (“Project Facility”) from a syndicate of project finance lenders (“Project Lenders”) and fulfilling a majority of the disbursement conditions, the associate was not able to provide a final acceptance certificate for the FPSO (being one of the Project Facility disbursement conditions), by the Bridge Repayment Date, due to the delay in being able to conduct FPSO acceptance tests which is due to delay in provision of hydrocarbons by ONGC.

On 6 September 2023, the associate successfully achieved financial close under the Project Facility. The disbursement proceeds from the Project Facility have been utilised to fully repay the Bridge Facility.
