Well you could look at it differently. The company valuation was made back in 2017, and the profit guarantee provided for FY2019 was RM20.5mn back then, which has now increased to RM25mn - which ineffectively translate to ~RM45mn going on the same P/E. In other words, the prospects or earnings of the business improved - thus valuation is higher. Come on, if it's a public listed company, the share price would have run up if the earnings improved or expect to improve, and you would pay more for the shares 1 year later, right? Pure logic and immature analysis.

That said, I do agree with the article that profit guarantee should be paid based on the purchase consideration adjustment rather than just purely shortfall in the earnings, which favor the seller

On PUC's ability to repay, I think it's not fair to look at just Sep '18 cut-off on their cash position, because the business has did a few placement and also conversion of the LA if I recall the last few months. Which has ineffectively help to build the war chest. Conversion of the WA/WB this month would be helpful to build up the cash buffer further.

And on CCC pocketed money? First the deal is not done, so he hasn't (and he's not getting all the money). If he really want to pocket more, I believe he could have just list the business separately or sell it to MNC and pocket at even better valuation than 9x multiple he's getting now. That said, I believe he's smart enough to think of building his credibility as a young company and focus on the business, he will be much better off if the business takes off in future to be a billion dollar market cap - rather than what you all claim pocketing money & screwing up his own future... sonyx123, well said... if he want to cash out, he can get buyer from China or HK at much higher valuation...or just listed at HKSE.
No need to handle this sinking PUC, but he has inherit it from his late brother... He has strong sense of obligation to make PUC Shine again... that is why you see him injecting his own baby PW into PUC to make PUC stronger Financially...

PUC aside, i must agree for asian businesses, the company is more than just a money vehicle. for asian, the company is a "home" for the family, something that is preserved for generations to come. this is very dissimilar to the american corporate culture that we read and watch else where.

Thank you for the add on ran777rpt & cytew, not forget sonyx123. The 2 sides of one that against PUC AND one with PUC.

TODAY was a good day for KLCI. Most stocks have rallied including small & big caps. Except PUC.

I still need to see the " promised" earning of PUC. C3 yet to show us PW worthy of acquiring. The interesting component of PW is the face recognition tech. I read this tech will be big in securities. How big...contributed from PW, yet to know.

I'm anticipating the profit guarantee to materialise, hopefully soon.

I think the operator is trying to collect back the shares offloaded at 12 sen to 13.5 sen last week. I also queued buys at 10 sen and 9.5 sen today. But nothing done. lol.

I have already mentioned their so called O2O is a old concept. Now you mentioned groupon i finally recall it was the groupon concept. Last time we print out the paper and redeem at shop. This one is just digital form. Nothing new. Why groupon fail last time is because alot of people go to the shops, and show them the offer, and the shops willing to give them the same offer and bypass groupon. The shops dont even need to pay the additional fee to groupon. So now on presto, i could just go to the shops, ask the shops to give me the same discount. The shops dont even need to fork out additional cashbank.

Asiabio is fintec? If yes, then prince4, you know puc business model already. They are not really the first one on O2O... fintec portfolio has one that way before already have that. I was tracking that co previously. People dont research hard and just based on hearsay to invest.

My banker friends who follow technology sector told me this... whoever advising the boss should be shot. They mess up the steps/things to do big time, in term of the timing to execute corporate restructuring and acquisition.

Can’t deny that the pictureworks profit guarantee may be solid and genuine and can give a lift to the bottomline. But the profit guarantee may have to use to cover the potential impairment of the investment in the marketplace. Marketplace is a burning money game. This company doesnt have the bullet to go big on the marketplace. You just look at the singapore listed co which run shopee.

As always, do your own homework first and then invest within your own mean.

Well, there is no one sure win formula one, strategies/action that are taken are based on the circumstances.

So long it serves the intended agenda of those who undertake these strategies then it is consider good. Perhaps there are some behind the scene story why share consolidation was not taken prior to the acquisition.

For commoner like us, the only thing we can do is to research and study properly of the intended investment we want to take.

Please understand the accounting term... impairment of assets/investments and try to understand how it works. And also try to understand how the recognition of investment in associate company works.

If they recognise the investment as other investment, this will subject to impairment test annually.

If they recognise the investment as investment in associate company, they will have to account for fhe share of profit/loss of the result of the associate company. If not mistaken, i saw they recognise the pictureworks and 11street as investment in associate companies.

Try to read more annual report. There are some counters in the tech sector being dragged down bu their invest in associate company.

Last year 11street losing about Rm129 million (average RM11 million per month).

Based on simple calculation, RM100k for 10% stake, the monthly loss is RM1 mil.

From RM11 million loss per month to RM1 million loss per month now... woah... they must have done a superb cost cutting job in there for such a short span of time.

" The Group’s investment in its’ associated company, Pictureworks Holdings Sdn. Bhd., contributed profit of RM3.20 million in the period under review. However, this is offset by the loss arising from the Group’s investment in Celcom Planet Sdn Bhd of RM0.40 million during the current quarter"

If you calculate the losses, total monthly loss from 11street was 1.33mil per month in last qtr (assume 10% owned by PUC)... which is not far away from cytew comment...

Yes, you are right. PUC management has done superb cost cutting cost on 11street after they taking over the management in less than few months, proven by the QTR... Furthemore, despite the aggressive cost cutting on 11street, the users traffic on their site are actually rebound after decreasing for few continuous months....

If it is really only RM100k still not too bad. 2018 accounts should only take some small impact since they take over maybe like in july onwards.

Problem is from RM11mil to RM100k per month, is it doable or not? They must have the midas touch to turn it around in a so short time. If the cost cutting measures in fact really works, is it at the expense of the sales like cutting marketing cost (sales down), down sizing or retrenching staff (any compensation? Who will help to fill up the role?).

Marketplace is never easy. Even if you want to sell you need to reach a certain critical mass only then people may look to buy over.
