One of their subsidiary company is doing e-commerce stuff called jvbuyer thing. Currently infant stage, might have potential in future but still a lot to catch up compare to Groupon or Livingsocial

Digista into property development?

The Board of Directors of Digistar wishes to announce that the Company had on 16 July 2012 entered into a Share Sale Agreement (“SSA”) to acquire the remaining 100,000 ordinary shares of RM1.00 each (“Sale Shares”) representing 40% of the total issue and paid-up share capital of Seni Pujaan Sdn Bhd from Lee Poh Chau (the “Vendor”) for a cash consideration of RM13,000,000.00
(“Proposed Acquisition”).
Upon completion of the Proposed Acquisition, SPSB will become a wholly-owned subsidiary of Digistar.


SPSB is a property developer. On 12 October 2010, SPSB entered into a joint venture agreement with Yayasan DMDI “DMDI” to undertake a commercial development project on all that piece of leasehold land held under H.S. (D) 64114, PT 15, Kawasan Bandar XXVII, District of Melaka Tengah, State of Melaka and all that piece of leasehold land known as PT 20, Kawasan Bandar XXVII, District of Melaka Tengah, State of Melaka, dubbed ‘The Heritage’.
Under the said joint venture arrangement, DMDI, being the landowner of the said leasehold lands, agreed to appoint SPSB to undertake the entire development and implementation to construct the buildings on a “turnkey design and build basis”, including but not limited to preparing the site layout plans, preliminary sketch designs, architectural drawings, structural drawings, service drawings and all other detailed plans and drawings as may be necessary for the proper construction and completion of the construction works and also to obtain necessary approvals from the relevant authorities and completing the works, at SPSB’s own costs.

On 28 April 2011, Digistar ventured into the property development sector via the acquisition of a 60% equity stake in SPSB. The said property development project engaged by SPSB was launched on 18 October 2011. The project involves a commercial development comprising 250 serviced suites and 11 units of retail shops with an estimated gross development value of RM150 million. The completion date for the project is expected to be in 2014.
‘The Heritage’ is located in the city of Melaka, which was listed as a UNESCO World Heritage Site in 2008, and is at the intersection of Jalan Merdeka and Jalan Parameswara, Melaka. Some of the envisaged facilities include cafeteria, gymnasium, multi-purpose hall, meeting room, WiFi and internet access and 24-hour security services. ‘The Heritage’ will be managed similar to a luxury serviced accommodation where owners can lease their units for long or short stays.

there is an article in the star on june 28 on digista getting the CSM contract etc which digista denied on bursa announcement. PETALING JAYA: Digistar Corp Bhd, which transfers its listing status to the Main board of Bursa Malaysia today from the ACE market, has obtained a licence to install central monitoring systems nationwide for specific public and private sectors.

The new business, which is expected to kick-off by the end of this year, will be an important stream of revenue for the company, which currently generates the bulk of its earnings from providing telecommunications, broadcasting engineering and Internet protocol television (IPTV) services to various sectors including health and education.

Digistar was expected to make an announcement on the matter soon, sources said.

Currently, there was a handful of companies which provide such security services locally but Digistar's services would supposedly go beyond the traditional security systems provided by such firms, sources said.

Meanwhile, Digistar broadcasting engineering division, which is its main revenue generator, is expected to be active in the coming quarters with the company recently saying that it will be submitting bids for jobs worth RM2bil to RM3bil.

This is in line with TV networks and production facilities in Malaysia making the transition from analogue to digital television broadcasting before the international 2015 deadline.

Under the 10th Malaysia Plan, the Government has allocated RM2bil for local TV stations to transform their analogue systems to digital and Digistar is expected to capitalise on this.

Digistar said recently that it would set up offices in Asia to ride on the opportunities in the region where only Hong Kong, Japan, South Korea and Singapore had reportedly converted from analogue to digital transmission in line with international rulings.

Its IPTV segment, the company plans to increase the division's contribution from 10% last year of its revenue to between 25% and 30% in the coming quarters by getting more deals to provide services to institutions such as hospitals.

For its fiscal year ended Sept 30, 2011, Digistar's net profit increased 343.78% to RM19.06mil, or 9.48 sen a share, from RM4.29mil, or 2.36 sen a share, previously. At the close, the stock ended 1 sen up to 47.5 sen.

i think they're in the midst of negotiation and will seal this soon. any thoughts bro chong?

Digistar wishes to announce as follows:

1. Based on the latest audited financial statements of SPSB as at 30 September 2011, the net loss and net assets of SPSB are as follows:

Net Assets as at 30/09/2011 89,271



2. The budgeted Gross Development Cost for The Heritage project was approximately RM97 million. The project was undertaken and managed by SPSB, therefore all the development and operating cost will be borne by SPSB.

3. Barring any unforseen circumstances, the expected profits to be derived from The Heritage for SPSB's portion is approximately RM52 million after deduction of the land owner's entitlement.

4. The current development status for The Heritage project is at 15% completion rate which has been certified by Qualified Architect on 14 June 2012 for the completion of earthwork and piling works.

5. The entire development cost shall be borne by SPSB. As SPSB is a subsidiary of Digistar, the development cost was funded and/or will be funded by bank borrowing of SPSB and internal generated funds of Digistar.

This announcement is dated 19 July 2012.

i assumed it is a good news but market doesn't react to this yet. note on the loss number but since the heritage has not even started this is common. the expected profit of 52 milion will contribute significantly to the company profits and once this get's analyst backing will shoot up. cheers.

I guess it will settle around RM0.40 or slightly below temporary . The private placement of 10% of paid up capital at indicative price of RM0.40 will dilute the earning per share of existing shareholder , unhappy existing investors might sell off.

To whom it may concerned:

Digistar refers to the article appearing in The Star on Thursday, 28 June 2012 wishes to deny that the Company has obtained a license to install central monitoring systems (“CMS”) nationwide.
Digistar wishes to clarify that it is currently engaging in preliminary discussions with a CMS license holder with regard to roll out this new CMS business together. As at the date of this announcement, Digistar has not signed any memorandum of undertaking or agreement in relation to the said project. The Company will make the necessary announcement to Bursa Malaysia Securities Berhad should there be any material development that falls under the ambit of the Main Market Listing Requirements.
This announcement is dated 29 June 2012.

Though I do believe the agreement will be sealed soon since the company has been doing a lot of corporate exercise. Seem like preparing a lot of money for new projects.
