2016年，胜安以7300万令吉收购ASAP公司，而Chakravetty是ASAP的3名股东之一。

分析员认为，此诉讼毫无疑问是意外的负面消息，可能对该股短期不利。但不至于带来财务伤害，因胜安已将1500万令吉的盈利担保款项存在该公司的信托户头中。

胜安收购ASAP时，卖主提供了未来2年不少于1500万令吉的盈利保证，而胜安则在7300万令吉的交易价中，先行将其中1500万令吉存放在胜安的信托户头，以确保ASAP达致盈利担保。

自2017年8月完成收购以来，ASAP只为胜安贡献了230万令吉盈利，而ASAP需在今年8月达致1500万令吉盈利担保。目前看来要达到此盈利担保的挑战颇大。

胜安董事部寻求法律意见后，也认为该诉讼并不会对胜安的营运与财务造成影响。上述诉讼预期在今年5月23日处理。

分析员预料上述事件并不会对胜安的基本面造成冲击，因胜安与本地中小企业印尼金融业合作发展金融科技系统，仍有望带来更好的表现。分析员甚至认为，胜安在短期内若出现股价弱势，是累积该股的好时机。

ORION- WHY BUY
The Brain Maintenance Management System (CMMS) company SilkAir (ORION,0079, Gem Technology Group) was involved in a lawsuit last week in which the prosecutor Chakravetty claimed that SilkAir had breached the agreement and had to return the sale of 10,214,646 of the profits guarantee made by ASAP to SilkAir.

In addition to suing for claims, Chakravetty also demanded that SilkAir return to the control of the ASAP company.

In 2016, SilkAir acquired ASAP with 73 million, and Chakravetty was one of the 3 shareholders in ASAP. Analysts believe the lawsuit is unquestionably an unexpected negative news that could be detrimental to the stock in the short term.

But it will not cause financial harm, as SilkAir has made 15 million of JI's profit guarantee in the company's trust account.

When SilkAir acquired ASAP, the seller provided a profit guarantee of not less than 15 million ringgit for the next 2 years, while SilkAir placed 15 million of them in the trust account of SilkAir in the transaction price of 73 million ringgit to ensure that ASAP achieved a profit guarantee. Since the acquisition was completed in August 2017, ASAP has contributed a profit of only 2.3 million to SilkAir, and ASAP is required to reach 15 million ringgit profit guarantee in August this year.

At present, it seems that the challenge to meet this profit guarantee is considerable. After seeking legal advice, the Board also held that the lawsuit would not have an impact on the operation and finances of SilkAir.

The above proceedings are expected to be processed on May 23 this year. Analysts do not expect the incident to hit the fundamentals of SilkAir, which is still expected to perform better as it cooperates with local SMEs in Indonesia's financial sector to develop a fintech system.

Analysts even believe that the emergence of the stock price weakness in the short term, is a good time to accumulate the stock.
