The SGP Committee may at its absolute discretion decide that the vesting of any Frontken
Shares comprised in a SGP Grant under the Proposed Share Grant Plan to the selected Eligible
Employees who have accepted the SGP Grant which is being made in writing to the Selected
Employees (“Offer(s)”) (“Grantee(s)”), to be satisfied by any of the following methods:-

(i) issuance of new Frontken Shares;
(ii) acquisition of existing Frontken Shares from the market by the trustee and transfer of
Frontken Shares held by the trustee;
(iii) transfer of the Company’s treasury shares to the Grantees;
(iv) any other methods as may be permitted by the Companies Act 2016 (“Act”), as amended
from time to time and any re-enactment thereof;
(v) payment of cash in lieu of (i), (ii) and (iii); or
(vi) a combination of the above.

ESOS is just an option. That's why company proposes share buy back 10% =)

They know the company worth much more than current value in few years time.
