The first tranche or Phase 1 involves an allotment and issue of 27.65 million first tranche consideration shares in favour of the vendors’ nominee, SEP Capital (M) Sdn Bhd, within six months from the first tranche completion date, with an aggregate value of all the first tranche consideration shares of RM19.35 million.
Phase 1 represents 70% of SEP and the transaction is to be completed within 60 days, from the passing of the resolution for acquisition by Pesona Metro’s shareholders.

The second tranche or Phase 2 involves the allotment and issuance of 11.85 million second tranche consideration shares in favour of the vendors’ nominee, SEP Capital, with an aggregate value of all the second tranche consideration shares of RM8.29 million.
Transfer of Phase 2 will be completed within 60 business days from the purchaser’s receipt of the written confirmation from UKAS confirming of its waiver of the 30% Bumiputera equity condition.

Overall SEP acquisition is better because can provide recurring income as opposed to construction projects which is one off and cannot repeat after projects completed.
