ESSENTIALS OF CORPORATE GOVERNANCE
In developed countries, the discussion of corporate governance is usually in the context of
the rule of law designed to facilitate economic growth. Governance is seen from the
perspective of laws that recognize shareholders as the legitimate owners of the corporation
and require the equitable treatment of minority and foreign shareholders; enforcement
mechanisms through which these shareholder rights can be protected; securities, corporate
and bankruptcy laws to prevent bribery that enable corporations to transform; anticorruption laws to prevent bribery and protections against fraud on investors; sophisticated
courts and regulators; an experienced accounting and auditing sector, and significant
corporate disclosure requirements. Developed countries are also more likely to have welldeveloped private sector institutions, such as organizations of institutional investors, and
professional associations of directors, corporate secretaries and managers, as well as rating
agencies, security analysts and a sophisticated financial press to facilitate good practices.
Most developing and emerging market nations (including Malaysia) have yet to
improve on their market micro-infrastructure such as the legal and regulatory systems,
enforcement capacities and private sector institutions required to support effective
corporate governance. Therefore, corporate governance reform efforts in these nations
often need to focus on the fundamental framework. Reform needs vary, but often include
basic stock exchange development, the creation of systems for registering share ownership,
the enactment of laws for basic minority shareholder protection from potential self-dealing
by corporate insiders and controlling shareholders, the education and empowerment of a
financial press, the improvement of audit and accounting standards, and a change in culture
and laws against bribery and corruption as an accepted way of doing business (Gregory
and Simms, 1999).

In addition to differences in the market micro-infrastructure to effectively enforce
good governance practice, nations differ widely in cultural values that mould the
development of their financial infrastructure and corporate governance. These differences
in culture require improvising the enforcement of governance practices to palliate with
local requirements.
Ultimately, corporate governance and the framework that supports it must have
relevance to a nation's own unique legal environment. While common elements of
effective governance can be identified to enable national systems to attract global capital
and heighten investor confidence and some market driven convergence of systems might
be inevitable but must be in compliance with each nation and the private sector’s
requirement.
Millstein Report (1998) suggests that government’s support in corporate
governance is essential in the following areas to instill investor confidence and attract
foreign investment: (i) ensuring the protection of shareholder rights, including the rights of
minority and foreign shareholders, and ensuring the enforceability of contracts with
resource providers (fairness); (ii) requiring timely disclosure of adequate, clear and
comparable information concerning corporate financial performance, corporate governance
and corporate ownership (transparency); (iii) clarifying governance roles and
responsibilities, and supporting voluntary efforts to ensure the alignment of managerial and
shareholder interests, as monitored by boards of directors (accountability); and (iv)
ensuring corporate compliance with the other laws and regulations that reflect the
respective society's values (responsibility).

Corporate governance can help improve economic efficiency by helping to focus on valueenhancing activities and therefore governance helps allocate resources more efficiently and
engage in activities that improve the ex-post bargaining in their favor. As Shleifer and
Vishny (1989) argue, a manager will be inclined to focus on activities that he is best at
managing because his marginal contribution is greater, and this consequently increases his
share of ex-post rents, or his bargaining power for residual control rights.
Another area where governance may improve economic efficiency is in the ex-post
bargaining phase for rents. That is, governance may affect the level of coordination costs
or the extent to which a party is liquidity-constrained. If residual control rights are assigned
to a large, diverse group, the existence of free-riders in the group may create an inefficient
bargaining system. Also, if a party wishes to engage in a transfer of control rights but he is
liquidity-constrained, inefficient bargaining may again occur as the transaction may not be
agreed upon (Zingales, 1995).
A third way that governance may effect overall economic efficiency is through the
level and distribution of risk. Assuming that the engaged parties have different risk
aversions, corporate governance can then act to efficiently allocate risk to those who are
least risk-averse (Fama and Jensen, 1983), which improves the total surplus for the parties
involved.
In general, it is also important to recognize that strong governance in a developed
capital markets promotes an efficient medium for allocation of scarce resources between
savers and borrowers and also provides some measure of security for lenders of capital.
The nature of the firm requires that financiers, or lenders of capital, will indeed lend their
money to managers who will in turn run a firm and hopefully create a return for the

financiers. If the financiers are not confident of receiving their capital back at some point
in the future, they would not be inclined to provide managers with capital and, as a result,
innovation and industrial progression would be at stake. Strong governance helps to
maintain investors’ confidence in the capital markets and helps to improve overall
efficiency in this manner.

KUALA LUMPUR: Net buying activities from foreigners continued on Bursa Malaysia last week as they net bought RM190.9 million of equities, slightly lower than RM244.6 million recorded in the week prior.
This was the seventh consecutive week of net inflows from foreigners and also the second longest streak of foreign net buying for this year.
"Foreigners were net sellers only on Thursday at a rate of RM90.1 million but were net buyers for the rest of the week.
"The heaviest inflow of RM219.6 million was recorded on Tuesday, while Monday and Friday saw inflows of RM61.0 million and RM0.4 million respectively.
"The market was closed on Wednesday in conjunction with Malaysia's Merdeka Day," said MIDF Research in a note.
The top three sectors with the most net inflows by foreigners last week were financial services, consumer products and services and utilities at RM201.7 million, RM58.4 million and RM51.6 million respectively.
The highest net outflows were industrial products and services at RM102.8 million, technology at RM51.4 million and plantation at RM26.6 million.
Local institutions remained net sellers after they net sold RM233.2 million last week.
The amount that they sold was RM66.4 million on Monday and RM252.2 million on Tuesday.
They turned to net buyers after the market reopened on Thursday at a rate of RM79.1 million and RM6.3 million on Friday, but these were not enough to offset the outflows recorded earlier in the week, said MIDF Research.
"Local retailers were still on a net buying spree last week after they bought RM42.6 million worth of equities.
"They were net buyers during every trading day except for Friday," it noted.
In terms of participation, there was a decrease in average daily trade value (ADTV) among retail and institutional investors by 4.5 per cent and 1.2 per cent respectively, while foreign investors recorded growth of 60.3 per cent in ADTV.
The FTSE Bursa Malaysia KLCI closed 0.6 per cent lower to 1,491.18 points on Friday.
As for the ringgit, it saw a weekly depreciation of 0.4 per cent against the US dollar to close at 4.4862 last week, while the Brent crude oil price declined 7.9 per cent for the week to end at US$93.02 per barrel.

Pasukhas announced that its wholly-owned subsidiary Pasukhas S/B (PSB) has received an award from Exyte Malaysia S/B to supply, execute and complete the KUL MY DTC-03 Data Centre at Cyberjaya, Selangor. The contract, which is worth MYR11.9m, commenced on 1 Sep 22.
With the latest project award, Pasukhas has secured a total of MYR61.5m projects YTD. This will lift its outstanding order book to an estimated MYR111.9m, equivalent to c.1.4x FY21 revenue. Despite improvement in jobs flow, execution risk is key given its volatile earnings track record (losses since FY18).
Besides construction projects (mainly civil engineering and construction services), Pasukhas also has an energy utilities services and power generation unit, which provides a long term stable income stream. Currently, it owns and operates a mini hydro plant at Sungai Rek, Kelantan over a 21-year lease period.
On property development, Pasukhas has kicked start its maiden development project located off Jalan Tun Razak, Kuala Lumpur. The project has an estimated gross development value of MYR338m with an estimated gross development profit of MYR81m.
Moving forward, the reopening of economy bodes well for the construction and property sectors, which in turn, should translate to improved jobs flow. A wild card to take note is that management has mentioned that it will expand into river sand extraction cum trading activity in the near term.
Having said so, investors with lower risk appetite should stay on the sidelines, pending its turnaround. Valuation wise, PB is preferred here. At current price, the stock is trading at a PB of 0.2x (as at Jun 2022), which is lower than its 3-year historical average PB of 0.5x. Warrants are not included in BV/sh computation as they are out-of-the-money. Balance sheet wise, its net cash stood at MYR4.2m (including money market instruments) at end-Jun 2022.

KUALA LUMPUR (Sept 5): Bursa Malaysia Bhd has onboarded Maybank Investment Bank Bhd (Maybank IB) as an approved supplier and user under the Islamic Securities Selling and Buying — Negotiated Transaction (ISSBNT) framework.
The ISSBNT is the world’s first shariah-compliant alternative to Securities Borrowing and Lending, which was launched by the exchange in December 2017, and was developed as a mechanism to provide a facilitative trading environment, and improve the trading liquidity and velocity of shariah-compliant securities.
Bursa chief executive officer Datuk Muhamad Umar Swift said the addition of more participating organisations under the ISSBNT framework demonstrates the exchange’s commitment to growing the Islamic equity market in response to increased demand for shariah-compliant assets.
“We look forward to the increased participation and continued support from our brokers to spur the growth and vibrancy of our marketplace, upholding Malaysia’s position as the world’s leading Islamic shariah-compliant equity market,” he said in a statement on Monday (Sept 5).
As an approved supplier and user, Maybank IB will facilitate the buying and selling of shariah-compliant securities, as well as enable hedging and risk management activities for market participants while adhering to shariah principles.
Maybank IB chief executive officer Datuk Fad’l Mohamed said the investment bank sees strong demand for shariah-compliant assets among investors.
"We are excited to be an approved supplier and user under the ISSBNT framework, which will enable us to support our clients’ investment management strategies," he added.
Fad'l said there is potential to further develop the Islamic capital markets, and Maybank IB will continue to play an active role in making Malaysia a leader in this space as shariah-compliant securities make up 79% of Bursa-listed securities.
Maybank IB’s inclusion follows the recent announcement of CGS-CIMB Securities Sdn Bhd and Kenanga Investment Bank Bhd as approved supplier and user representatives under the ISSBNT framework.
To date, there are 179 shariah-compliant securities eligible for ISSBNT transactions, as reviewed and approved by the Securities Commission Malaysia's Shariah Advisory Council.

MALAYSIA: BNM Collaborates With SSM to Regulate AMP/CFT and TFS
August 23- Bank Negara Malaysia (BNM) will be collaborating with the Companies Commission of Malaysia (SSM) to strengthen collaboration in the regulation and supervision of anti-money laundering, countering financing of terrorism (AML/CFT) and targeted financial sanctions (TFS).
Both entities signed a Terms of Collaboration which set out the respective regulatory and supervisory responsibilities of BNM and SSM in the regulation and supervision of company secretaries and trust companies.
It will also provide for a more structured approach to assess money laundering and terrorism financing (MLZTF) risks in these two sectors, as well as to promote institutional capacity building in these areas.

MALAYSIA: Najib Razak: Malaysia's ex-PM starts jail term after final appeal fails
Malaysia's former Prime Minister Najib Razak has been sent to jail to begin serving a 12- year sentence, after the top court rejected his appeal.
The 69-year-old's charges relate to a corruption scandal involving state-owned wealth Fund 1Malaysia Development Berhad (IMDB).
He was convicted in July 2020, but had been out on bail during the appeal.
The court also denied Najib's request to delay his sentence. He has continued to deny any wrongdoing.
In 2020, a court had found him guilty on seven counts - centred on a total of 4£m ringgit ($9.4m; £8m) which was transferred from SRC International - a former unit of IMDB - into his private accounts.
He was sentenced to 12 years' jail and a fine of 210m ringgit ($46.8m; £39.7m).
The defence team had argued Najib was led to believe the funds in his accounts were donated by the Saudi royal family rather than misappropriated from the state fund.
They also claimed he was misled by financial advisers, particularly fugitive financier Jho Low - who has been charged in both the US and Malaysia but also maintains his innocence.
In his final push for freedom on Tuesday, Najib's lawyer requested the removal of Chief Justice Tengku Maimun Tuan Mat from the panel presiding over the case - in what was seen as a bid to forestall a final verdict.
They claimed she could be biased as her husband ha‹:1 made a Facebook post in 2018 which was critical of Najib.
However, the chief justice declined the request as she said the post was before the charges were brought against Najib.
In her verdict, the chief justice said the live-judge panel unanimously found that the conviction of Najib on all seven counts was safe and the appeal "devoid of any merits".
"The defence is so inherently inconsistent and incredible that it has not raised reasonaJo1e c1oubt on the case," she said.
The charges addressed on Tuesday make up only the the first of five trials relating to IMDB.
Najib's wife, Rosmah Mansor, also faces money laundering and tax evasion charges - to which she has pleaded not guilty.
She separately faces corruption charges related to a solar hybrid project, and the High Court is set to deliver her verdict for this case on 1 September.

MANILA: Authorities are targeting financial instruments and assets accumulated by drug syndicate members, hitting where it matters most for the culprits.
The Philippine Drug Enforcement Agency (PDEA) are going after the bank accounts of dealers because such criminals thrive on the unlimited flow of drug money, the Phi1star.com reported.
PDEA director general, Wilkins Villanueva, said the agency is working closely with the Anti-Money laundering Council to find ways for a holistic approach to ridding the country of illegal drugs and those involved.
A month under the administration of President Ferdinand Marcos Jr, the PDEA has succeeded with strategic moves designed to decisively dismantle drug trafficking in the country, he said.
Drug traffickers are mistaken if they think the government would slow down the anti- drug campaign after former president Rodrigo Duterte stepped down from office, he said.
"The Duterte administration had ended, but what remains of those involved in drug trafficking are very much mistaken if they think that we will now ease the pressure," he stressed.
"We can't stick to the traditional cat-and-mouse games. We need to show that we are on top of the situation," Villanueva said and cited the freezing of a property owned by former Ozamiz City vice mayor Nova Princess Parojinog last month.
The PDEA also marked its 20th anniversary last June with the destruction of 14.29 billion pesos worth of illegal ‹mugs while on the same day, its operatives seized 80 kilos of shabu worth 544 million pesos.
The agency is also making efforts to enhance the skills of their investigators in handling case build-ups, in anticipation of more financial cases that may be related to drug trafficking, he said.

Duration of the Proposed ESOS
The Scheme shall be in force for a duration of 5 years from the date on which the
Scheme shall take effect, to be determined by the ESOS Committee (“Effective Date”)
subject however to any extension of the Scheme as provided under the By-Laws.
On or before the expiry of such 5 years of the Scheme, the Board shall have the
discretion, without having to obtain approval of the Shareholders, to extend the duration
of the Scheme, provided that the initial period of the Scheme and such extension of the
Scheme made pursuant to the By-laws shall not in aggregate exceed a duration of 10
years from the Effective Date or such longer period as may be permitted by Bursa
Securities or any other relevant authorities from time to time.
For the avoidance of doubt, no further sanction, approval, consent or authorisation of
the Shareholders in a general meeting is required for any such extension. In the event
the Scheme is extended in accordance with the provision of the By-laws, the ESOS
Committee shall furnish a written notification to all Grantees and the Company shall
make the necessary announcements to Bursa Securities prior to such extension (if
required).
The Scheme may be terminated by the ESOS Committee at any time before its expiry
provided that the Company shall make an announcement immediately through Bursa
Securities.
In the event of termination of the Scheme, the following provisions shall apply:-
(i)
no further Offer shall be made by the ESOS Committee from the effective date
of termination of the Scheme (“Termination Date”);
(ii)
all Offers which have yet to be accepted by the Eligible Person(s) shall
automatically lapse on the Termination Date;
(iii)
all Offers which have yet to be vested in the Eligible Person(s) shall
automatically lapse on the Termination Date; and
(iv)
all outstanding Options which have yet to be exercised by the Grantees and/or
vested (if applicable) shall be automatically terminated on the Termination
Date.
Approval or consent of Shareholders by way of a resolution in a general meeting and
written consent of the Grantees who have yet to exercise their Options are not required
to effect the termination of the Scheme.
3.5
Exercise of Options
Subject to the By-laws, a Grantee shall be allowed to exercise the Options granted to
him / her either in whole or part in multiples of 100 Shares as the Grantee may be
entitled under the Options at any time during the period commencing from the date an
Offer is accepted by a Grantee and expiring on the last day of the duration of the
Scheme or such other date as stipulated by the ESOS Committee in the Offer or on
the date of termination or expiry of the Scheme as provided in the By-laws (“Option
Period”) whilst he / she is in the employment of any company within the Group (which
are not dormant).
There will be no restriction to the Grantee on the percentage of Options exercisable by
him / her during the Option Period

For corporations to succeed in competitive markets, corporate managers must
improvise new strategies to meet changing demands. This requires managers to have some
level of discretion in making decisions within the context of existing laws, regulations and
expectations of the stakeholders. This requires a structured and independent mechanism to
monitor of management decisions; transparency of corporate performance, ownership and
control; and participation in certain fundamental decisions by shareholders. Thus corporate
governance can be an effective measure of oversight and hold boards and managers
accountable in their management of corporate assets. This oversight and accountability
combined with the efficient use of resources, improved access to lower cost capital and
increased responsiveness to societal needs and expectations should lead to improved
corporate performance. Corporate governance may not guarantee improved corporate
performance at the individual company level, as there are too many other factors that have
impact on performance. But it should make it more likely for the company to respond
rapidly to changes in business environment, crisis and the inevitable periods of decline. It
should help reduce managerial complacency and help them focus on improving firm
performance, with the clear understanding that they will be replaced if they fail their
obligations.
Effective corporate governance will mitigate corruption in business dealings. Poor
corporate governance becomes the premise to breed corrupt practices in business and
political circles. Good corporate governance facilitates early identification and elimination
of such practices, thereby providing a more conducive cost effective environment for
foreign and domestic investments.
