Just go it :)

After the 1998 financial crisis however, shareholders in Malaysia could no longer afford to stay passive and rely solely on the Government for protection. This is because, at the time, it was also identified that shareholders’ control and protection were inadequate and that there was a lack of monitoring of boards and management[6].

In view of the need for corporate governance reform, in the year 2000, the Securities Commission Malaysia (“SC”) issued the Malaysian Code on Corporate Governance (“MCCG”)[7] in order to promote good governance amongst listed companies (which, in part, supports and encourages shareholder activism). In addition, the Minority Shareholder Watch-dog Group (“MSWG”) was also established in 2000 with a focus on fostering awareness of minority share-holders’ interests and enhancing corporate governance through shareholder activism[8].

The MSWG was set up to create awareness among minority share-holders of their three basic rights, i.e., to seek information, voice opinion and seek redress[9]. The mission statement of MSWG is to increase sustainable shareholder value in companies through engagement with relevant stake-holders, with a focus on minority shareholder interests[10].

As the consciousness started to grow[11] and shareholders became more aware, they have started to recognise the importance of having to depart from traditional mindsets and roles. In consequence of the evolving nature of this understanding, several key changes were made to the legislative framework in Malaysia, including the introduction of the Malaysian Code for Institutional Investors (“MCII”) in 2014 and revisions to the MCCG (in 2007, 2012 and 2017).

BCM Alliance Bhd should be transparent about its recent employee share option scheme (ESOS) exercise that was offered to only two employees. Why only those two and what roles do they hold in the company?

Filings with Bursa Malaysia show that the two, Kiu Cu Seng and Cheng Li Ping, emerged as the largest shareholders of BCM Alliance after exercising their share options. They exercised a total of 469 million share options at 2.91 sen apiece — a 17% discount to the closing price of 3.5 sen on Jan 17, when the offer was made. The stock closed at 3 sen on Feb 8.

Kiu exercised some 305.12 million option shares, giving him a 15% stake in BCM, which makes him the largest shareholder in the commercial laundry equipment supplier. Cheng exercised 164.29 million option shares for an 8.08% stake.

What is shareholder activism and why is it important?
Shareholder activism involves extreme actions taken or proposed by shareholders of a company to further their agenda. This agenda is usually at odds with the motivations and strategy of the company and its directors. This action can result in disputes or conflicts with a company’s management. Shareholder activism takes a number of different forms, including shareholders using their legal rights, public pressure and information gathering.

Shareholder activism is important because even though on the one hand it can be seen as a block to the efficient running of a company, it is a movement that demonstrates that the owners of a company can have a key role in shaping operational decision-making. It also reminds directors that the shareholders of the company are watching what they are doing and how they are doing it, so it is important for directors to make sure that they are promoting good corporate governance and are meeting all of the company’s compliance requirements, particularly in areas such as anti-bribery and anti-corruption. In the long term, shareholder activism can influence or change the way companies are run, so it’s important to be aware of the trend and the direction in which it is moving.

KUALA LUMPUR: Bursa Malaysia was spurred on by the strong overnight rally on Wall Street as comments by US Federal Reserve chair Jerome Powell soothed markets fearful of more more aggresive monetary tightening measures.

However, lingering worries over global growth should keep gains in check, said TA Securities in its market outlook.

"Immediate support is at 1,430, with the recent low of 1,408 as key support to prevent further selloff to next crucial support at 1,394, the 38.2%FR level.

"The next critical support below will be 1,323, which is the 23.6%FR level," it said.

At 9.05am, the FBM KLCI was up 3.05 points to 1,473.76. The market breadth was positive with 232 gainers compared with 72 decliners.

SHAH ALAM (July 28): All agencies in￾volved in water management in Selangor are
now united through the Water Resources As￾surance Scheme (WARAS) initiative to over￾come flooding, notably in the Klang Valley.
State Infrastructure and Agriculture
Committee chairman Izham Hashim said
WARAS will also be participated by the
Kuala Lumpur Irrigation and Drainage
Department (JPS) to ensure that the flood
issue could be dealt with holistically.
Izham said the main flood issue identi￾fied by WARAS as a result of the meeting
last May was how to drain floodwater from
Kuala Lumpur and high places directly to
the sea or reservoirs, and to deepen the
depth of the Klang River, especially in
shallow areas.
“WARAS will also work with the Fed￾eral Government, which is why recently
in the WARAS meeting, we expanded its
scope to include all water-related issues
and agencies such as floods, droughts and
pollution under one roof.
“Through WARAS, all proposals will be
viewed for solutions, especially when there
is a major flood. The runoff, for example,
from the Stormwater Management And
Road Tunnel (SMART) was diverted to
Selangor, but that is not over yet. So, we
do release the excess water? We have to
make sure that the water reaches the sea
or the reservoir,” he said at the Selangor
State Assembly Annex Building on Thurs￾day (July 28).

KUALA LUMPUR (July 30): Bursa Malaysia is expected to continue its upward momentum next week, driven by positive sentiment and improving participation of foreign funds, a dealer said.

Inter-Pacific Asset Management Sdn Bhd executive director and fund manager Datuk Dr Nazri Khan Adam Khan said the benchmark FBM KLCI is expected to move between 1,510 and 1,520 next week.

"The local bourse saw strong bargain hunting, which pushed up the KLCI to almost a two-month high last week. I expect foreign buyers will continue [to come into the market] to lift the index. Previously, we had strong buying in energy and technology stocks.

"The gain in the key index was mainly due to investors' reaction to better-than-expected corporate results, as well as the statement by US Federal Reserve chair Jerome Powell that the interest rate [hike in the US] might slow down," he told Bernama.

Nazri Khan said the US economy is in a technical recession, but indicators such as the labour market and consumer spending do not point to this decline.

KUALA LUMPUR (July 30): The FBM KLCI futures contract on Bursa Malaysia Derivatives is expected to trend higher next week, tracking the performance of the underlying cash market.

Rakuten Trade Sdn Bhd vice-president of equity research Thong Pak Leng said that despite the cautious market undertone in the region, he expects the KLCI to continue its uptrend in the near term.

Pasukhas secures RM77 mil building and external work contract at Jalan Tun Razak

KUALA LUMPUR (Sept 15): Pasukhas Group Bhd (0.115 ) via its unit Pasukhas Sdn Bhd has secured a building and external work contract worth RM77 million from Focus Dynamics Bhd's subsidiary Famous Ambience Sdn Bhd to complete the construction of a commercial smart building at Jalan Tun Razak, Kuala Lumpur.

The three-storey building will have two basement levels and a banquet hall, according to its filing with Bursa Malaysia.

In a separate statement today, the group said the construction is scheduled to be completed entirely by November next year and that it will deploy its team of experts in the field of development, civil engineering, and construction services to ensure that the team adheres to its client’s project timeline.

“The construction industry is starting to pick up pace again with gradual economic recovery, supported by the implementation of various government initiatives and assistance,” said Pasukhas executive director and CEO, Wan Thean Hoe.

The commercial building also houses an underground two-level car park space to address the growing demand for car park spaces in the densely populated area, it said.

Recently, the group highlighted that Pasukhas and partners have also tendered partnership public-private partnership (PPP) project to provide engineering solutions for the construction and operation of a waste treatment plant/waste-to-energy plant (WTE) in Sungai Udang, Melaka.

“With its order book building, and pipelines of projects on the horizon, the group is looking forward to securing further projects in the near future,” it said.

Shares in Pasukhas ended unchanged at 12 sen today, valuing the company at RM133.15 million.

PASUKHAS Group Bhd’s wholly owned subsidiary Pasukhas Products Sdn Bhd has entered into an agreement with BB Energy Sdn Bhd to extract, dredge, sell and distribute river sand for the export market.

The collaboration vis-à-vis the agreement between BB Energy and Pengurusan Pasir Pahang Bhd (PPPB) on June 10, 2020, stated that PPPB approved and granted a concession to BB Energy at Sungai Miang in Pekan, Pahang.

BB Energy has appointed and granted Pasukhas exclusive rights to access, extract, dredge, sell and distribute river sand for export to China and Hong Kong.

Pasukhas ED Mak Siew Wai said the company expects the sand mining operation to begin in March 2021 due to the government’s Recovery Movement Control Order, which is still in effect to year-end, as well as the start of the yearly monsoon season on the East Coast from November to February.

“The company is expected to supply a minimum of 2.5 million cu m of river sand per year to potential buyers from China and Hong Kong to be identified later.

“River sand is a widely used construction material and currently in high demand due to the rapid pace of construction and reclamation works in China and Hong Kong. This development represents a significant milestone in Pasukhas’ plan to potentially forge another revenue stream for the group — to fuel growth and expansion going forward,” he said in a statement yesterday.

He said the appropriate sand mining operations would help to deepen the riverbed and reduce flood in Pekan, Pahang, usually caused by high tide and monsoon.

“Under the agreement, PPPB has imposed strict control to curb excessive mining which may harm the environment and the livelihood of the residents affected by the sand mining activities with corporate social responsibility and rehabilitation fund,” added Mak.

The contractual term is for 12 months with an option of extending it for another 12 months, for a monthly production of at least 200,000 cu m.

Polo Specialist Trading Sdn Bhd will be the authorised approved permit via PPPB for export of river sand under the terms of the agreement.

For the second quarter ended June 30, 2020, Pasukhas registered a loss of RM1.66 million from RM1.24 million in the previous corresponding period.

Its revenue plunged 71.97% from RM7.96 million last year to RM2.23 million mainly due to a slowdown in activities in ongoing civil engineering and construction services projects.

The group is largely owned by Tara Temasek Sdn Bhd, a private company co-owned by Pasukhas CEO Wan Thean Hoe and its non-independent non-ED Chan Man Chung.

Earlier this month, Tara Temasek disposed of 151.51 million shares in the company and retained 50.51 million shares or 6.2% equity interest post-disposal on Sept 2.
