APPROVAL GRANTED FOR FACILITATION FUND




Reference is made to the announcements made on 22 November 2016 and 22 June 2017. Unless otherwise defined, the definitions set out in the earlier announcements shall apply herein.

The Board of Directors of Perak Transit wishes to announce that The Combined Bus has on 26 December 2017 received a letter dated 21 December 2017 from the Unit Kerjasama Awam Swasta, Jabatan Perdana Menteri (“UKAS”), whereby UKAS has approved in principle to provide a grant of up to RM8,014,000 in the form of facilitation fund to The Combined Bus to facilitate the construction of Terminal Kampar by funding the infrastructure cost in connection to the project (“Facilitation Fund”).

The approval in principle by UKAS is subject to the following terms and conditions:

(i) The Facilitation Fund is not more than RM8,014,000 or 6.24% of the actual project cost (whichever is lower);

(ii) The Facilitation Fund is to be payable on lump sum reimbursable upon completion of the Terminal Kampar; and

(iii) A Facilitation Fund agreement is to be executed between the Government of Malaysia, Bank Pembangunan Malaysia Berhad and The Combined Bus within 3 months from the date of the letter.

The Facilitation Fund will have no effects on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholdings in Perak Transit for the financial year ending 31 December 2017. However, the Facilitation Fund is expected to contribute positively to Perak Transit Group’s earnings and net tangible assets upon completion of the Terminal Kampar, which expected to be in 4th quarter of 2018.

None of the Directors and substantial shareholders of Perak Transit or any persons connected to them have any interests, direct or indirect, in the Facilitation Fund.

This stock will start move when:

1- Private Placement completed
2- Mainboard transfer completed
3- UKAS grant signed and Kampar progressing well
4- Revenue grow

This is medium term stock...even if u stuck cannot sell, still got dividend.
