On September 20th 2013 Dutch Lady closed at Rm46.46. Today DutchLady closed Rm45.76 (Lower than Sept 20th 2013 price). The facts speak for themselves.

I think soon or later, water restructuring will be concluded. Langat 2 cannot drag anymore, almost all project already awarded in Selangor portion, Salcon RM 1 bil construction dam , MMC RM 1.5bil for water/sewerage treatment plant and another contract worth 500m-1bil for pipe layout from langat2 could also award very soon. All these Langat 2 contract cannot proceed without state approval.

Puncak unit, PNSB, 70% syabas and KPS 91% Abbass already agree to the take over price, awaiting to sign definitive agreement. The only left is splash, but is the largest water treatment concession supply almost half of the total treated water, control by Gamuda 40%, KPS 30%, Wan Azmi 30%. Gamuda reject outright due to offer price at 0.1x of its net book value, revert previous offer from based on 1 x net book value offer in 2009 to latest based on 12% ROE. Nonetheless, state have given Gamuda option to come out win-win proposal.

I think since Gamuda have reinstated that it will like to retain its previous offer in 2010 to take all water concession in the state for total of RM 10.78 bil, it could proposed to corporate with state to jointly take over all water concession, which not only solve current impasses, but also allow splash retain water concession.

The water restructuring will not drag any longer, as under HOA, state need to sign with water concession (PNSB, Syabas, Abbass) the definitive agreement within 3 month (about another month ahead).

On the other hand, splash is allow 6 month time to come up new proposal to reach win-win solution.

The important is realize first handsome gain now, trim down holding volume, lock in profit. Will channel some fund to further increase exposure in Bjcorp

Good for Puncak, now the binding definitive SPA have signed. Dividend RM 1/share is higher than expected, tomorrow share price should response positively. The only risk is that Puncak may classify as PN16 (70% assest is in cash) or PN17 (loss core business) but if Puncak have already identify new business, it should be regularize it soon. Will look forward to grab some for trading purpose.

Puncak sure have RM 1.56 bil after the signed SPA which is now legal binding, but the whole process need to take another 3 month from now (take time to dispatch notice EGM, circular, EGM to conclude, PAAB to fully assume debt, KDEB is fully payout RM 1.56 bil).

Puncak decide to payout cash dividend RM 1/share out of total RM 2.90/share proceed is commendable. Rozali is major beneficial as he entitle the most. It is done either in view to reward shareholder or compensate shareholder for losing most lucrative water concession business (profit margin >50%)

However, the balance cash RM 1 bil is a concern now, as indicate, will use to expand oil and gas and acquire palm oil estate. Judging from current Brent rude oil 78, and crude oil 74, it seem untimely to go big in oil and gas service provider field, as it rely heavily on contract from Petronas. On the other hand, CPO also trading at tail end of range now, RM 2200/tonne, which affect profit margin for a lot of planter now.

Nonetheless, business changing every time, nobody know the fate of crude oil will slump until current level. Similarly, Puncak management may change view after 3 month once deal is concluded to reassess the most viable business to acquire in order to meet the shortfall profit from losing water concession.

Fundamentally, Puncak still sound, retain some water assets in China, construction project in Msia with orderbook RM 550m and contract from Petronas worth RM 2bil ensure earning visibility in next 3year. It is expect post disposal, Puncak earning (mainly from oil and gas) will at region RM 70-80m net profit, translating into 15sen/fully diluted.


Sum of part analysis for Puncak post disposal and post dividend payout

By pegging PE 10x, Puncak share worth RM 1.50 + net cash RM 2.0/share (balance RM 1 bil + cash from full warrant conversion, pending new acquisition) + landbank/property and existing cash balance totoal worth another RM 1/share - oil and gas debt (RM 75sen/share) = RM 3.75/share

Please sell all your possession including house,car and etc and buy Puncak.

Borrow from bank and loan shark and buy Puncak.

Multiply profit by max up margin financing.

In the very beginning when attending the earlier AGMs, although I spoke of the glowing prospect of PM Corp - other Share Holders were very hostile against the Directors & Officers. I spoke out openly and directly, "My greatest fear is management!" After 4 years, 4 Directors had left - 3 resigned & one deceased. Of the remaining Directors & Officers especially Mr. Ho Chun Fuat, I find them to be friendly, frank and factual.

You see, no organisation is perfect. Even among the 12 disciples is a Judas. And we pray that God will protect the Company from all Judases. As to Andrew Khoo (he has resigned to join a Company in Spore) I find him to be a humble well groomed gentleman. Lai Fah, the Assist Manager of NFI said that Andrew's wife dressed modestly. They both attend a Good Christian Church in Singapore.(The Conservative type)

As for Tan Sri Datuk Khoo's personal divorce proceedings we can only hope and pray for the best outcome. In any case, his private affair should not affect the operation of PM Corp. The Company is in the Hands of Competent Leadership.

And, how did these Coke & McD become world champion (your fav phrase) in their respective segments? Even Buffett bought lots of Coke shares. Voke & McD led to obesity and high sugar level in blood but people still buying it, day in day out.

The real issue is how PM Corp going to solve channel and marketing weaknesses? Talk is cheap.

That is why don’t always think that your charts is the holy grail in investing. PM Corp is clearly an asset play, a net net Graham investing strategy, coupled with some sort of good stories told by calvin, the special dividend etc.

It is just that I don’t know why calvin kept on emphasizing its chocolate business which is nothing as it is so small compared to the value of its quality assets and the stories. May be calvin knows more about this than what is available in the market.

Thank you kcchongnz, I like your postings. I think your cautionary statements in other forums have helped many to avoid pitfalls.

As to your concern about kkp. At the end of the day he wouldn't do something detrimental to himself. Since he has used REAL MONEY to buy over PNB portion at 12 -13 Cts, I believe he has the PM CORP interest at heart.

If he has no concern for PM Corp shares or shareholders he could have laid his hands on the Assets & Cash of PM Corp Directly. The Directors who completely sold down their shares & plunder the coffers are many - Transmile, Megan Media, Kenmark & many others.

Warren Buffet likes Companies Whose Directors or Company exercise share buy back. By so doing they are exposing themselves to actual losses should the price crash.

No reasonable man will shoot himself in the leg. No sane person wilfully harm his own interest. As to CAPITAL REPAYMENT. Let This Be The Turning POINT IN PM CORP & The Whole MUI Group of Companies.

So let us wait a while & see the Actual Announcement before passing further judgement

They have made their promise publicly in AGM. Let us see the follow up ON ACTION.

I see this calvin a genuine investor, very committed to his investment in PMCorp. His stories and facts look genuine to me too; except a little overzealous in comparing NFI with Nestle and Dutch Lady.

To me after looking thoroughly at PMCorp balance sheet and peeping through its income statement and cash flow, my opinion is it is a very safe investment, with very little downside, but plenty of upside.

That is what a conservative investor should look for.

guys guys girls girls.....luv luv.... i tell u all.. capital repayment is really NOT wat it is cracked out to be....

going by d comments here has made me tot a capital repayment wil push up d price of a counter sky high...

BUT i hv found out tat is NOT d case as u can c from ANCOMLB ... which hv actually announced a 80% capital repayment of 8 sen for every one of its 10 sen share.. but its price has hardly gone up...

moreover in ANCOMLB case it is making a capital repayment from a position of strength n post capital repayment its na is stil higher thn its par value n it has running profitable businesses...

not so for PMCORP where there is huge losses to clear... n which d term capital REDUCTION is more appropriate... n since whn has capital cancellation due to losses... where 1000 shares r reduced to say 200 is celebrated n keenly awaited?!?

i thought the management already mention about the capital repayment to share holder during AGM at PD? how come suddenly no capital repayment ? hahahah or u miss the boat ? look JCool if you think its all lie then stay away from this counter. Protect your capital. Go to other counter which really make you feel safe. This counter for mid term/long term holder only. You said the company have huge losses so its confirm u feel it is not safe to enter. Event thought with the asset of the company it easily can pay all the losses. But still better you find other counter to play. This counter is not for you. Go to the more safer counter. So you can sleep well and not worried about PMCORP anymore.

Why did somebody flagged our friend's comments above? The statement is a fact, and nothing is worth to flag that comment, is there? Come on, we are not a cult here. We don't want everybody agrees to each other. It is no good for our investment experience.

I definitely have many shortcomings when talking about investment. Hack, I am just a small time retail investor.

First of all I can't go around to visit sites, companies, talk to their managers, demand for their books to see their day-to-day account, their bank statements, make projections and forecasts 5-10 years down the road for them. Their managers won't sit down with me to talk about their future plans, acquisition etc and then I got to gather all industrial information to check if their plan and forecasts are workable etc etc etc etc.

But not putting a disclaimer when giving my comments, often when asked is it a shortcoming? I am not sure. I don't remember I have ever give people so called advice whether to buy or sell a stock. Hack what for? I don't get commission from that. And I don't think i3 here has the clout to push up the price by telling a certain company is good and its price is reasonable or cheap. May be I don't know but that is never my intention, because I am not a fortune teller (how many times I have reiterated this?), I simply won't know the price of a stock would go up or down in the future.

So please don't simply flag others comments. There are a few comments by Jcool which are valid. I will look into them soon.

Actually the best person to deal with the questionnaires about PMCorp is calvin. He seems to know a lot about the company. Nevertheless, let me as an armchair investor and a non-professional gives some comments here. Damn it, I just like to talk. Is there any restriction in i3 where a non-professional cannot give his opinion?

Pmcorp fund is all tied up in cross loans to its related companies.... n pmcorp 2011 2012 audited accounts hv shown tat it has been having impairment losses on these loans... tat mean these subsidiaries cannot pay back their loans to pmcorp....

SUBSIDIARY COMPANIES OR PARENT COMPANIES MAY HAVE BORROWED MONEY FROM PM CORP AND WERE UNABLE TO PAY. BUT ALL THESE HAD BEEN "IMPAIRED". LOSSES HAVE BEEN TAKEN AND NO MORE APPEARING IN PMCORP'S BALANCE SHEET.

N these subsidiaries cannot pay must b bcos they have been making losses.... u cant see these losses in d group account bcos they hv been masked by d small NFI profit....

CAN YOU ELABORATE HOW ARE IMPAIRMENT LOSSES BEING MASKED" BY NFI PROFIT? I CAN'T SEE ANYTHING FROM ITS INCOME STATEMENT.

So when more subsidiaries cannot pay back pmcorp bcos of losses.. u wld b staring at a pn17 pmcorp... bcos it is jz so near to being one now

AS I HAVE SAID, ALL THOSE LOSSES HAVE BEEN IMPAIRED AND TAKEN. ITS BALANCE SHEET IS SQUEAKY CLEAN NOW AS I SEE IT, WITH 190M IN CASH AND CASH EQUIVALENT AND INVESTMENT IN MOSTLY QUOTED SHARES WHICH HAVE MARKET VALUE. TOTAL DEBTS IS MERE 14M. THESE QUALITY ASSETS ALONE IS MORE THAN ITS EQUITY VALUE. HOW COULD YOU SAY YOU ARE STARING AT A PN17 PMCORP? UNLESS OF COURSE IF THE MANAGEMENT SQUANDERS OFF THE MONEY.
