The Board of Directors of Ancom Logistics Berhad (“ALB or the "Company”) wishes to announce that on 22 April 2024, ALB and its holding company, Ancom Nylex Berhad ("ANB"),
had entered into a Heads of Agreement (“HOA”) with Greenheart Sdn Bhd ("GSB"), Choong Wee Keong ("CWK") and How Yoon For ("HYF") relating to the following :
(GSB, CWK and HYF shall be collectively referred to as “Vendors”)
proposed acquisition by ALB of the entire share capital of Green Lagoon Technology Sdn Bhd (“GLTSB”) for total consideration of RM120,000,000;
proposed exemption under subparagraph 4.08(1)(a) of the Rules on Take-overs, Mergers and Compulsory Acquisitions to the Vendors, other shareholders of GLTSB and their person(s) acting in concert under Sections 216(2) and 216(3) of the Capital Markets and Services Act 2007;
proposed private placement of up to 183,333,334 new ALB Shares (or such other number of new ALB Shares as may be applicable) to ANB for the total sum of up to RM22,000,000.08 at an issue price of RM0.12 per ALB Share
proposed disposal by ALB of all of its subsidiaries.

looks like company gonna go for rights issue of 1b shares at RM0.12 each to raise RM120m to buy up Green Lagoon technologies..... a biowaste to energy tech co..... pretty risky if you ask me, but if you have spare cash to park why not....

once RI announced share price will go down..who would want to subscribe RI from a loss making penny counter..later on announce share consol ..better run fast..they wanted to raise fund from investor to acquire another company..look at Fast Energy..sudah masuk longkang...they should have push the price b4 RI, else let them subscribe it themselves..
