Justice for Xingquan minority shareholders. [Case: SC2019-38XX], [Case: SC2019-57XX], (Bursa Ref: CC/XX/19)
Dear SC and Bursa,
I am please and delight that SC encourage shareholders to be prepared and participate effectively at an Annual General Meeting (AGM) with below CORPORATE GOVERNANCE CHECKLIST FOR SHAREHOLDERS:

Post AGM
1. Have you read the ‘Key Matters Discussed’?
Listed issuers are required to publish the ‘Key Matters Discussed’ on its website which is a description of issues discussed and outcomes decided at the AGM.
2. Do the ’Key Matters Discussed’ reflect the discussions and outcomes of the AGM accurately? The ‘Key Matters Discussed’ should not be a mere listing of resolutions and voting outcomes of the AGM.
3. Are shareholders provided with an accessible and effective mechanism to maintain communication with the company?
I’m currently facing problems with BLand, BCorp and JAKS when I write in to request for a copy of AGM minutes or suggest to them to post the ‘Key Matters Discussed and Management Presentation’ on their website.
May I ask?
1. Should SC and Bursa make posting of AGM on ‘Key Matters Discussed and Management Presentation’ on its website mandatory since many listed companies did not voluntarily do so?
2. Should SC and Bursa make ‘promised and presentation make by BOD, management and external auditors’ during AGM legally accountable and SC or Bursa can take investigation and reprimand action if minority shareholders make complaint that BOD did not fulfill the promised/presentation but are willful intention to mislead the attending shareholders or with intention to misrepresent the true situation.
Example: A minority shareholder of BCorp asks:
During the past two AGMs, TSVT (Tan Sri Vincent Tan) has promised a dividend post Kyoto Four Seasons disposal, is the promise still intact? May I know if the promise made during AGM has any legal consequences? I am sorry for having to ask this as I have been buying more BCorporation shares the past two years because of TSVT promises.
And he got this reply: “The Executive Chairman of BCorporation is also the major controlling shareholder of BCorporation and he supports all dividend payout proposed by the Boards. The Boards of BCorporation and BLand will do their best in the interests of their shareholders, in particular the shareholders’ requests for 2019/20 dividends. The Boards will look into the proposed dividend after taking into consideration the financial positions, performance, commitments and impact of the Covid pandemic as well as the movement control order (MCO) on the BCorporation and BLand group of companies”
My own experience:

As late as 24 May 2018 at HRC 59th AGM: The CFO then reported the key highlight of the following three (3) major capital investments the company would be undertaking in 2018 and 2019 and shared that the three investments were vital to the company’s long term sustainability and long-term profitability:
- 2018 major turnaround
- Project Atlas 2
- Project E4M
I was mislead by this 2018 HRC AGM and totally caught off guard and surprise by the subsequent another three (3) big CAPEX USD (48+76+66.40) million on Bursa announcement dated: 05 Sept 2018: 02 Nov 2018 and 16 Jan 2019
2. I’ m totally shocked and dumbfounded with my first Xingquan 2016 AGM experience that the BOD/Auditors were allowed to lie thro’ their teeth with impunity. This had prompted me to start my difficult journey to seek the truth and demand justices for minority shareholders.
The truth is Xingquan BOD are all fraudsters and they used Bursa listing loophole (Deliberately failed to submit financial report) to get Xingquan delisted from Bursa and laughing all the way to the bank with IPO and RI Malaysian’s hard earned money (Hundreds of million).
Is delisting a fair closure for the long suffered minority shareholders? Is justices served? Should SC and Bursa take on the shared responsibility to take further actions to seek a fair closure for minority shareholders and bring on the full force of rule of law against those who broke the law?
Question 1: In view of the seriousness of offends/frauds committed by the fraudsters and their total disregard/contempt shown against authorities of SC and BURSA with no respect for Malaysia Law. Has SC made an extradition request with the Chinese government to extradite CEO Dato’ Wu and his brother executive director Wu Lianfu to stand trial in Malaysia Court?

Xingquan brand products (Gertop) are available for sale at many online shopping websites. This means Xingquan still has production lines and assets in China but the China owner and Management team just took us Malaysians as fools and showed utmost contempt to SC and BURSA authorities/Malaysia law.
Will SC now invoke CMSA 2007 section 358 (1) in the public interest, taking legal action against Xingquan to recover loss on behalf of victims who suffers loss or damage by reason of, or by relying on, the conduct of another person who has contravened any provision of Part VI or any regulations made under this Act, the amount of the loss or damage by instituting civil proceedings against the other person whether or not that other person has been charged with an offence in respect of the contravention or whether or not a contravention has been proved in a prosecution?
No justice, no peace so please are SC and Bursa going to take further action on Xingquan or case closed no further action?
Let's work together to uphold justice and peace for all, whereby SC and Bursa use its regulatory oversight authority to formulate and enforce Corporate Governance laws and empower minority shareholders in playing the role of an effective watchdog to report any breach of laws to SC and Bursa.
(Note: Sadly SC encourages shareholders to be prepared and participate effectively at an AGM but on the other hand BOD are free to bullshit and further mislead or selling beautiful story to hoodwink minority shareholders with impunity. Minority shareholders were at the receiving end and been bullied, mistreated and deceived by BOD with no-one/no-law to turn to)

1. Make management arranged briefing presentations for IB analysts available on the website for equal access to the general public.
2. Allow Reporters covered AGM a reporter pass to attend the actual AGM so that reporters can report actually what happened during AGM rather than the current practice of after AGM meet the press where BOD sold a different beautiful story to the press.

My last big purchase of ql was in Christmas 2018 50k shares done@6.25. this is my conviction.
Let's compare 2020 Christmas day ql capital gain stock price versus your INSAS share price. If you had bought at rm1 and it dropped now to 0.67 it would not really be fair. So let's assume that your latest big purchase was Christmas day 2018 at 0.65.

And yes I came from a poor family. Do you have something against poor families? A lot of the most successful individuals come from poor families. Those that were born in comfort will never have the motivation to push themselves forward.

Good morning 3iii,
General Raider bought 1 million INSAS-WB at 0.5 cents few weeks before expiration and should has sold back the WB at 1cent or 1.5 cents for 100 or 200% gain if he is not greedy. But he wait too long and had to panic q sell his 1 million WB at 0.5 cents for many days with no avail when expire date is near.
Finally Ah Thong must had heard General Raider prayer and out of pity bought the 1 million WB from General Raider. General Raider was so happy that he had a narrow escape with his RM 5,000.
He already learned his lesson and once he mange to buy NETX at 1 cent he will quickly q sell at 1.5 cents for 50% gain.
And by the way for a billionaire like you RM 5,000 is just a small change but to General Raider is as big as ‘Bull Cart Wheel’
