PROPOSED DISPOSAL OF 27.72 ACRES OF LAND IN PUTRA PERDANA FORMING PART OF MASTER TITLE NO LOT 14009, PN 39258, MUKIM DENGKIL, DAERAH SEPANG, NEGERI SELANGOR BY TALAM LEISURE DEVELOPMENT SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF TTB TO EVER MARK (M) SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF IJM PROPERTIES SDN BHD ("PROPOSED LAND DISPOSAL")

The Board of Directors of TTB wishes to announce that Talam Leisure Development Sdn Bhd, a wholly-owned subsidiary of TTB had on 5 August 2024 entered into a sale and purchase agreement with Ever Mark (M) Sdn Bhd ("Purchaser"), a wholly-owned subsidiary of IJM Properties Sdn Bhd, for the disposal of a piece of commercial land measuring 27.72 acres located in Putra Perdana forming part of the master title Pajakan Negeri 39258, Lot 14009, Mukim of Dengkil, Daerah Sepang, Negeri Selangor (“Land” or “Property”) for a disposal consideration consisting of RM66,000,000 as a condition precedent completion payment sum, RM18,000,000 interest waiver on the indebtedness and a variable entitlement of the 30% of profit after tax of the Purchaser’s project development (“Disposal Consideration”) [“Proposed Land Disposal”].

NEGERI SELANGOR BY TALAM LEISURE DEVELOPMENT SDN BHD, A WHOLLY-OWNED

SUBSIDIARY OF TTB TO EVER MARK (M) SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF

IJM PROPERTIES SDN BHD (“PROPOSED LAND DISPOSAL”)

1. INTRODUCTION

The Board of Directors of TTB wishes to announce that Talam Leisure Development Sdn Bhd [Company

No. 199301020717 (275455-K) (“Vendor” or “TLDSB”), a wholly-owned subsidiary of TTB had on 5

August 2024 entered into a sale and purchase agreement (“SPA”) with Ever Mark (M) Sdn Bhd

[Company No. 199001008925 (200495-K)] (“EMSB” or “Purchaser”), a wholly-owned subsidiary of IJM

Properties Sdn Bhd [Company No. 198301004557 (275455-K)] (“IJMP”), for the disposal of a piece of

commercial land measuring 27.72 acres located in Putra Perdana forming part of the master title Pajakan

Negeri 39258, Lot 14009, Mukim of Dengkil, Daerah Sepang, Negeri Selangor (“Land” or “Property”)

for a disposal consideration consisting of RM66,000,000 as a condition precedent completion payment

sum, RM18,000,000 interest waiver on the indebtedness and a variable entitlement of the 30% of profit

after tax of the Purchaser’s project development (“project”) (“Disposal Consideration”) [“Proposed Land

Disposal”].

2. DETAILS OF THE PROPOSED LAND DISPOSAL

The Proposed Land Disposal which entails the disposal of the Land by TLDSB to EMSB for the Disposal

Consideration shall be by way of setting off a sum of RM66,000,000 of the indebtedness, RM18,000,000

million interest waiver on the indebtedness owed by TTB Group to IJMP and variable entitlement of the

30% of profit after tax of the project where RM10,000,000 will be payable to TLDSB over 24 months

installment commencing from first sales launch of the project, subject to the terms and conditions of the

SPA.

2.1 Background information on the Land

A summary of the information of the Land is as follows:-
