Goodwill - 20m
Loan Liability - (100m)

Balance sheet has to be balanced. Basic.

The some genius says, Goodwill is worthless, and now we calculate the net asset. The net asset/liability become -20m.

Meaning to say, based on those genius theory, whoever pay a proceed higher than the company net asset amount will cause your company become negative and your company straight become worthless.

Whether your depreciation high or low, it will not affect your tax payable for income tax, because depreciation is a non-deductible item in corporation tax. However, the impairment of asset, will affect the "deferred tax liability", it will definitely reduce your deferred tax liability. Just basic accounting knowledge.
