KUALA LUMPUR: Ta Ann Holdings Bhd
is buying a 30.4% stake in Sarawak Plantation Bhd
(SPB) for RM169.9mil cash from a company controlled by its executive chairman and some of its directors.
The timber and palm oil producer said in its filings today that it had entered into a share sale agreement with Cermat Ceria Sdn Bhd for the proposed acquisition of 84.97 million shares in SPB for RM2 each.
“The proposed acquisition is consistent with the company’s plan to further expand its oil palm plantation business and gain larger market access in Sarawak,” Ta Ann said.
The purchase price valued SPB at 16.5 times its projected earnings.
Ta Ann said the enterprise value per planted hectare (EV/planted ha) works out to about RM16,667, or RM21,679 excluding encumbered estates.
This is lower than the average of comparable companies of RM43,486.
Ta Ann said its planted area would likely be enlarged by about 23%, given the group’s 30.39% stake in SPB.
SPB is principally involved in the cultivation of oil palm and the processing of fresh fruit bunches into crude palm oil and palm kernel.
As at Dec 31, 2016, SPB owned 20 oil palm estates, with a total planted area of 34,837ha, which were made up of 26,825ha of matured area and 8,012ha of immature area (less than three years).
SPB’s oil palm estates are predominantly located at Niah and Mukah in Sarawak.

For your information, open market do not have 30% of shares to buy, and CNQC want to buy at discount price. Normally such a huge amount of shares is not easy to transact through open market, that's why they have to go through private placement or share swapping and it is usually a complicated processes.

Agree. Not everyone get only those performing employees.

Esos means employees have to use their own money to buy the shares.
Obviously they will dispose at a higher price like 0.20 -0.30 and make more money!
If normal employee buy and it goes down, everybody would resign/ get angry/ unproductive at work .
