YNH is in messy situation. Purchase/joint venture by YNH subsidiary Kar Sin property with GWP over a piece of land. Original purchase price, $150millo, than adjusted to $170m than adjusted to $259m. ($170m+$89m). Final figure was $170m and $89m TO BE REFUNDED. ???? Now the said land resold to Sunway @$170m while YNH waiting for maybe long time for refund of $89m. Similar case of waiting for refund cases 1. AT system $4.4m full payment for glove factory purchase while under due diligence(first time lousy director do S&P in 2021.NOw 3 years already, no sight of refund. 2. Cepat Plantation directors suka suka write a cheque of $12m for their personal use. Almost 15 years of case management, still no refund. 3. TSH sale of land in Indonesia for $735m, got half of the payment, the other half still not received , almost 16 months after the sale. When, nobody knows. 4. Ekran boss Ting Pek Kim receive $700m from Ekran via MONEY LENDING arms of Ekran. Sure enuf, the $700m
is gone till today, after 20 years. (be careful if you see a non finance related company obtaining money lending license)

It is learnt that the raids were conducted around the Tropicana area in Petaling Jaya.

PETALING JAYA: The Securities Commission (SC) is believed to have raided premises of listed companies for suspected abuse of fund-raising activities.

According to well-placed sources, the regulator kicked off the investigations following complaints and tip-offs from the public on alleged fraud, as well as potential false or misleading disclosure by several public-listed companies in their fund-raising exercises, including private placements, employees share option schemes and rights issues.

It is learnt that the raids were conducted around the Tropicana area in Petaling Jaya.

A number of listed companies had taken advantage of relaxed fund-raising rules that were loosened during the Covid-19 crisis. The rules were changed to allow companies to sell up to 20% of their issued share capital via private placements until Dec 31, 2021, compared with 10% previously.

In addition, companies were permitted to issue up to 30% of their existing share capital in a share placement if the shareholders approve the exercise at an EGM.

Naturally, the relaxed ruling attracted numerous small-cap companies to raise fresh cash for working capital and future investments or for new business ventures such as rubber glove manufacturing or distribution of vaccines and Covid-19 test kits.

According to the SC, fresh capital raised from secondary issuance, such as share placements and rights issues, rose 76% year-on-year (y-o-y) to RM8bil in 2020 and another 78.8% y-o-y jump to RM14.3bil in 2021.

Late last year, Bursa Malaysia proposed amendments to the Main Market and ACE Market Listing Requirements to, among others, boost the transparency on fund-raising exercises involving new securities issuance.

The exchange issued a consultation paper seeking public feedback on these proposed amendments.

Interested parties were invited to submit their comments and feedback by Jan 26, 2024.

Among the key proposed amendments include enhanced disclosures in relation to placement exercises, enhancing the employee share scheme framework by subjecting a share grant scheme to the same restriction on the total number of shares issued under a share issuance scheme.

These amendments were proposed probably to tighten the screw on public-listed companies’ fund-raising exercise rules, which were relaxed to help ease cash constraints caused by the Covid-19 pandemic in 2020.

ASTUTE market observers would have noticed on the local bourse a group of individuals, supposedly acting in concert, who have amassed shares in more than 20 publicly traded companies. These companies — linked via shareholding and directorships — are often on the most actively traded list, with huge, fluctuating share prices.

“It (the companies) is all linked to the same person; usually, the most actively traded list on a daily basis involves these counters,” one source says when asked which are the companies that are linked.

Since it is for Newbies, they might not understand all this complicated jargon of BI, EPS, Dilution, Free this Free that, etc..

I am a Newbies many moon back, maybe I can give some FREE info.

NetX Brief Business Details:

How is Electronic Payment Services (EPS) and Data Center (DC) related?
In order to store Billions of Transaction and analysis of consumers spending, the perfect place is in DC..building DC is one off investment, users paying for the services is for the long term.

Now is the trend for DC and Software Solution, what are the chances for NetX to visit prices before consolidation??

Is it contradictory for ‘end up valueless’ and ‘warrant conversion, causing dilution to shareholding equity % and EPS’? Which is better?

If it ‘end up valueless’, at least get a chance to trade for something which is FREE. If ‘warrant conversion’, does it really ‘causing dilution to shareholding equity % and EPS’?
Bear in mind at the time of FREE Warrant, NetX EPS is Negative; therefore sharing rather than dilution. If ‘below exercise price of 0.10’; is it possible for any conversion or dilution?

Note: I don't hold any NetX share, only holding millions of Fintec-PA before consolidation in which mother Fintec is a majority Shareholder of NetX. For EPS to turn Negative to Positive in a Financial Year (FY) is very easy; Insas is doing it yearly by selling the Golden Goose Inari…all calculated by selling how much to make how much profit. For all these so-called ‘con’ counters, it is not so lucky as Insas, no Golden Goose to sell. Some counters sell land in a foreign land and some sell priced properties just to make EPS turn positive..
For BI of FREE warrants, please read my example in Gocean post, JAG BI of FREE warrants if bought at highest just to get the FREE gift paying a hefty price..
For the answer on who benefits most, your guess is as good as mine? Example in JAG; the one sold at MYR0.4 and bought back at MYR0.25? Not me, I don't have any to sell at MYR0.4, bought at MYR0.25 and hopefully can get some good return in less than a year. The morale is to buy Low (bought majority of my ICPS at almost FREE of lowest MYR0.005 price, and wait for auto-convert if not able to make any gain) and sell High; not buy High just to get the BI of FREE warrants..as always Happy Trading and TradeAtYourOwnRisk

IMHO, All shareholders, minor or major shareholders, including Fintec benefited from this ‘free money’. How much does Fintec gain from this ‘free money’??
