4Q11/FY11 net profit of RM348m/RM1.5bn in line. Key drag to earnings are RM76m mark-to-market losses from hedging positions, RM40m impairment charge for CLOS and RM20m one-off HR expenses. Maintain Buy and RM9.10 TP.

消息传出，兴业资本（RHBCap，1066，主板金融股）与侨丰控股（OSK，5053，主板金融股）的合并计划，相信已获国家银行批准。
据《星报》援引一名不具名分析员的话指出：“在正式公布上述消息前，料将需要2至3个星期的时间。”
大部分分析员预测，此合并计划可获得国行的批准。
不过，一些银行领域业者却对核批过程加速感到意外。
市场观察者表示：“银行领域业者一时觉得有关当局放缓脚步，一时又质疑他们为何加快审核过程。我认为，市场和银行领域必须调整心态。”
仍有阻碍
此外，一些因素也阻碍合并计划的发展，像是价格、市场传闻联昌国际（CIMB，1023，主板金融股）仍有意收购兴业资本，以及合并后的投资银行大多数高层均来自侨丰控股等问题。
另一名领域业者指出：“若以近2倍账面价值来计算，可能需要约10亿令吉来收购侨丰控股。”
截至2011年12月杪，侨丰集团股东的基金处于10亿4100万令吉的水平。
“若联昌国际果真有意收购兴业资本，前者必须以相当高的价格来收购。”
兴业资本及侨丰控股，甫于今年1月11日透过国家银行，向财政部提出申请，寻求批准两家公司的合并献议。
收购侨丰投资银行，能让兴业资本超越联昌国际投资银行，成为大马最大的股票经纪行。
闭市时，兴业资本以7.25令吉平盘挂收，成交量有411万3200股。
至于侨丰控股则稳健走高，闭市时报1.56令吉，起5仙或3.31%，成交量有68万4000股。
进程延迟不意外
券商也表示，合并计划延迟乃属意料中事，主要是投资银行的管理层分配问题所致。
肯南嘉投资研究分析员披露：“原本预计在今年首季完成的合并计划，料将推迟至今年第三季才能完成。”
分析员指出，合并计划可提高兴业资本中期至长期的盈利水平，并正面看待该合并计划。
“我们相信，收购侨丰投资银行或将促使兴业资本的客户更多元化，以及扩大其在资本市场的规模。同时，兴业资本也可进驻其他亚太市场。”
另外，兴业资本昨日宣布，将股息再投资计划内的新股定价为6.52令吉，这批新股定价是根据兴业资本过去5天（包括4月25日）的平均市价（7.41令吉），再减去总股息和10%折价来拟定。
分析员认为，若以90%的接受率来计算，兴业资本将发行2000万新股，股本料将扩大0.9%，股东将获得约9.1%的回馈。

apart from aabar, mbsb is clearly against the idea of merging and want to be a bank by itself. in this case, not much up side for oskh whether rhb will go private or not, as oskh cannot sell the 9.8% stakes anyway. the real value of oskh issued shares has actually became rhb shares (as oskib sold in return for rhb shares), rightfully, oskh should exercise shares reduction to correctly reflect the true value of oskh being an HOLDING company, it should have been a pn17... since this is not happening, oskh share is actually overpriced now. the market correctly reflecting this point

now it seems that the only reason holding on to oskh is higher than expected div. if oskh failed on this part, u can expect it to go back to $1.5 range, same figure as the latest off market shares moved
