@huatio, I think it is not a requirement that the digital banking license can only be issued to listed company. Bstead apply for the license under a new consortium entity comprising a few partners. Therefore, Bstead can still be privatized if LTAT decide to go ahead.

@huatio, I think so. Per past years accounts, LTAT has zero borrowing. They only invest the funds from members. The borrowings are at the subsidiaries level. To privatize Bstead at $1/- per share , LTAT needs to find about $820 million. I think it is not difficult for LTAT to borrow temporarily for such sum from financial institutions against the shares LTAT hold in the many public listed entities. After privatization and follow by monetisation of some assets held by Bstead , the borrowing can be repaid.

Malaysian conglomerate Boustead Holdings Bhd is weighing options for its listed palm oil subsidiary including a sale, people with knowledge of the matter said.

The parent of Boustead Plantations Bhd is working with an adviser on the potential options, the people said, asking not to be named as the information is private. A plan could be implemented as soon as in the next few weeks, they said.

The holding company, which owns 57.4% of the subsidiary, could sell the unit or lease the plantations to third parties, the people said. Another option is to sell the individual plantations separately, one of the people said.

Malaysia’s armed forces pension fund Lembaga Tabung Angkatan Tentera, the majority shareholder of Boustead Holdings, owns 12.1% of the plantations unit, according to data compiled by Bloomberg. Boustead Plantations has a market value of about RM1.3 billion.

Deliberations are still ongoing and Boustead Holdings could decide not to proceed with a sale, the people said.

Boustead Holdings does not have immediate plans to pare down its stake in Boustead Plantations, a spokesperson said in response to a Bloomberg News query. Boustead Plantations is a core contributor to the group’s performance, however the company is continuously on the lookout to unlock value within the group, they said.

Restructuring challenges
The potential sale comes as Boustead Holdings is attempting to reinvent itself amid difficulties that predate the coronavirus pandemic, including debt totalling almost RM7.5 billion, according to its earnings statement for the quarter ended March 31. Its shares tumbled in February after LTAT announced it would not proceed with a take-private proposal for Boustead, citing economic challenges from the coronavirus pandemic.

The restructuring plan by one of Malaysia’s oldest conglomerates, which traces its roots to 1828, included a pledge to dispose of non-strategic assets.

Palm oil prices are up 3.7% this year after touching an all-time high in May. Palm oil planter Kuala Lumpur Kepong Bhd last month offered to buy a controlling stake in smaller rival IJM Plantations Bhd for RM1.5 billion.

Boustead Plantations owns and leases a total of 48 oil palm plantation estates and 10 palm oil mills in Malaysia, according to its website. Its land bank consists of more than 98,200 hectares, of which 79,400 hectares are used for oil palm cultivation.

The unit’s chief executive officer Ibrahim Abdul Majid resigned in order to join Boustead Holdings, according to an exchange filing Tuesday. Majid will lead the company’s plantation technology and innovation initiatives

Personally I believe there are many other plc with much better balance sheets, profitability and in the right bz to be possible candidates for privatization rather than Boustead Group which has very heavy debts with hight interest rates and loosing big money on top. Just my view though.

@Karlos, agreed with you that Bstead’s balance sheet don’t look good. . I believe all the negative factors about Bstead are reflected in the dismal share price already. For tfe privatization, the ball is at LTAT’s feet. The privatization will materialize if LTAT believes that a lot of value can be extracted . I think most of the assets in the group are something deep pockets companies are eager to acquire above book value.

Earlier on something just brewing....now becoming real. Sale of Boustead plantation is at good timing as CPO price is good. Huge gain from disposal which will ultimately increase the value of Boustead Bhd

Even if Boustead Group sell Boustead Plantation, very unlikely shareholders can get any benefit such as dividends. As of now BG has already experienced shortage of cash to comply with the requirements of their existing sukuk/bond requirements to deposit minimum requirement of principal balance into the Financial Service Reserve Account (FSRA). Any how any cash must go first to the lenders and Sukuk/Bond holders. If these people are not paid according to the agreements, share holders will suffer big losses.
Taking BG private may also trigger some of the lenders and Sukuk covenants and terms of agreements and they may have the rights to be paid in full or redeemed.

LTAT and Bstead have to do something right to shore up performance and hence valuation. The members from military who used to enjoyed good dividend are running out of patience. Based on this logic , I started accumulating Bstead from 55 sen and Bplant from 35 sen since last year . I have yet to sell a single share since then.
