If KSL pays RM30mil Directors Remuneration Packages, the directors sapu all the RM30mil.
If KSL pays RM30mil Dividends, the directors get only RM12mil. The other shareholders get RM18mil.
That is why the directors choose to pay out Directors Remuneration Packages instead of Dividends. Very selfish of them to sapu everything for themselves and leave nothing for the minority shareholders..
KSL's directors' shenanigans at the expense of the minorities won't benefit them. In the end they will cough up every sen (and more) that they have caused the minority shareholders to lose by misleading data and in not keeping their promises.
Klang Mall, which heavily drain on KSL cashflow, Expected to be ready by end 2020. After that, if no big land acquisition, KSL may be paying div in 2021. So, it is not a time to rush in to buy now....

@leong, if both KSL mall turn to Reit, that will be a bonus. If not, then will be fine. KSL mall @JB contributed 100mil profit before tax yearly for KSL, nearly 60% profit margin. I believe KSL mall @Klang can perform like in JB. Both KSL mall can contribute at least 200mil profit before tax (EPS 20sen). Current share price 76sen is damn cheap.

Refer Chairman’s statement 2014 Annual report: "I am also pleased to announce that the Group has adopted a dividend policy of distributing 40%of the Group’s annual net profit after tax from operations (excluding any fair value gains) to shareholders in the form of cash dividends or new share issuance under the Dividend Reinvestment Plan scheme. Q8: Without a formal dividend policy KSL market price had dropped into penny stock (below RM 1.00) level. Should Board consider adopting a new formal dividend policy to give clarity to investing public that the BOD/Controlling shareholders interest is aligned with minority shareholders.

I am glad to see KSL group is well managed and run by company founder three brothers where each taking up a section/area responsibility for the day-to-day management, decision-making and operations of the group as compare with other where a single CEO overall responsible for the day-to-day management, decision-making and operations of the group. I am bringing out this as I feel the remuneration is on the high side since each only responsible for a section/area of the group business. Hopefully next year this remuneration can be reviewed and any saving is used to pay a dividend. What is your opinion?
