1)之前已经进行过削资活动(reduction in share capital)的SCOMI故技重施，将现有的股票资本(share capital)从RM224.963M大幅减少至RM3M,意味着从股票资本拨出RM221.963M用来抵消公司现有和未来的潜在亏损。

为什么要进行reduction in share capital?因为share capital本身是不能动用的，因此即使里面有再多钱也没有用。

就好比我们成立一间Sdn Bhd,股票资本最低只需要RM2,那么这RM2是拿不出来的。而有些人会放RM100万，RM1000万，甚至更多。share capital可以说是公司的可信度，放的越多，公司就越稳固。因为这笔钱是不能动用的，放的多就代表董事对公司有信心。所以SCOMI从股票资本拿钱出来，代表什么呢?

Share Consolidation 4 to 1
2)早在几个月的公告就已表明SCOMI会进行股价4合1活动，也就是将目前的1093M股票/4=273M,那么股价也会从现有的9sen调整至36sen。

Liability Settlement
3)欠下Maybank的RM113.957M,经过协调同意已RM38M解决。SCOMI如何筹集资金呢?

38M分为两个部分完成，第一部分用推出附加股拿到的RM23M现金支付，第二部分推出83,333,333新股票，每股RM0.190,总共RM15M给Maybank。

Restricted Share
4)以3附加股送1配单Warrant C的方式，发出215.1M的限制性新股给Tan Sri Wan Azmi(之前拥有Splash水务公司30%股权的企业家)和Gelombang Global Sdn Bhd,发售价为RM0.190

还有，之前的公告还有别的附加股计划。

@JackMa123 if you read the proposal, you can see that IJM have agreed to subscribe in full their portion of rights and have agreed not to dispose any lower than their initial holding stake in %. So, IJM is definitely not disposing as of now.

（吉隆坡18日讯）陷入财务困境的史格米集团（SCOMI，7158，主板能源组）宣布扩大削资及发股集资，著名商人丹斯里旺阿兹米和前玲珑集团（Renong）董事经理拿督莫哈末查克希尔将入股，初步估计两人最多将掌握28.47%股权。



最大股东怡保工程将持30.21%



目前，史格米集团最大股东是怡保工程（IJM,3336,主板建筑组），持股为21.39%，在史格米集团一系列资本重组活动完成后，股权最高将提升到30.21%。



史格米集团发表文告说，建议修改5月底提出的股本削减计划，将削资额从1亿8496万3657令吉提高到2亿2196万3657令吉，全数用于抵销累积亏损。在削资后，该公司的股本将剩下300万令吉。



随后，该公司将展开附加股配售等一系列活动。旺阿兹米和查克希尔的Gelombang Global公司承诺各以2100万令吉贷款，换取史格米集团的附加股。



若配股不足，史格米集团同意向两人配发最多2亿1510万零743股受限股票（restrictedshares），每股售价19仙，并以3送1比例配送最多7170万零247张凭单。



此前，怡保工程、史格米集团首席执行员谢国辉等原有股东已同意认购附加股，总值达5458万9000令吉。



至于史格米集团早前与马来亚银行达成的债务重组协议，透过2300万令吉现金和1500万令吉新股，解决1亿1395万7000令吉债款，将照常进行。



在一系列计划完成后，史格米集团的股本将提高到最多4亿9906万1000令吉，负债比也由1.98倍降至最低0.79倍。以持股来看，旺阿兹米和查克希尔最多将分别持有14.34%和14.13%股权，最低是6.36%和6.25%。



至于怡保工程，将依然是史格米集团最大股东，股权最多会提高到30.21%，最低是18.6%。



此外，马银行也将拥有史格米集团的3.53至7.57%股权。



两项配股计划集资额最低为7658万9000令吉，最高则是2亿5475万8000令吉。在扣除谢国辉的300万令吉透支，以及旺阿兹米和查克希尔各2100万令吉贷款后，该公司最多还剩下2亿零975万8000令吉。



在这笔大约2亿令吉款项中，该公司计划将1亿零902万8000令吉充作资本开销，再扣除65万令吉发股开销后，其余款项全数用于还债，包括史格米能源（SCOMIES,7045,主板能源组）透支（5116万5000令吉）、马银行欠款（2300万令吉）和非贸易债权人（2591万5000令吉）。



史格米集团预期可在下半年完成上述计划。



今日复牌



史格米集团配合上述宣布停牌两天，将于明日复牌，最后报价为9仙。
