私下配股(Private Placement)

私下配股与附加股(Right issue)一样，就是公司不想向银行借钱而给利息，而且批准时间较长，因此向股东们要钱。不过私下配股却不像附加股那样给原有股东购买权，以免稀薄股权。私下配股是私下配股给第三者，那就是拥有大笔资金的机构。由于私下配股只给予第三者，而没有提供原有股东购买，因此在完成了私下配股后，原有股东的股份会被稀薄。

不仅如此，私下配股而带来的额外股份导致稀薄每股盈利(EPS),那么公司需要赚更多的钱才能保持原有的EPS。在EPS降低的情况下，公司的PE会提高，导致股票吸引力降低。

不过要注意私下配股的动机，有些公司进行私下配股是为了派息，还债。而有些公司则是为了购买机器，进行扩展。前者的动机属于利空，后者的动机则属于利好。

无论如何，给予机构的私下配股股价普遍上都会比市价低10%不等，再加上股票数量增加引起EPS下跌，估值相应得降低。因此短期对公司股价来说是个利空。
