斥资入主斐济公司 Nexgram投资产业发展

（吉隆坡26日讯）终端流动应用服务供应商Nexgram控股有限公司（NEXGRAM，0096，创业板）已收购斐济一家公司的70%股权，让它可进军当地产业发展、建筑以及资讯科技相关业务。

在致给大马交易所的文件中，Nexgram控股说，其独资子公司Nexgram置地私人有限公司，已与南方投资控股有限公司签署一份股票脱售协议，后者是一家在英属维尔京群岛成立的公司。

在上述协议下，它将以2480万令吉现金，买入Top Symphony私人有限公司的70%股份，或420万股票。

Nexgram控股指出，建议中收购将开放门户让它参与斐济经济发展和成长步伐，该国现仍处于初步的发展阶段。

“透过由Top Symphony与斐济当局签署的设计-建造大蓝图协议，它将给予一个新发展机会，开发一个海外政府领导和推广的建筑与综合发展计划。”

上述斐济当局为房屋局，是一个在斐济房屋法令下成立的法定机构。

上述设计-建造大蓝图协议将配合包含商业、工业与住宅单位的综合发展计划而执行。

这项计划涉及建造和联营发展超过6000住宅单位、商业和其他工业设备，总发展期逾10年。

“另外，透过多元化至产业发展的新市场，建议中收购也提供进一步机会予集团的其他相关商业领域成长，尤其是资讯科技相关设备与服务，以及CCTV监视业务进军斐济。”

建议中收购将透过内部基金和银行借贷融资，惟配额现暂未决定。

成立于2008年1月8日的Top Symphony，主要活动是产业发展和建筑合约。它拥有注册与缴足资本各1000万令吉和600万令吉。在财务上，该公司于截至2011、12和13年12月31日止最新3个财政年度均蒙亏，只在2011财政年录得5万令吉盈利。

Nexgram控股表示，建议中收购预料不会对截至2015年4月30日止财政年度的收益和净资产值产生任何重大影响。不过，这项行动预料于长期方面为集团带来正面贡献。

在完成建议中收购后，Top Symphony将成为Nexgram控股的子公司，而其余30%将继续由Synergy Windfall私人有限公司拥有。

建议中收购预料将在2015财政年第3季度完成。

marina, my sincerely advise to you not to reveal the no. of share you are holding. For your own safety. there are many smart crooks out there (I believe all the guys in this forum are good guys) can trace us and do a lot of things especially if they know you are loaded. Anyway just my opinion.

Nexgram: Directors resign following legal suit by Protasco. Three Nexgram Holdings directors have resigned following a legal suit against the company‘s founder, Tey Por Yee, filed by Protasco. Protasco had said it was launching a legal suit against Tey, a substantial shareholder of Protasco, as well as another Protasco director Ooi Kock Aun and Indonesian-based PT Anglo Slavic Utama (PT ASU). Nexgram said that three of its directors − Leou Thiam Lai, Ungku Razak Ungku Rahman and Yap Siok Teng − had resigned ―because of the newspaper report on Protasco filing legal suit against a director of the company. Good Financial Result investor will flow in sooner or later. With revenue more than 100mil this company is in good operating size actually.

Really hope director could create another core business to enhance revenue and earning.

from the buying and selling volume, contra kaki are almost all cleared. WA and WC also pushed up and closed at 6.5. Mother share also stabilised at 12.5, no selling pressure and no one intend to sell at 12.
