（吉隆坡30日讯）遭外部审计师毕马威（KPMG）质疑账目问题而闹得满城风雨的Serbadk控股（SERBADK，5279，主要板能源），特别召开线上记者会澄清毕马威提出的疑问。同时也指出毕马威直接通报法定审计事项的做法，实则不寻常。



Serbadk控股董事经理兼总执行长拿督莫哈默卡林周六（29日）临时召开线上记者会指出，毕马威针对Serbadk控股5大审计事项提出疑问。其中包括：

1.外部客户关于销售交易，应收账款和余额相关的客户确认。

2.本地供应商的采购交易和应付账款余额。

3.在西亚巴林的客户和供应商公司搜索问题。

4.贸易应收款余额和销售交易中IT合同的合法性。

5.其他未决事项

Serbadk控股总财务长阿兹汉指出，毕马威于今年4月中旬就越过Serbadk控股管理层，事先将以上法定审计事项通报给独立董事，5月3日才通报管理层。

对此卡林指出，若审计出现问题，毕马威理应先向管理层提出疑问，因此认为后者的做法其实不寻常（Abnormal）。

“而且针对毕马威提出的这5大审计事项疑问，我们早于5月6日召开了董事会议做出澄清，当时毕马威的代表也有出席，他手上也有我们这份解释的演示（presentation）文件。”

此外，毕马威历年来一直是Serbadk控股的外部审计师。当媒体询问为何早年没相关问题，如今毕马威却骤然对Serbadk控股的账目提出法定审计事项的问题时，卡林回应道：“我们也很纳闷，这一点，恐怕要问毕马威。”

但期间卡林也特别强调，毕马威的审计疑问中不存在集团所获项目的真实性，以及项目价值虚实的问题。

他指出，相关完整解释文件已于周五（28日）较晚提呈马证交所。


针对Serbadk控股建议召开特大，撤换外部审计师毕马威，卡林指出，作为管理层，他只是将股东的请求提出来。

Serbadk控股周五（28日）稍晚向马证交所报备，收到大股东兼董事拿督阿都卡迪发出的特别通告，建议根据2016年公司法令召开特别股东大会，撤换审计师。

阿兹汉指出，一般上只要股东发出特别通告，两周后就会举办特别股东大会，预计落在6月28日或29日。

阿都卡迪是Serbadk控股的股东之一，持有15.96%股权，他同时建议撤除毕马威，并委任德豪（BDO）为截至2021年6月30日财年的外部审计师。

德豪目前是全球第5大审计师，排名仅在毕马威之后。

但据小股东监督机构（MSWG）最新文告指出，该机构呼吁Serbadk控股小股东反对换审计师提案。

“作为良好监管的一部分，毕马威应该被允许完成他们的工作，并在来届股东大会向股东们作出汇报。”

该机构认为，既然Serbadk控股将委任独立审计师来评估审计通报事项的真实性和准确性，那毕马威也应该被允许出面捍卫及解释自己自己的审计结果。

“当下并没有即刻移除审计师的需要。”

许多小股民都担心该起事件会对公司股价带来崩跌冲击，对此，卡林指出他已尽力做出解释，希望可解除投资者的疑虑。同时也强调已停牌两日的Serbadk控股，周一（31日）将恢复正常交易。

针对该起事件会否重挫投资者信心，卡林指出，Serbadk控股拥有强而有力的基本面，因此相信独立审计师了解介入后，会解决相关问题。

“但是目前尚未委任独立审计师，对此仍需得到股东的议决。”

此外，对于Serbadk控股为何将财政年从2020年底改至2021年6月底，总财务长阿兹汉解释，这主要因为受疫情冲击，集团没有足够时间完成审计，故将财政年延后。

Serbadk控股是于本月7日向马证交所报备延后财年的消息。

刚出席完briefing，首先karim丢出kpmg的5个疑点，把问题让group cfo 回答。

第一个
1） 部分顾客的确认订单，应收账款
KPMG：serba在没有没有通知KPMG的情况下（第一个confirmation没有回），直接联络customer。不过他说as external auditor而言，他们只收到一个。
Serba：他们只是想让整个process变快，然后已经把所有的reply交给kpmg了。也跟BOD一起讨论了。因为疫情关系，有些公司的负责人要serba把confirmation寄去他们的家，但serba说这只是2020的疫情影响，之前的FY没有这些事。这些就像kpmg所属说的2.3b、1/3 的总revenue，但三月时70%的sales其实已经收回来了，as at May，96% 已经拿回。

2）本地supplier的购买及应付账款
KPMG：2个本地厂商的开始营业在同一天，4个local supplier有相同的地址，包括前面提到的2家，通过筛查的6间supplier里面，有5家的PUC只有100k，而且只是individual shareholder，但transaction limit高达60m到96m。

Serba: serba有自己的VDP，目前是under马来西亚企业发展部的，目的就是让土著企业家成功。CFO先书面回答了跟文稿发出的一样，然后交给karim来述说之前VDP的经验。
Karim：serba营业28年了，有今天他说他们也是因为自己是anchor company of petronas，而当serba join这个programme的时候，他们的PUC也只是100k，而他们也想让其他SME参与proj，毕竟自己也是类似的prog出生，而且这是政府所提出 共享繁荣 Shared prosperity。

Azlan：至于registrered add，他们用的是同样的一个秘书处，Serba不止给他们proj，还充当adviser来advise 公司的有关税务等，这是VDP其中一个objective来帮他们成为更大企业。Auditor也有audit现场，但是去错地方，office building是421W，（但W是in Arabic word）不是421，421后面其实有A到Z。那6个supplier的交易额高达481m，这只是less than 10% of COGS。而且总共有4家supplier愿意和KPMG 谈，但kpmg方面没有做出任何回应。

3） 公司在Bahrain的顾客和供应商
CFO：kpmg去bahrain看的时候，statement of account不是显示他们的营业地址，而当他们去commercial registration add看的时候，竟是supermarket。Serba说这是因为他们的供应商已经搬了，而且这个serba已经从新的账单中确认他们已经搬了。还有一个顾客，KPMG说他们公司的电话竟然是registered under Group Regional General Manager，而他们时使用truecaller apps来identify 谁是caller。Serba说这不是正确的方法而且已经通过customer的同意把telco账单给kpmg看了。数目跟早前说的101m usd，应收账单则有点出入，不知道是24m usd还是CFO口误说成34m usd。

4） IT 业务
CFO：business address，不是在签名的地方，但contract的第一页已经有了。而且在UAE，Qatar是不需要放business registration number在他的invoice的，但其实有一家其实有show他们的注册号码（在invoice 下面）。LLC ,L.L.C不是大问题，就很像在马来西亚你可以放 sendirian berhad, sdn bhd, sdn. Bhd.。这些事情对serba来说都不是大事，不影响他们deal with supplier。关于直接还钱给subcon，剩余的才交给serba，CFO交给karim回答。

Karim：他们通常在国际市场跟local sponsor合作，因为他们没办法直接involved在contract里面。而且这些company通常51%都是local，这些local company有时会跟他们自己知道的公司合作，所以payment term才会是serba sub给A，A sub给B，所以B是还给A这样。这跟serba 一样，通常他们的M&E会是由当地的人来做，serba只是负责high level supervision而已。关于有些相关local sponsor公司没有IT背景，serba说，重点还是，你如果知道project owner是谁，即使你没有相关经验，但你有自己的technical partner（Serba），如果他们愿意颁发contract给你，你知道自己可以的话，就做。

进入Q&A之前，CFO再插kpmg一刀，他说已经在月头跟kpmg follow up了，但kpmg方面没有update回他们。所以board才决定appoint independent auditor来继续查下去。

Q&A
1） 回到2.3b的问题，公司其实已经说了96% as at May已经收回。
2） Reason to chg Kpmg -> 不是公司决定要换的，request是其中一个shareholder。他只是concern关于kpmg的capability来完成FY2020的audit。因为kpmg不能完成，所以他们才需要换FY的。但因为太短的notice，其他的big4没有reply，但BDO在malaysia top4，在world是top5，但他们觉得bdo有能力完成。EGM上会决定撤换。
3） 这是Operational related issue？karim：这些都是operational related issue，像去错地方，而且kpmg没有跟他们拿最新的地址等。但karim再次说截至目前这些customer已经收回了大约20%的receivable。
4） MSMG proposed 不要换auditor，但karim听完了后在笑，说那是他们的想法，但这决定会由shareholder来决定。但公司再次强调换FY是因为kpmg没办法在限时里完成auditing。
5） 有人问还有其他issue吗？serba回答为，没有了，这些而已，但6号到现在没有kpmg的消息。
6） BOD 的direction-> 这回到serba的EGM，到时股东就可以投票看要不要换了
7） SC 在调查，管理层有什么意见吗->serba回答说他们其实已经在announcement后跟很多方合作，包括给予应该有的资料
8） Legal action on KPMG -> karim笑笑说有所保留，但公司说目前最重要的是settle所有的outstanding work，但他们也在跟independent的audit review。
9） Kpower和scib都被影响，管理层有什么看法-> karim也笑说，现在是serba的舞台。但他促请大众认清楚，这件事上面只是影响到股价，但对于公司的赚钱能力等，是没有影响的。
10） KPMG已经和serba since 2013了，是什么问题导致现在这个情况，包括kpmg是不是换人等？->公司说Covid-19导致2020年是一个很challenging的一年，这可能会导致audit process没有那么顺畅。
11） 目前已经有其他的audit firm 交上proposal了
12） 星期一会不会继续suspend->公司说目前没有计划
13） 换公司audit，他们来得及赶出audit report吗？->公司说目前这也是在讨论之中，他们有跟potential film谈了。
14） 公司再次强调不会take legal action，因为最重要就是先完成audit review。
15） 这些supplier、customer都是之前的，不是新的
16） 公司也说他们其实很透明，甚至配合kpmg。提起换kpmg的shareholder其实很失望，karim也说其实他也是。他们其实希望kpmg方面可以配合，给一个正规的presentation让这件事情可以早点完结。Karim说5月4号时公司收到kpmg的email，但公司只用了两天，包括present给BoD来settle这个事情。
17） Karim也有说，今天不是工作天，但以为知道这件事情很重要，所以也召开这些briefing让更多人知道事情的真相，并减少投资者心中的疑虑。
18） Timeline -> FY 30th June, AR -> October 2021 ,
19） Karim说他没有卖过他的serba，因为他相信serba的strength。
20） 有什么sabotage issue吗？公司说他们再说的是事实，而且他们也尽力地settle这个issue，也会尽力向shareholder保证他们的权益
21） 有人问karim他在撤换auditor的想法时，karim也笑说这是shareholder的决定，所以他们会在当天的时候投票，但EGM谁投什么其实是秘密，所以就拭目以待（大家都在笑笑）
22） Special independent review会focus在由kpmg带起的疑问，当然现在已和potential auditor谈，近期会有安排
23） Cash as at 12月，是800-900m，加上之前PP的500m，公司现在有1.4b 现金。

我个人看法，
看到Karim 团队出的statement 回答关于 KPMG 的疑问那个仔细度真的让我看了哈哈大笑。什么地址弄成，公司名字出错芝麻碌豆的事情读写出来不是要让KPMG没面子吗？KMPG他酱大的公司让你酱写不就等于被Serbadk 当众拔衣服给人看你audit firm 多不专业。

换个角度，如果你是KMPG老板会不会维护自己的信誉而发文稿来反驳Serbadk的指控。。想想如果KMPG多两天出的文稿所指出的疑问和Serbadk所列出的疑问有出入，
酱他Serbadk不就自打嘴巴？？？？Serbadk不就立刻game over 没戏唱咯？？？

如果Serbadk是有心要做假账做神做鬼的干嘛要酱急和KMPG火力全开？？？ 自己静静慢慢拖日子不好，好让幕后老板慢慢出货不好，反正财政年已经extend了。我是有心的干嘛不拖到最后一天才装B出文稿好像金鹏集团这样拖到不能再拖了才爆发？？

actually this company what to do with serbadk? the only link is sharing same major shareholder. Mustakim already said kpower and serbadk are both different entities and from different management and their contracts not given by serbadk too. Company no problem. The only problem are our mindset and fears and emotions

What I derived from Kpower report on 4main business; energy/utility (solar project) , construction, logistic (existing customer are gloves company) , health care (ppe in Indonesia) & technology. Seems to possess very good balance of future growth.
Growing QoQ & YoY. Not a buy/sell call.
I bought in because I believed it will rebound due to fundamental and potential future earning. Cheers
