I have sold off all my Bplant and move on to other counter as RM1.55 seems unlikely to achieve in the near term. Is not worth to wait anymore as few percent may take weeks or months and this is my own opinion only

Will minorities of BHB reject the offer? LTAT is just 1 vote vs the many minorities who are unhappy with LTAT. Any one knows if LTAT has organised the support for the deal with BHB minorities?

BHB didn't do EGM as they compulsory acquired all minority on 7th Sept before EGM.. So it was just LTAT agreeing to sell and done. All Condition Precedence met. Hope they launch the GO very soon. 1.55 coming.

Yippy68, i have purchased SYGroup as they have changed their name and guess they have plans for the company. This is a huge company in Sarawak with lot of businesses (construction, bus transport, petrol station, furniture, trading, property, etc) as i understand from friends. Every quarter with positive result since 2021. The existing chairman and his son took over from previous management as Chairman and Vice Chairman. See that they are continuing making plans for the company. I think it can give me additional RM0.04 earning than waiting for Bplant offer letter. I am just sharing what i am doing after selling Bplant. This is not finance advice or recommendation so do not take this as one.

@ Dear Calvintaneng, now that rohank71 said an EGM is not needed. Then, what is next? I have been holding the Bplant shares, everyday see RM1.50/RM1.51 for so long already. rohank71 said the MGO process can begin already but how more longer I have to wait?

sudden sell down could be from three reasons

1. Holders are tired so selling to take profit and buy other counters

2. Contra players got T+3 time up so force sell

3. Ib Bankers who issued call warrants on Bplant also try to sell and press down prices to lose less in their bplant call warrants. This was done when Mmc corp was privatised at Rm2.00

in any case Bplant still close at Rm1.49 which is rebounding from low of Rm1.45 and Klk has been able to collect cheap

Calvin, when the final delisting date come, yes, the will sell to settle the call warrant cash settlement. Now is too early to sell the mother. What if KLK revised the GO price, if they sell now, they are totally naked.

Looks like something fishy cooking. KLK has not bought any shares since Monday and gives ultimatum for LTAT to do a deal before 22 Sept. Furthermore, all CP met, including all approvals at BHB level. Can minorities sue LTAT to buy up BP if the deal is called off with KLK.

Where do you get the info that KLK issued ultimatum for LTAT to seal the deal before 22 Sept ?? Are you assuming the CUT OFF Date as dateline ?
I think it is important to find out what the CUT OFF date announced recently actually means.

Cut off date normally used to differentiate 2 different periods especially for accounting and transactional matters. In the case of this deal, it may means the 2 different period of accounting and transactional matters before and after handling over of management control to KLK. I hope i read it right.😃

Total paid up shares of Bplant is 2.248 billions

and since Ltat & boustead owns 67% there is only 33% or 739 mil in free float

if only Klk mop up 50 mil a day it will only take less than 16 days

When Thplant turn comes it will be fast and furious as Thplant free float only 883 mil shares and 73.8% in hands of Tabung Haji

Some key point extracted from KLK's announcements to clear the confusion post by some i3 members in this forum:

(1) On the unconditional date of the Proposed Acquisition, a mandatory GO (the proposed offer) to acquire all the remaining BPlant Shares not already owned by KLK/BHB/LTAT (known as Joint Offeror).

(2) The Proposed Offer will not be conditional upon any minimum level of valid acceptances of the Offer Shares as the Joint Offerors will hold more than 50% of the voting shares of BPlant upon completion of the Proposed Acquisition.

(3) All the Offer Shares tendered by the shareholders of BPlant will be taken up by the Company.

(4) Assuming the Company receives full acceptances under the Proposed Offer resulting in BPlant becoming a 65.0%-owned subsidiary of KLK.

(5) The Proposed Acquisition and Proposed Offer are subject to the following approval being obtained:
(i) the shareholders of BHB for the Proposed Acquisition and Proposed Offer at an
extraordinary general meeting to be convened; and
(ii) any other relevant authorities and/or parties, if required.
(6) For the avoidance of doubt, the Proposed Strategic Collaboration is not subject to the approval of the shareholders of the Company
(7) The completion of the sale and purchase of the Sale Shares is conditional upon the approval of the shareholders of BHB in a general meeting for the Proposed Acquisition and Proposed Offer, being fulfilled, waived or completed no earlier than 15 calendar days after the date of the SCA, or such other later date as may be agreed between the parties to the SCA in writing.

By right Bplant should appoint an advisor to advise Bplant shareholders whether the offer price is fair/unfair, reasonable/unreasonable and to accept or reject the offer.

The below mean Sept 22 or such other date as may be agreed in writing between KLK, BHB and LTAT the strategic collaboration agreement (SCA) will come into effect.

KUALA LUMPUR (Sept 11): Kuala Lumpur Kepong Bhd (KLK) has entered into a letter of agreement with Boustead Holdings Bhd (BHB) and the Armed Forces Fund Board (LTAT) to agree for the cut-off date for a strategic collaboration agreement (SCA) to be Sept 22 or such other date as may be agreed in writing between KLK, BHB and LTAT.

In a filing on Monday, KLK said all the other provisions contained in the SCA shall remain unchanged and be in full force and effect.

KLK on Aug 24 announced a plan to acquire a 33% stake plus one share in Boustead Plantations Bhd (BPlant), buying the shares from the Armed Forces Fund Board (LTAT) and its flagship, the recently privatised BHB.

KLK will pay RM1.55 per share or RM1.15 billion in cash to LTAT and BHB and undertake a mandatory general offer.

The plan is for KLK to own 65% of BPlant, while LTAT and BHB will control the remaining 35%.
