Reason Deemed interest by virtue of Section 8(4) of the Companies Act 2016 pursuant to the Share Purchase Agreement dated 5 June 2017 between Wang-Zheng Resources Sdn Bhd, Marco-Link Sdn Bhd, Charost Limited, Zhong-Xin Construction Co. Ltd (collectively as Sellers) and Hegan (Malaysia) Investments Company Limited (as Buyer) for the acquisition of 80,000,000 ordinary shares of Wang-Zheng Berhad. An Ping Holdings Limited's deemed interest in Wang-Zheng Berhad arises by virtue of it having, as at the date of this notice, a 20% shareholding in Hengan International Group Company Limited, which has a 100% shareholding in Hengan Mega Jumbo Investments Limited, which in turn has a 100% shareholding In Hengan (Malaysia) Investments Company Limited.
