Reason Mitsui & Co., Ltd ("Mitsui") has entered into a Share Purchase Agreement dated 28 November 2018 with Pulau Memutik Ventures Sdn. Bhd. ("PMVSB") , pursuant to which Mitsui has agreed, subject to completion of the issuance of 524,492,824 new shares in IHH Healthcare Berhad ("IHH") pursuant to an exercise of an option to convert the equity interest in Acibadem Saglik Yatirimlari Holding A.S. held by various persons ("Issuance") and the fulfillment of conditions precedent, to acquire shares in IHH from PMVSB, representing 16% of the enlarged share capital of IHH after the completion of the Issuance.
