Reason Acquired by SPE from the acceptance of Voluntary take-over offer in accordance with the Malaysian Code on Take-Overs and Mergers, 1998 (“Code”) to acquire all the remaining 10,093,317 ordinary shares of RM1.00 each in LKT Industrial Berhad (“LKT”) (“LKT Shares”) (“Offer Shares”), representing approximately 14.24% of the entire issued and paid-up share capital of LKT not already owned by SPE and its party acting in concert Singapore Aerospace Manufacturing Pte Ltd (“SAM”) at a cash consideration of RM2.10 per Offer Share (“Offer Price”) (“Offer”). SPE is a wholly owned subsidiary of Singapore Aerospace Manufacturing Pte Ltd (“SAM”) which is in turn a wholly-owned subsidiary of Accuron Technologies Limited (“Accuron”). Accuron is a wholly owned subsidiary of Temasek Holdings (Private) Limited (“Temasek”). Accuron is deemed by virtue of section 6A of the Companies Act to have an interest in the shares in which SPE has an interest.
