Reason	Deemed interest in the shares of PLS Plantations Berhad(“PLS”) pursuant to Section 6A(6)(b) of the Companies Act 1965 by virtue of the conditional share sale agreement dated 13 February 2012 made between Kumpulan Prasarana Rakyat Johor Sdn Bhd (“KPRJ”) and Iskandar Waterfront Holdings Sdn Bhd (“IWH”) for the acquisition by IWH of 76,500,000 ordinary shares of par value RM0.20 each in PLS held by KPRJ, representing approximately 23.42% of the total issued ordinary share capital of PLS (“CSSA”). The CSSA does not complete until the fulfilment of the conditions precedent set out therein. IWH does not have any voting or legal rights, and will not acquire the legal or beneficial interest, in the said shares until and subject to the completion of the CSSA. Credence Resources Sdn Bhd (“CR”) is the holder of more than 15% of the voting shares of IWH, and Dato’ Lim Kang Hoo is in turn the holder of more than 15% of the voting shares of CR.
