（吉隆坡8日讯）迪耐（DNEX，4456，主板科技股）宣布，该公司与策略伙伴已经赢得国库控股（Khazanah Nasional）旗下半导体公司SilTerra大马的竞购战，接下来双方将签署正式的协议。

迪耐今日中午在大马交易所的网站发布这项消息。

根据文告，基于上述交易的内容仍是商业机密，直到双方正式签署协议前，任何收购详情均不得向公众公开。因此，迪耐并未透露收购金额和策略伙伴的身份等重要资讯。

SilTerra大马是国库控股持有的一家晶圆代工商。国库有意脱售该公司股权的消息出炉后，吸引了国内外企业的注意，包括以苹果公司（Apple Inc.）代工商闻名的台湾鸿海（Hon Hai）。

去年9月市场就已经传出鸿海参与SilTerra大马的收购竞标，有意进军晶圆代工领域。也传出该公司是出价最高的竞标者。不过，后来消息指出，政府希望优先将SilTerra大马转手给本地企业的消息，有力竞争者只剩下迪耐与伙伴组成的财团，和绿驶通讯科技（GPACKET，0082，主板电讯媒体股）有分投资的Nuglobal为首的另一个财团。

市场今年初就有迪耐胜出机率更高的揣测，以致其股票受到追捧。

迪耐之前承认参与竞标，但未接到中标的通知。直到今日，迪耐才证实国库已经接受该公司与其策略伙伴提出的献购。

此前有媒体引述不愿具名的消息人士，指迪耐是伙拍中国盛世投资（CGP Investment），以6对4的股权比例合作竞购SilTerra大马，总出价为4亿令吉。若消息属实，迪耐在得标后需要出资2亿4000万令吉。

迪耐在中午作出上述宣布前，股价已在投资者热烈追捧下偷步走高，休市前一度上扬6.5仙或23.21%，触及34.5仙。消息出炉后，股价在午盘继续飙高，最终以37仙挂收，全天大起9仙或32.14%，同时成交量高达8亿6820万亿万股，是全场最热门股项。

年初至今，该股已经上涨14.5仙或64%。

迪耐董事部发文告说，国库控股上周五（5日）通知以迪耐为首的财团，已接受他们对矽佳提出的投标计划，双方将签署正式协议。

“得标后，由于国库控股要求严格保密，因此在签署最终协议之前，我们不得公开披露更多投标计划细节。”

迪耐表示，在上述事项有了任何重大进展或签署正式协议时，将按照上市条例要求适时发布更多详情。

迪耐“娶走”矽佳的消息发布后，吸引庞大购兴，推动该股一度飙高9.5仙或33.93%，高挂37.5仙，收盘力守37仙，全天走高9仙或32.14%，并以6亿6819万8000股成交量登上热门榜冠军。

郭台铭出价更高反落空

矽佳招标初期，国库控股曾接受外国公司参与，当中台湾富豪郭台铭旗下的鸿海精密更直接放话说，“极有可能”赢得竞标。

当时，知情人士披露，鸿海的出价最高，打算以8750万美元（约3亿5500万令吉）收购矽佳的70%股权，企业价值估值达1亿2500万美元（约5亿零770万令吉）。

除了迪耐和鸿海，绿驰通讯科技（GPACKET,0082,主板电讯媒体组）支持的Nuglobal创投公司和德国X-FAB也参与了矽佳的竞标活动。后来，随著国库控股排除外国投资者，竞标单位剩下迪耐财团和Nuglobal。

根据报道，Nuglobal当初出价为2亿7300万令吉，随后提高到3亿3600万令吉，高于迪耐财团的2亿4000万令吉，迫使该财团将交易价提高到相同水平。至于X-FAB的出价则为7000万美元（约2亿8400万令吉）。

根据官网资料，矽佳成立于1995年，目前是一座8吋半导体晶圆代工厂，提供C M O S制程技术，应用范围涵盖先进逻辑积体电路（IC）、混合讯号和射频元件、高压元件等。矽佳也布局包括矽光子（SiliconPhotonics）、生物光子（Biophotonics）、微机电（MEMS）整合CMOS、氮化镓（GaN）、BCD制程、功率分离式元件（Discrete Power）等先进制造技术。

矽佳与客户共同开发生物感测元件、DNA定序晶片、下世代指纹辨识感测元件、微镜显示器；以及应用在物联网、资料传输、消费电子、工业自动化、医疗和车用的低功耗晶片。

I think the above mentioned Tencent fin tech is referring to the Webank which is similar to Alibaba Ant , but what GPB working with GPB s Tencent cloud , which is different business unit..
