I dont get the acquitision logic, those lands are left with 41 years leasehold, and the production is falling year by year. Since its owned by related parties, why dont they just inject those asset by issuing shares to them?

I dont like the idea related party to transfer 30% cash holding into their own pocket with a lousy deal.

Jtiasa is only paying Rm3560 per acre or only a mere 8.1 sen per sq ft

41 years lease still better than those in Indonesia Klk bought from ijmplant with only 35 years lease

Also in Spore land for farming use only got 25 years lease

The plus point is these lands already planted with mature oil palms

No need planting

According to our friend from Malaysia having small 40 acres palmoil

He said in those good months of early 2022 he gets about Rm1,000 an acre Ffb per month

Just 3.5 months already can get cash of Rm3500

So Rm3560 per acre with planted oil palms is sap sap sui

Below are the 3 months 1st qtr harvest of year 2023.

And then we compute the last two months of April and May 2023 to "see" its improvement

Jan 2023 ffb: 69,891 MT
Feb 2023 ffb: 58,983 MT
March 23 ffb: 61,486 MT

Total: 190,360 Metric Tonnes

To get 2 months' percentage of 1st qtr 3 months (final month result of june 23 ffb yet to be reported soon)

Divides 139,897 by 190,360

= 73.4%

So we see an increase of Ffb

Now let us wait for June 2023 ffb figures

THIS OPPORTUNE TIME TO BUY OVER 55% WILL INCREASE PROFITS
SO THIS IS A GOOD MOVE

I see this RPT as a form of pay back to related party to make up for not being able to enjoy fully the high CPO price towards end 2021 and beginning 2022. Furthermore, they control 55% WHD vs less than 40% JTH.
The rationale provided in the announcement is to secure the land rights before Erajaya carry out the replanting( I believe most trees are over 15 years as the JV was signed in 2004) over the next 3 years, which requires Rm44 mil. The financials of WHD for last 3 years revealed that it has not enjoyed any upside from CPO price increase, hence, I assume the JV has benefited Erajaya mostly as Erajaya was investing in the infra as well as planting of trees. ( Announcement did highlight that there is no material impact to JTH’s EPS in FYE 24 for this transaction indirectly confirm the benefits to JTH will not change much after the transaction, except Rm52 million less in the bank).
What I see lacking is no financials were provided as to how much Erajaya was enjoying, at least over the last few years under JV with WHD. Only with such information investors would be able to evaluate whether the price tag of Rm52.25 mil for 55% equity in WHD (with 5967 hectares land) work out to Rm6,443 per acre and with some liabilities in the company too, is a fair transaction.
As a shareholder, I just wish this is not the beginning of a series of RPT that will take non controlling shareholders for a ride. I am watching closely if Subur Tiasa is the next RPT candidate.

every time people see related party dealings they will assume it is for the benefit of insider directors

they think, " privatise profits and nationalize losses will be the norm"

however we should give Jtiasa the benefit of the doubt and let them do what they think best

after all we already received a total of 4.3 sen dividend last year

now just like people got misgivings when they wrongly sold down bplant when they heard bplant going into algae business last time

Give Jtiasa time

after all there is an exchange of 55% more assets for cash paid

I really hope so and this RPT transaction may not be at the expense of MI as no sufficient details were provided. After all, JTH is super cash generator which may turn out to be a very yield dividend stock.

If its such a sweet deal, why would they sell it to Jtiasa at a 55% Stake?
Would the transaction requires shareholder's voting? And can those related party vote?

jtiasa in year 2014 was Rm2.60

in year 2015/6 was Rm1.80 when it's debt was over Rm1 billions

now at 73 sen with debt only a mere Rm190 millions left

Few more qtrs Jtiasa will be debt free and already resume giving out dividends
And we can look forward to more good dividends

Fong Siling aka Cold Eye already took position and bought up 5 million Jtiasa shares to be in Top 30 holders

Just hold tight for multi year upside

thanks to naysayers who kept condemning Jtiasa for us to buy so very cheap
