Capital A Berhad, the parent of AirAsia, is planning to raise more than $1 billion in debt and equity and will list some of its businesses through a blank-cheque company, the Financial Times reported on Oct 25. CEO Tony Fernandes has agreed to a deal with Aetherium Acquisition, a special purpose acquisition company, and plans to list several businesses through it next year, the FT reported, citing two people familiar with the deal.

This includes a new business extending the AirAsia brand to companies hoping to start airline franchises in developing countries, the report said. The group has been evaluating fundraising options for a planned U.S. listing after pandemic travel restrictions hit it in Asia, leading Bursa Malaysia Securities to classify it as a PN17 company, or financially distressed, last year.

The potential fundraising also includes a $150 million loan from Bangkok Bank this month, FT said.

Capital A Berhad, doing business as AirAsia, is a Malaysian multinational low-cost airline based near Kuala Lumpur. It is Malaysia's largest airline in terms of fleet size and destinations. AirAsia has scheduled domestic and international flights to over 165 destinations in 25 countries.

Malaysia's national football team, Singapore's national football team, Jamshedpur FC, and Queens Park Rangers are all sponsored by AirAsia. AirAsia has previously sponsored Manchester United as well as the Asia leg of Taylor Swift's Red Tour.

Companies can say and do anything like, company not profitable and will never be profitable for next 100 years.
Nasdaq will accept the listings based on no profit for next 100 years

However, Brand AA is a RM2 paid-up capital with zero revenue and Fleet Consolidated Pte Ltd is a newly incorporated company that has yet to file annual returns or financial statements (read also as no revenue).

So 2 shell companies with zero value shall have a 'indicative valuation' of US1 Billion when listed in Nasdaq?!!!

BTW Aetherium Acquisition is also a 2 man show company with non-clickable filings

KUALA LUMPUR: Capital A Bhd has entered into a letter of intent (LOI) with Aetherium Acquisition Corp (GMFI), a special purpose acquisition corporation (SPAC) listed on the Nasdaq in the United States.

In a statement, Capital A said under the deal, Aetherium Acquisition will acquire all the issued and outstanding share capital of Capital A International, resulting in the formation of a new listed entity.

Capital A said the proposed business combination will be at an indicative equity value of US$1bil based on an independent valuation of the AirAsia Brand.

Let me describe this exercise in layman terms.

CapAyam has business revenue stream A,B,C and D

CapAyam wants to have a dual listing status in Nasdaq via Spac.

CapAyam is PN17 in Malaysia. Roe is negative. Local funding eelek.

Now CapAyam can create new revenue stream for Nasdaq? Not possible.

Can CapAyam A,B,C and D revenue stream maintain dual listing Status? 🤣🤣

KUALA LUMPUR: Asia Digital Engineering (ADE), the maintenance, repair and overhaul (MRO) arm of Capital A, has obtained the European Union Aviation Safety Agency (EASA) Part 145 maintenance organisation approval.

The EASA Part 145 maintenance organisation approval stands as a gold standard in aviation maintenance for upholding the highest levels of safety and quality in the company’s operations, Capital A said in a statement.

"ADE’s dedication to high quality of service and safety serves as an inspiration to other homegrown MRO players, and we look forward to the positive impact this milestone will have on our country’s aviation and aerospace landscape,” Transport Minister Anthony Loke Siew Fook was quoted as saying in the statement.

Capital A said ADE’s new state-of-the-art hangar that is currently under construction in KLIA Aeropolis is scheduled for completion by the first half of 2024.

Meanwhile, ADE chief executive officer Mahesh Kumar said the MRO service provider is now able to provide industry leading aircraft maintenance support in Asia-Pacific and beyond.

"ADE will continue to bring the highest work ethics and business standards to Asia-Pacific’s aviation market and become a significant force in MRO services in the region,” he added.

The statement said that in a bid to accommodate its growth, ADE has set an ambitious hiring target for 2024, with plans to recruit 500 to 600 aviation professionals ranging from aircraft technicians to engineers.

This is expected to pave the way for further growth and innovation in Malaysia’s aviation and aerospace sector, it said. - Bernama

After incorporating CAPI, this special purpose unit will acquire Brand AA Sdn Bhd and Fleet Consolidated Pte Ltd from Capital A. Brand AA, formerly known as AAD Data SdnBhd, is wholly
owned by Capital A, while Fleet Consolidated is a Singapore incorporated private company.

Brand AA is a brand management company. It is the registered proprietor for all the rights under the AirAsia brand.

Under a master brand licensing agreement dated May 31 this year, Brand AA has the right to collect royalty fees from AirAsia Aviation Group Ltd, Capital A’s aviation division.

Fleet Consolidated, meanwhile, will primarily be responsible for the procurement and delivery of the requisite aircraft for the aviation group based on the agreed allocation plan.

My concerns:
Capital A’s aviation is lose making
Revenue/ASK: Q2 USD 4.22 cents cumulative 6 months USD 4.28 cents
Cost/ASK: Q2 USD 5.01 cents cumulative 6 months USD 4.72 cents
So how much loyalty fees per ASK or per passangers need to pay to Brand AA under a master brand licensing agreement dated May 31 this year.

Fleet Consolidated: What assetsp do Fleet Consolidated have:
Orderbook of 362 aircraft to be delivered over the next 12 years, beginning 2024. Of the 362, financing is secured for 73 aircraft through Sales and Leaseback (SLB) arrangement with several lessors.

Will be very interest to read what Stony projection for CAPI revenue and earnning are for an indicative equity value of US$1bil based on an independent valuation of the AirAsia Brand.

All this while I thought Stony will be kind enough to list MOVE/Superapp to raise money to help capA aviation. But it turn out Stony intent to milk capA' aviation to the bone and then dispose the skeleton to AAX.

What a brilliant move. CapA already run out of Suiyee Sucker Bilis and now venture into deep sea for bigger Suiyee.

Brent futures fell 39 cents, or 0.5%, to settle at US$84.63 a barrel. US West Texas Intermediate crude fell 58 cents, or 0.7%, to US$80.44.

NEW YORK: Oil prices eased about 1% to a three-week low on a rising US dollar and after the US Federal Reserve kept interest rates steady as expected but noted it would keep the door open to possible future rate hikes due to a strong US economy.

Interest rate hikes can slow economic growth and dampen oil demand. A strong dollar makes it more expensive to buy fuel using other currencies, pressuring prices.

Brent futures fell 39 cents, or 0.5%, to settle at US$84.63 a barrel. US West Texas Intermediate (WTI) crude fell 58 cents, or 0.7%, to US$80.44.

That was the lowest settlement for Brent since Oct. 6 and WTI since Aug. 28. Both contracts settled below their 100-day moving averages, a key level of technical support since July.

Trade was choppy, with both benchmarks up over US$2 a barrel early on Middle East worries.

The Fed, which started raising interest rates in March 2022, held rates steady but left the door open to a further increase due to a strong US economy.

The US dollar rose to a four-week high against a basket of other currencies. Crude futures were also pressured by an increase in US crude stocks and gasoline inventories last week as refiners undergoing seasonal maintenance restarted units more slowly than expected to avoid even larger gasoline stock builds.

In Europe, October inflation in the Euro zone was at its lowest in two years, a Eurostat flash reading showed, stoking the view the European Central Bank is unlikely to hike interest rates soon. The Bank of England is expected to meet on Thursday.

In China, the world's largest oil importer, factory activity unexpectedly contracted in October, a private survey showed, adding to downbeat official figures from a day earlier.

Middle East worries

"The oil market will remain fixated with the deteriorating demand outlook and if any of the latest developments with the Israel-Hamas war will lead to any supply disruptions," Moya at OANDA said.

In Gaza, a first group of injured people were evacuated to Egypt, a source and Egyptian media said, as Israeli forces pressed their battle against Hamas militants.

Iran's Supreme Leader Ayatollah Ali Khamenei called on Muslim states to cease oil and food exports to Israel, demanding an end to its bombardment of the Gaza Strip, state media reported.

Iran, a member of the Organization of the Petroleum Exporting Countries (Opec), produced around 2.5 million barrels per day of crude in 2022, according to US energy data.

Callum Macpherson, head of commodities at Investec, said that if there is no threat to output from the war, "oil may struggle to sustain prices around recent highs without support from Opec+ into 2024, making their meeting later this month crucial." — Reuters
