Dear Rajan,



As stated in Section 2.3 of the announcement dated 18 August 2017 (“Announcement”), the Proposed Placement will be implemented through a bookbuilding exercise.



Therefore, the actual issue price of the Placement Shares (“Placement Issue Price”) has not been fixed. The Placement Issue Price will only be determined upon completion of the bookbuilding exercise in line with market-based principles. The minimum price was set at RM0.23 per share so that it equals the Consideration Issue Price (as defined in the Announcement), but should not be taken as the Placement Issue Price at this juncture.



In determining the key parameters for the Proposed Placement, the Board established a minimum fund-raising amount of RM122.7 million in order to be able to:



satisfy the cash portion of the Purchase Consideration; and



satisfy Ideal Jacobs group’s expected future working capital requirements.



Therefore, for illustrative purposes only and consistent with the key parameters as set out above, the pro forma outcomes/effects of the Proposed Placement as set out in table on page 10 of the Announcement (particularly on the items “Funds raised” and “Placement Issue Price”) should not be taken as the actual outcomes/effects of the Proposed Placement as the numbers will vary depending on the Placement Issue Price, which will only be determined at a later stage.



The Board will make relevant announcements pertaining to the Proposed Placement at the appropriate juncture.

So the worst case is 23c.but it can be also higher than that. but i am sure defintely much lower than existing price. this counter will be kept as my watch list.

This is how I see the proposal, I am happy to see Ijacob rto with Widad business. But I dislike the Private Placement part. Why the company don't propose right issue @ 0.23 on top of the free warrants. With right issue and free warrant, this would not dilute the existing shareholding, at the same time benefit the existing shareholders.

Widad has its value because of the RM2.1b projects, I believe they are in the midst of contract negotiation. Would probably announce once the rto deal is succeed. So, please do not reject the rto proposal!!

Bren21, wonder if u can write another email to them, ask them to proceed the proposal with right issue instead of PP, as I believe all the existing shareholders will be happier with right issue instead.

I believe the boss already have certain interested parties to buy up the pp shares then only they did such proposal. This can ensure the boss the money can come in surely. if right issue, it can't guarantee that all the RI shares to be taken up.
if the boss already have interested parties, the pp could b more favorable to them.as for retailers with share in hands, they dont really care.....

Stockist is right, however, once the deal is on, i believe they dont want their share price to be lower, coz the Tan Sri will be the main holder and each dip of the share price is pain in his ASS haha

see what the boss want to main. now we small kaki only can wait and see what level the pp price will be settled. they still have room to go down further. so it is better dont simply buy in at this stage as there is no reversal sign at all. let the big kaki settle themselves first.

Now good results doesn't work and applicable when the market's sentiments is weak . All coming out with good results cannot impact shares prices. Follow the trend better still lah and at least we can make something out of the day..... Cheers !
