（吉隆坡20日讯）市场传出明讯（MAXIS，6012，主板贸服组）和ASTRO公司（ASTRO,6399,主板贸服组）合并消息后，两家公司今日股价表现涨跌不一。

ASTRO一度扬8仙 明讯收低8仙

ASTRO公司一度上扬8仙或5%至1令吉68仙，闭市报1令吉67仙，全天走高7仙，成交量达1342万5200股。

ASTRO公司今年至今股价原本萎靡不堪，从去年底的2令吉65仙一路跌到上月下旬的1令吉36仙，近期随私有化传言而逐步回勇。

相较之下，明讯今日收低8仙，挂5令吉57仙，共有304万2700股易手。

《星报》引述消息人士报道称，丹斯里阿南达有意合并明讯和ASTRO公司，以应对日益剧烈的市场竞争。他分别掌握明讯的62.4%股权和ASTRO公司的40%股权。

可带来协同效应

大马投行认为，这项计划合情合理，毕竟两家公司所处领域确实竞争剧烈，如果合并将可带来协同效应。

该行举例说，明讯的手机和室内光纤计划可以结合ASTRO公司的网络电视（IPTV），整合为一。

“两家公司合并市值将提高到530亿令吉（明讯占440亿令吉），总净利达26亿令吉。”

该行补充，鉴于ASTRO公司的估值较低，合并公司的2018财政年企业价值倍数（EV/EBITDA）将略降至10.3倍，2019财政年本益比则跌到20.8倍。

“不过，ASTRO公司的2018财政年净债务对营运盈利比是较高的1.7倍，两家公司合并后可能从1.3倍升至1.4倍。”

合并不足以缓和长期问题

无论如何，该行强调，即使合并计划可以提升附加价值，却不足以缓和两家公司的用户收益与数量减少等长期问题。

大马投行指出，明讯推出Hotlink后付灵活配套，不仅以每月30令吉提供无限通话和短讯与1GB数据，也以每月25令吉销售额外的5GB数据，这可能拉低后付业务的用户平均收益。

2018财政年首季，该公司的后付用户平均收益减少4令吉，每月降至92令吉，活跃后付用户则减少5万9000人，剩下290万人。

明讯的后付和预付用户平均收益为每月51令吉，管理层计划透过新Hotlink配套减少客户流失。大马投行表示，该公司的预付用户平均收益为每月35令吉，与新配套收费相去不远，这可能促使其预付用户加快流向后付配套。

在明讯陷入苦战之际，ASTRO公司也不讨好，苦于应付iflix、Netflix、unifi HyppTV等对手，用户数量、用户收益和广告收入全线败退。

英士国际商学院经济学教授法塔斯（AntonioFatas）指出，经济成长面临的风险愈来愈真切，“贸易战已不是一个风险，而是事实”。

“美国不仅对中国商品提高关税，对加拿大和欧盟等传统盟友的关税也提高了。他们都会采取报复措施，目前看来没有一个容易的解决办法。”

I think investor is over react to astro profit of world cup revenue & market share. Astro revenue & profit still stable at the range but share price is overreact. If Ananda is really want to tie up, it is a good timing to do so.
