The proposed disposal of M&A which is essentially a backdoor listing of M&A via SYF will enable M&A to raise its corporate profile, its future equity and debt funding requirements through the financial and capital market independently from Insas Group, expand its customer base, attract new employees from the financial services industry, and to motivate and retain existing key management staff of M&A. Post completion, we envisage improvement in the financial performance of the combined SYF/M&A group.
Currently INSAS need to support working capital for M&A broking business and keep sufficient cash reserves for M&A provision of share margin financing facilities, corporate finance and structured financing corporate advisory services such as initial public offering, acquisitions and disposals, take-overs, capital fund raising exercise, transfer of listing, general corporate finance advisory as well as placement and underwriting services.
Post backdoor listing of M&A via SYF will enable M&A to raise its corporate profile, its future equity and debt funding requirements through the financial and capital market independently from Insas Group. Hence post RTO Insas should have more than enough free cash to reward shareholders with better dividends.

Would you rather buy a car or the 3D picture of a car?
If you buy inari you get inari and all the rights that belong to inari.
If you buy insas all you get is a promise that the directors will do the right thing and give that share of inari to you.
But all you are really getting is insas selling inari shares to give you a measly dividend... and buying other stuff with it.

If this was true than sslee would be a very rich man when a billionaire comes around and pays that for insas.
But the question sslee will never tell you is why no one is "realizing" this value and paying for it and also why I cannot sell everything I have, borrow to the hilt, get my other partners involved and offer to buy 33% of insas.
Mr Lee will never be able to tell you why no real financier will buy insas, and why no bank is willing to borrow money to insas directors to take it private. D such a nice arbitrage, banks are blind?
No. They realise the same thing that any self respecting businessman will realise by now.
Even sslee is not willing to put his money where his mouth is, borrow to the hilt, buy insas and sell all inari shares to clear borrowings and make profit. Not is he willing to approach his boss on this clear "opportunity", use pt agro mas to buy over insas, take it private, sell all inari shares for double the profit and give a big gain to the boss.

The logic "seems" simple. Get sslee boss to borrow 1 billion, buy over insas at rm1.4 per share and make everyone happy. They can then dismantle and sell liquid assets at rm4 total and still make almost triple the investment. Sslee can make out like a bandit with 5x or more profit from his base cost. He is happy. Boss is happy. Everyone is happy.
Why doesn't he do it? At the very least his boss and his other friends in Indonesia can buy over insas 5 times over, with spare change for coffee luak.
BUT WHY DOES SSLEE NOT DO THIS? Or anyone else in fact?
That's where the issues lie and I count the 9th year running where insas SEEMS severely undervalued.
If 10 years pass, and no one picks the beautiful girl from the ktv line-up, you know that she has problems.

Sslee is stuck. No one is willing to offer more for his shares. And worse, liquidity for insas is so bad that if he were to try to sell his entire position, he would have to ask a substantially lower price below quote, take a huge loss as he paid much higher for his shares, and worse he would have to sell over a longer period of time due to being a illiquid market.
So again, why would you want to buy insas when you can get the liquidity and demand by buying inari shares?

First and foremost I worked for PT Musim Mas and not pt agro mas. I keep a professional relationship with my boss and we only talk on work/job related topics and not personal investment especially stock market investment.
I am happilly stuck in Insas and as I grow my investment portfolio I will happily collect more Insas.

Perhaps you can introduce Harta Boss to me so that I can write in to him and recommend him to employ Harta cash into Insas for business diversification. I am sure Harta Boss will do much better than Dato Sri Thong in managing Insas.

Insas NTA of RM 3.39 as at 31/12/22 only valued the listed and unlisted associate companies at book value of RM 554,418,000

I have no problem to buy Insas on the cheap but I cannot understand why some people do not like me giving my 2 cents based on the financial report why the stock like CapitalA, HRC, Pchem and etc is a bad buy now.
If they truly beleive in CapitalA HRC, Pchem and etc potential shouldn't they welcome me with both arm because of me they can accumulate more and more CapitalA, HRC, Pchem and etc at lower cost to them as what I have done in accumulating Insas untill I am now at 29 of the top 30 shareholder list.
So I welcome all to Insas to talk down Insas to 50 cents for me to collect again.

PetChem MD and CEO Mohd Yusri Mohamed Yusof already said: We expect the first half of 2023 to be challenging, as we continue to face slow demand and higher costs due to inflation, particularly for our business in Europe and the US.
So just be patient and wait for next two quarter to collect Pchem.
On Malaysian operations, he added that the group achieved higher production and sales volumes, while the plant utilisation rate reached 100%, from 97% in 3QFY2022. However, margins were significantly compressed in 4QFY2022, as prices of all products declined due to lower global demand.

Mohd Yusri said the reopening of China and relaxation of its Covid Zero policy are positive for the chemicals sector, especially for polymers and olefins, which have seen a slight recovery in recent weeks.
"Nevertheless, we remain cautious, as prices of petrochemical products will continue to fluctuate.
“For example, prices of urea have unexpectedly declined sharply, despite the ongoing Russia-Ukraine war. We expect the first half of 2023 to be challenging, as we continue to face slow demand and higher costs due to inflation, particularly for our business in Europe and the US.”

Still "severely" undervalued if related to NTA.
If we "unlock" insas and borrow 1 billion to buy out all outstanding shares of insas we can "earn" 2 billion to pay off all debt outstanding to bank and earn a cool billion for the effort.
After 9 years+, why is this not happening lee?
Could the world be so blind not to realise this obvious arbitrage?
Or simply like hrc there is far more than meets the eye.

You have hit the nail on the head. If we look at icap, we can see exactly what is going on, as the "sslee" in that scenario which is city of London management fund which held a 14% ownership of icap ( far more than sslee), realised they also hit a brick wall in trying to unlock value. But since its recalcitrant "owner" tan teng boo is unwilling to reward investors but is willing to pay huge fees to himself for essentially putting money in fixed deposit, we can begin to understand the reason why insas is also suffering the same fate.
The goal in long term investment is to find owner-partners who treat
us as partners, not as money grabbing goblins.

I0 years ago in 2013 the NTA is only RM 1.54 and no inari yet and I would not considered Insas as value buy.
Today the BOD and Management must have done something right to grow NTA to RM 3.39 and still holding 537,008,575 Inari share. Just inari alone will contribute how much tax free dividend income?

Just wonder why quarter end 31th Dec 2022 NP Margin only a poor 1.23%?
50% of pchem revenues comes from urea and urea is now falling from USD1,000+ in May 2021 to USD 310 now. Not hard to see Pchem next 2 quarter result will be?

Secondly 50% of pchem revenues comes from urea or fertilizer. They have an ungodly gross margins on fertilizer. Why?
Thirdly, neither basf, the Koreans, Japanese or the Americans have a major petrochemical processing center in South East Asia. Which means with the delay and difficulty and distance of transportation and logistics, the cheese stands alone.

Urea is now falling from USD1,000+ in April 2022 to USD 310 now.
