Reason (i) These 1,000,000 Multi-Purpose Holdings Berhad ("MPHB") shares were acquired by Dato' Lim Tiong Chin from Asia 4D Holdings Limited and/or Asia 4D Company Limited (collectively "Asia 4D") through a Direct Business Transaction pursuant to the placement of MPHB shares by Asia 4D to identified placees at RM2.30 per MPHB share("Asia 4D Placement"). (ii) These 78,716,000 MPHB shares were acquired by Casi Management Sdn Bhd ("CMSB") through a Direct Business Transaction from Asia 4D pursuant to the Asia 4D Placement. Dato' Lim Tiong Chin is deemed to have indirect interest in the above 78,716,000 MPHB shares by virtue of Section 6A(4) of the Companies Act, 1965 held through CMSB, a company in which he has 15% equity interest. (iii) These 2,000,000 MPHB shares were acquired by Keetinsons Sendirian Berhad ("Keetinsons") from Asia 4D through a Direct Business Transaction pursuant to the Asia 4D Placement. Dato' Lim Tiong Chin is deemed to have indirect interest in these 2,000,000 MPHB shares by virtue of Section 6A(4) of the Companies Act, 1965 held through Keetinsons, a company in which he has more than 15% equity interest. (iv) These 2,000,000 MPHB shares were acquired by TC Holdings Sendirian Berhad ("TC Holdings") from Asia 4D through a Direct Business Transaction pursuant to the Asia 4D Placement. Dato' Lim Tiong Chin is deemed to have indirect interest in these 2,000,000 MPHB shares by virtue of Section 6A(4) of the Companies Act, 1965 held through TC Holdings, a company in which he has more than 15% equity interest.
