Reason	(i) The above 315,143,477 MPHB shares were alloted and issued to Asia 4D Holdings Limited ("Asia 4D Holdings") pursuant to the Share Sale Agreement dated 11 March 2011 entered into between MPHB and Asia 4D Holdings for the sale of shares in Magnum Holdings Sdn Bhd to MPHB to be satisfied by MPHB via the issuance of new MPHB shares. (ii) The above 28,683,076 MPHB shares were alloted and issued to Asia 4D Company Limited ("Asia 4D Company"), a wholly-owned subsidiary of Asia 4D Holdings, pursuant to the Subscription Agreement dated 11 March 2011 entered into between MPHB and Asia 4D Company for the subscription by MPHB of new Irredeemable Convertible Preference Shares in Asia 4D Company to be satisfied by a combination of cash payment and through the issuance of new MPHB shares. CVC Capital Partners Asia Pacific III L.P. is deemed to have indirect interest in these 343,826,553 MPHB Shares by virtue of Section 6A(4) of the Companies Act, 1965.
