Reason Pursuant to Section 6A(6)(a) of Malaysia Companies Act, 1965, HLC(M) has deemed interest in the Sale Shares (as defined below) pursuant to a Share Sale Agreement (the "Agreement") dated 29 October 2009 entered into between HLC(M) and the Sellers, namely, Hong Leong Asia Ltd., Lydale Pte Ltd, Hayford Holdings Sdn. Bhd., Hartwell Pte. Ltd., Island Concrete (Private) Limited and Kian Chiang Granite Quarry Company (Pte.) Limited, whereby HLC(M) has agreed to acquire an aggregate of 134,302,811 issued Ordinary Shares at RM3.80 per Ordinary Share and 315,274 Preference Shares at RM3.50 per Preference Share (the "Sale Shares") from the Sellers, upon the terms of the Agreement ("Acquisition").RM3.50 per Preference Shares (the "Sale Shares") from the Sellers, upon the terms of the Agreement ("Acquisition").
