Reason	DRB-HICOM Berhad ("DRB-HICOM") has a deemed interest in the shares of Pos Malaysia Berhad ("POSM") pursuant to Section 6A(6)(b) of the Companies Act, 1965 by virtue of the conditional share sale and purchase agreement dated 22 April 2011 made between DRB-HICOM and Khazanah Nasional Berhad ("Khazanah") for the acquisition by DRB-HICOM of 172,997,399 ordinary shares of par value RM0.50 each in POSM held by Khazanah, representing approximately 32.21 per cent of the total issued ordinary share capital of POSM ("SSPA"). The SSPA does not complete until the fulfilment of the conditions precedent set out therein, which is not under the control of any of the parties to the SSPA. DRB-HICOM does not have any voting or legal rights, and will not acquire the legal or beneficial interest, in the said shares until and subject to the completion of the SSPA.
