Uncle 昨天出席了ytlreit（5109）的annual general meeting， 特别在此分享所听，所见，所学。

这场AGM由一位印度uncle开始，可是他的提问让人失望，他竟然complain ytlreit没送door gift给少于500unit的股东，话说这次AGM的door gift是RM50的meal voucher, 最后这场闹剧因为tan sri francis yeoh大方答应给于所有出席者meal voucher才落幕。


uncle错愕的是这些出席者attend AGM的目的到底是为了voucher 还是与管理层交流。

废话不多说，uncle在这次AGM确实有所斩获，从tan sri的回答中，uncle 了解了为何YTLREIT（5109）把revenue分为hotel revenue和property revenue (相关旧帖请click here) , hotel revenue 是YTLREIT（5109）直接管辖三间澳洲hotel， 优点是revenue比较高，但是也存在着更大的变数，如果发生有如MH370事件，公司的盈利有可能会大受影响。所以公司把澳洲以外的所有hotel以master lease的方式租出（就是说公司以同意的annual fixed price出租给子公司)，虽然revenue会比较低，但是相对稳定，uncle对于公司这样的说辞相当满意，也解除了unlce对于大股东的芥蒂/怀疑。

此外，一些股东质疑YTLREIT （5109）2014年的revenue 增长是由于change in fair value的关系而不是因为业务增长，tan sri提出了一个uncle听所未听的concept, 他说："P&L (profit and loss account) is not really important in REITs, you guys should concern on dividend payout，because revaluation had to be done every year, that why change in fair value and depreciation will be considered in REITs P&L every year, as long as we do not sell these assets, this do not make sense" 我觉得tan sri的这番话特别到位~~ 这些只是一些accounting method, 我们又何必那么在意呢? 身为小股东，最重要的是流进你我pocket的$$ 吧。

至于明年即将推行的GST (government service tax)，ytlreit表示乐观面对，因为现在公司必须缴纳6% sales tax，所以GST 只不过是replace sales tax嘛。此外，管理层表示，短期里没有打算购入任何产业，因为现在产业的价格都偏高，但是有可能会注入旗下的hotel, 如majestic系列hotel。

这次AGM加深了uncle对ytlreit的了解，受益不浅 ;）
