@wallstreetrookie. I agree with you KLK is rigged for EPF to make money from their pump & dump. This has been repeated for many years already. EPF has to make money to deliver over 5% dividend every year for the rakyat

Did KLK overpay for Boustead Plantation?

KLK acquired Boustead Plantation for RM 1.55 per share. This is valuing the whole of BPlant at RM 3.47 b. Given that BPlant has 73,200 ha of planted land, this works out to be about RM 48,000 per ha.

Now if you look at KLK, it has about 297,983 ha of planted land. Its plantation segment net assets work out to be about RM 9.87 b. This is equivalent to RM 33,000 per ha.
Now why would KLK pay RM 48,000 per ha when its own plantation only has a book value of RM 33,000 per ha?

I am of course illustrating the danger of looking at one point estimate when analysing companies. No two companies are the same and in the context of KLK and BPlant there are differences not only in where the estates are located, but also operating efficiencies.

As a retail investor, you can only rely on the annual reports and other industry reports for your fundamental analysis. That is why margins of safety and having a sense of the sector performance is important.

All bplant plantation is in msia n have some of it have good property development plantations whereas klk land a majority of it is indonesia & have shorter lease period mah!

Thus investing in msia in plantation is much safer loh!

Just like FGV, Government is cuming to the rescue...RM 300 million will be pumped in this week.

As a Shareholders for KLK, Mabel is OK if this deal doesn’t go through. Unlike the previous IJM Plantation, which is profitable, Boustead Plantation is loss making company. In addition, more capital injection is required to plant those aging Palm Oil trees.

Recap: The sale to KLK is a good deal for them (LTAT) and leaves KLK holding the baby, taking all the risks. Boustead Plantations, while owning a large tract of plantation land, has among the lowest fresh fruit bunch (FFB) yields in the industry. Almost half of its plantations require replanting, which would cost Boustead Plantations RM600 million or thereabouts. It will take a very long time for Boustead Plantations to generate sufficient operating profit to translate into steady dividends for LTAT.

Put another way, 46% or 32,963ha of Boustead Plantations’ oil palm trees are over 20 years old. At an average replanting cost of RM30,000 per hectare, and a replanting exercise of 5,000ha per year, Boustead Plantations would have to fork out RM150 million a year.

The news of KLK acquisition has helped Boustead Plantation shares to rocket from 65 sen to RM 1.52. Now it has gone down RM 1.22. Following the steep decline, Bursa suspended proprietary day trading (PDT) and intraday short selling (IDSS) of Boustead Plantation shares for the rest of Monday. KLK shares, meanwhile, stood unchanged at RM21.40 per share at the noon break. Mabel think KLK shares prices will climb after this since no more National Duty is required to save Boustead Plantation.

On behalf of the Board, RHB Investment Bank wishes to announce that the Company has been informed that the Condition Precedent under the SCA will not be satisfied by the Cut-Off Date of 6 October 2023 and accordingly, the parties to the SCA have agreed not to proceed with the Proposed Strategic Collaboration.

In the circumstances, the parties mutually agree that:

(i) the SCA shall be terminated with immediate effect on 4 October 2023; and

(ii) as a result of the termination, BHB shall return the Deposit (equivalent to the sum of RM229,151,989.46) to KLK within 14 business days from 4 October 2023, or such other later date as may be agreed between the parties.

The termination of the SCA is not expected to have any material effect on the earnings, earnings per share, NA and NA per share of the KLK Group for the financial year ending 30 September 2024.

KLK will also suffer trading loss in respect to BPlant deal. Bigger risk is when can it get back the deposits. May be within 2 weeks. May be vendors ask for extension after extension.

Remember the KSU fiasco? Vendor was not able to recover the money and where is KSU now?

Why would KLK have enough considered this deal? It was a stinker, a private bailout. Now the govt will do the bailout instead due to racial sentiments.

Please put yourself into KLK shoe:-

1) KLK already forked out RM100mil to buy the 69mil share from open market. If KLK dispose the share tomorrow and next business day, KLK will have to recognise a realised losses of at least RM50mil-RM60mil. And

2) You need to understand that why the deal being called off, mainly is because of political parties playing the bumiputra issue. So if today Bplant is selling to another Bumiputra company (i.e. Syed Mohktar), do you think it still will be called off? The answer is No, the deal will 100% success. So, as BSTEAD Holding is really really facing cash flow problem, so they have no choice but to find another buyer soon. And this round, there wont be any Chinese company or foreign company participate, so only the few Malay conglomerate companies will participate, and they have no choice to offer higher price, because if they offer below RM1.55, then it will be not fair to all the BPLANT shareholder, why you reject a higher price offer and accept lower price offer.

So back to the topic, if you are KLK, with the 69mil share on hand, now you are the 3rd largest shareholder in BPLANT. If you dispose it, you will having big realised loss. But if you keep the share, or even purchase additional 160 mil share from the market, then KLK shareholding in BPLANT will reach to a significant level of 10%, then KLK will become the King Maker in BPLANT. With this 10% share on hand, KLK can play a very important role in any future decision of BPLANT, no one can privatise BPLAT, no one can takeover BPLANT.
