Dear dragonslayer,
Deng Xiaoping famously said "It doesn't matter whether a cat is black or white, as long as it catches mice." This is taken to mean that as long as the economy works, it is a good economy.

By end Oct the 2019, Insas will published its 2019 Annual report, will see whether any resolution on waiver of MGO from Dato’ Sri Thong.
End Nov AGM and also Q1 2020 financial report plus interim dividend. Will prepare my AGM Q&A session questions after reading the 2019 annual report (End Oct). All are welcome to contribute the question.

Risk management: Investment courses / books always recommend the great importance of risk management with a balance portolio. A porfolio of 5 to 10 stocks is common for small to medium . For large investment 15 to 20 stocks. A particular stock should not normally have more than 25% of the profolio no matter how attracive.

Manny many years ago (early 90's) when I first started, I bought Sport Toto after reading investment books and observed that Sport Toto Berhad (predecessor of B Toto) is in an excellent business. After a year, TSVT took it private. Public share holders were given the holding company, B Leisure shares, plus right issues. B Leisure is TSVT holding company for many different companies (a little bit like Insas). In other words, the GEM was swapped out with stones as replacement to the public shareholders and worst still asked for more money input from the poor small shareholders through right issues. B Leisure performed very poorly and I think I lost at least 60% of that investment.

After a couple of years,TSVT relisted the privatised S Toto as Berjaya Toto.

bought BJTOTO in 2000-2003 at RM 2.80-3.00, eps was 40-50 sen, and Bjtoto planning to return 50 sen capital on top of yearly dividend of 30 sen ... leno whack whack whack ...common sense mar ... after receiving 50 sen capital return, plus annual dividend, the share shoot up to RM 5.00 ... muahahahahahah ... eps goin down to 30 sen due to gambling tax increase, leno sell-off all in ONE GO..... common sense again mar.... Some years latter, I noticed that Berjaya Capital was a cash rich company with cash of about RM2.5 per BCap share. Some years before that, BCap had sold Prudential Insurance for cash of about RM790 m. However, B Cap was always trading at about RM2.0/share. I thought it is an opportunity for me to get back the money I lost to TSVT from the SToto to BLeisure + Right issue swapp cheating game. I bought 20,000 or 30,000 shares at around RM2.10/share and thought I should make my money back with good extra profit.
Guess what happen later? After holding for a few years, there was not much up or down movement which I could not understand. Then, BCap share price started drifting downwards and I cut lost at by selling at RM1.5, I think.
What came out latter was, BCap had loan all the RM800m cash it had to other TSVT companies and there were no collateral ! I have to admit defeat and recognised that these heartless sharks are just too clever and dangerous for small shareholders.

Thank you for your concern and advises. I bought Bjland recently (for trading purpose) still holding book gain. Agreed with you TSVT is a crook and now have no choice but to take bjland private (most likely by share swap with Bjcorp). In year 2007, I actually make profit from Bjland-LB.

so at the end of the day ... what lesson has he learn ? Did he learn the right lesson ? Since he learn already, does he make tons of money since then ? No ? If no ... could he just learn a wrong lesson ? Same event, but why got ppl make money while he lose ... on the same counter, same director ? Could the real lesson is ... HE SHOULD NOT invest in share market ? I am not goin to tell him what he should do. There are many types of ppl here ... some can even believe seeing a cat can bring down Bursa and even DJ index ... hmmmm ... INSAS CANTEEEEEEEEEEEEEEEEEKKKK !!!

汤国基：INSAS是BURSA最低估的股票

在渔村高呼＂我的股票是BURSA最被低估的股票＂是拿督斯里汤国基，他是英莎（INSAS 3379）创办人兼最大股东，英沙最新股价是RM0.73，市值大约为5亿7000万令吉。

〈一股一观点〉 略举一个例子，就可看到英莎被低估的情况，该公司持有半导体科技公司美昌益纳利（INARI 0166）的19.1%股权。INARI最新市值约为49亿8800万令吉，英莎手上的这批股票就值9亿5270万令吉。

单是这笔股票价值，就差不多是英莎市值一倍。

每股现金54仙股价73仙

还有英莎手上有两笔现金，一笔是5亿5368万令吉，一笔是1亿1463万令吉，扣除长期贷款3亿983万令吉和短期贷款2048万令吉，相等於每股现金54仙。

用美国投资大师彼得林治的观点来看，英莎股价RM0.735，减至54仙现金，其低估程度非常严重。

英莎每股净有形资产是RM2.59，然而过去十年，除了二零一四年和二零一七年两年，有几个月时间股价是高於RM1.00，其它大部份时间都是在60仙至80仙之间浮沉。

为什麽其每股净值那麽高，但是股价却一直在低位？分析员的看法是，英莎业务过於多元化，盈利表现不稳定，管理层又不愿派息回馈股东，因此无法吸引投资者持有其股票。

谈了英莎价值被低估和原因後，我们回到起点，大股东汤国基和弟弟汤国云明年二月需将手上的英莎凭单转换为母股。

英莎凭单（INSAS WB）最新股价是4仙，行使转换母股价格是RM1.00，明年二月廿五日满期。

汤国基持有31.45%或8341万张凭单WB，弟弟持有11.97%或3174万张凭单，两人需在明年转换所有凭单，合共需掏出1亿1515万令吉。

转换凭单将持61.66%英莎 汤国基或申请豁免

关键问题是，两兄弟将所有凭单转换後，两人将持有61.66%英莎股权，这将触动全面收购条例，那汤氏兄弟就需准备更多银弹。

为避免展开全面收购，汤国基正向有关当局申请可以豁免全面收购，以利英莎发展。

说回历史，英莎是在二零一四年时通过发行1亿3870万股优先股，发行价格RM1.00，筹1亿3870万令吉，以扩大股票行M&A的业务。

认购优先股（PA）可获配2张凭单，凭单期限五年，期满可以RM1.00转换为母股。

汤国基目前持有25.05%英莎，弟弟有11.19%，M&A持有18.77%，即汤国基通过直接和间接，共有55%英莎股权。

市场会注意到底汤国基会否获得大马交易所豁免全面收购，同时也会留意英莎股价变动。

英莎截至今年九个月净利为6391万令吉，营业额为1亿3300万令吉。

业务太过多元反是鸡肋？

若以英莎持有＂和氏璧＂，即各公司的股权来看，它是被严重低估，然而，叫投资者不愿投资金的事实是，过去十年来，其股价一直都在RM1.00以下，投资者没有机会赚到其差价。

英莎最值钱的资产就是手上的19.1%美日益纳利（INARI 0166）股权，它也持有OMESTI集团（OMESTI 9008）的10.18%股权，和合建筑（HOHUP 5169）的13.29%，DGS集团（DGSB 0131）的25.48%，成业家具（SYF 7082）的7.98%股权。

此外，它又通过OMESTI持有微想科技（MICROLIN 0126）的61.53%股权。

英莎业务非常多元化，包括股票行，信贷，金融科技P2P，租车，餐饮，奢华时装等。

旗下较出名的品牌包括DOME，M&A证，PACIFIC RENT A CAR。

奢华时装有CHLOE，ALAIA，ELLERY等。

一些投资大众因为看到INSAS的价值而买进，等了多年仍毫无成绩，又没有股息奖励，这一次汤国基要掏钱出来转换凭单，行使其责任，英莎股价会因此推高吗？

〈一股一观点〉 认为，英莎的潜能是否会爆发，是＂假以时日＂的问题，但是＂假以时日＂要多久呢？没有人有答案。
