Ambitions in Vietnam

In February 2007, Vincent Tan's Berjaya became the first Malaysian corporation to receive a license to invest and develop real estate in Vietnam. The company's projects spread from the north to the south and carried enormous funding. So far, the company has invested in nine large-scale projects in Vietnam, with a registered capital of $9.98 billion.

The corporation now has controlling stakes in three big hotels: Intercontinental hotel in Hanoi (75 per cent ownership), Sheraton hotel in Hanoi (70 per cent), and Long Beach Resort in Phu Quoc Island (70 per cent).

Berjaya Corporation has a range of other big projects in Vietnam, such as Thach Ban New Urban Zone in Hanoi (also known as Hanoi Garden City, $320 million), Vietnam Financial Center in Ho Chi Minh City ($930 million), five-star hotel/residential/shopping centre complex Bien Hoa City Square ($100 million), and Nhon Trach New City Center ($2 billion). Most recently, the company announced plans to look into resort projects in central Da Nang province.

There is also Saigon Bank Berjaya Securities company (SBBS), a joint venture between Saigon Bank and Ky Hoa Ltd., with a registered capital of VND300 billion ($13.2 million). Berjaya also holds a 49 per cent stake in fund management comnpany Thep Viet Capital, an equivalent of VND24 billion ($1.1 million).

Berjaya also entered a joint venture with several Vietnamese companies, such as Berjaya-D2D Ltd., a JV between Berjaya Leisure (Cayman) Limited (75 per cent ownership), a subsidiary of Berjaya Land Berhad, and Industrial and Urban Development JSC No. 2 (D2D). Another joint venture is Berjaya-Handico12 Ltd, between Berjaya Leisure (Cayman) Limited (80 per cent ownership), a subsidiary of Berjaya Land Berhad, and Hanoi Housing Development and Investment JSC No. 12 (Handico12), where the subsidiary holds20 per cent.

Although entering Vietnam with confidence, Berjaya faces a few challenges, such as a sluggish real estate market, which caused delays in its multibillion-dollar projects Vietnam Financial Center and Vietnam International University Township (VIUT) in Ho Chi Minh City.

Despite owning mega projects, Berjaya does not have good business results. Apartments and villas in Hanoi Garden City did not sell well due to the project’s less-than-ideal location, whereas the $3.5-billion VIUT in Ho Chi Minh City risks having its investment certificate revoked due to delays.

Vietnam Financial Center is still on paper only and has not been started: it is mainly used as a parking lot for nearby restaurants. Meanwhile, Nhon Trach Urban Area had its license revoked by the southern province of Dong Nai one year after the project's announcement because the investor did not start building or applying for an extension of the license.

Berjaya won the bid over five other international companies to become the first foreign investor to tap into Vietnam’s lottery market. Accordingly, Berjaya and Vietnam Lottery One-member Limited Liability Company (Vietlott), the only company in Vietnam allowed to sell computerised lottery, were awarded a $210.58-million contract to exclusively invest in and operate a computerised lottery project in Vietnam for 18 years. The deal was estimated to be worth $210.6 million.

The Vietnamese lottery market is worth about $3 billion. Although a newcomer, Vietlott aims to conquer 30 per cent of the market within a few years, which will bring in billions of dollars in revenue.

BVIUT, a cash injection of close to USD 600 million by Vinhomes, resulting a shareholding dilution to 0.8%.
the vin home cash injection of usd515 million into viut thus reducing bjland shareholding reduced to 0.8%....so the bjland original 99.2 % shareholding is worth USD 515 million....so who is getting this usd 515 million may i ask.... if bjland originally got 100% reducing to 0.8% after vinhome US$515 million injection...if vinhomes is paying to the vietnam government as deposit..then i believe Bjland will be released of its deposit too...

i dun think bjland can get the viut project 8 yrs ago without making any financial commitment...at least 10% deposit for such a huge project is need may b...so 515 million is about 10% of the 5billion usd project...

Injection doesn't meant bought. For example, I have a company with capital of 1m, then other inject 99m to my company. It doesn't means I will get 99m. But the company will have capital of 100m and I just hold 1% of share.

Such a easy & simple query. This is investors forums, to appeal investment or informed the cooperation activities. If TSVT make a deal that overall unprofessional or making loss to investors, the integrity is out. Maybe he asked you to gambling than invest.

so i suspect the 550 million is an upfront deposit for the viut project to the gomen...bjland deposited that to procure the license forVIUT..so now vinhome also need to deposit the same ammount to secure the license...thus relinquish bjland obligation...

Lol...if I owns a company with initial capital of 1m, nobody in his right mind will inject 99m when I still owns 100% of the company and controls the 100m in it's accounts after the injection...unless that somebody pays me compensation for me to give the right to somebody to own 99% of the company & its assets including the cash no?

y do they use the word disbursed ?becoz the fund is used from the registered capital of viut with the gomen...so when they stop developing the project the deposit stays at the bank thus incurring interest expense...so now they hav dispopsed it it is good news coz no more huge interest from idle cash

Lol...call it a day means BJland...exits the property biz for BVFC & BVIUT for cash...otherwise how can Vinhomes classify BVFC & BVIUT as subsidiaries in their prospectus during listing at Vietnam stock exchange? Oh yes..don't forget there is still one more unidentified Berjaya Vietnam subsidiary for sale for significant gains..

BERJAYA LAND: (MYR0.31) To reduce exposure in Vietnam for MYR155m; what’s next?

Berjaya Land’s (BLand) wholly-owned subsidiary, Berjaya Leisure (Cayman) Limited, proposed to dispose its entire 32.5% equity interest in Berjaya Vietnam Financial Center Limited (BVFC) for VND884.93b (~MYR154.4m) to Vinhomes Joint Stock Company and Can Gio Tourist City Corporation. The proposed disposal is expected to be completed in 2H18.

The proceeds from this disposal will be utilized for the group’s working capital. Although there is not much detail pertaining to the utilization of proceeds, this disposal will strengthen the group’s balance sheet. Upon the completion of this disposal, its net gearing could drop from 0.5x to 0.46x.

The proposed disposal will allow the group to divest its investment in BVFC. Note that the BVFC project was licensed in 2008 but had faced several hiccups which delayed the execution of the project. Notwithstanding that, management highlighted that the project has not yet commenced any operation. That said, the group will still incur a loss of about MYR25.1m from this disposal.

This disposal is likely a strategic move. It is understood that the Vietnam property market is still weak. Also, the disposal will help to build up a bigger cash position to meet its financial obligations. A quick glance at its 9MFY4/18 results, the group incurred a finance cost of ~MYR143.9m, resulting in the group slipping into a net loss of MYR97.4m. In other word, any savings in finance cost would have direct effect on its bottom-line.

Looking at the challenging property market in Vietnam, BLand’s future earnings hinge on: 1) toto betting operations and leasing of lottery equipment; 2) motor retailer; 3) hotel and resort, and club and others; and 4) property development in the domestic market as well as its three investment properties.

For toto betting operation, BLand is banking on its 40.2%-owned Berjaya Sports Toto (BToto). However, Maybank IB expects BToto’s earnings to be flat as two competitors launched new and popular games namely” Magnum Life” and “3+3D bonus”. These games offered a more attractive prices and might impact BToto’s earnings. Having said that, it could be mitigated by BToTo’s strong operations. BToto, which has approximately 680 outlets operating throughout the country, offering 7 games namely Toto 4D, Toto 4D Jackpot, Toto 5D, Toto 6D, Power Toto 6/55, Supreme Toto 6/58 and Grand Toto 6/63.

For motor retailer, BLand’s exposure is via its 93.38%-owned H.R. Owen Plc in United Kingdom. This unit is expected to see improvement in the Bentley franchise and used car operations on the back of improving confidence and sentiment of UK consumer. Note that manufacturing PMI in UK have improved from 53.9 to 54.4. The group also has a 70% stake in Berjaya China Motor S/B, and it is banking on new model, the Foton View C2 Chana Era Star II Semi Panel Van.

For hotels and resorts segment, the group would benefit from the global economic recovery. This, in turn, would drive tourism activities worldwide and benefit its hotel operations. Locally, BLand has Berjaya Langkawi Beach Resort, Ansa Kuala Lumpur, Berjaya Waterfront Hotel, Johor Bahru and etc under its stable while internationally, it has Four Seasons Hotel and Hotel Residences Kyoto in Japan, Berjaya Hotel Colombo, Sri Lanka, Berjaya Makai Hotel Philipines just to name a few.

On the domestic property market, the group is banking on various on-going projects such as Residensi Lanai at Bukit Jalil; The Peak @ Taman TAR; Jesselton Villas at Kensington Garden in Penang; just to name a few. Meanwhile, the group also own three investment properties: 1) Plaza Berjaya, Kuala Lumpur; 2) Kota Raya Complex, Kuala Lumpur and 3) Berjaya Megamall in Kuantan, Pahang, which have an collective average occupancy rate of 81%.

High finance cost and volatile earnings track record (at core levels) are some key concerns for BLand. That said, the group managed to report a core net profit of MYR130m in 9MFY4/
