POS Malaysia Bhd is in talks to sell its Islamic pawnbroking business held under Pos Ar-Rahnu Sdn Bhd to Bank Muamalat Malaysia Bhd, sources familiar with the matter tell The Edge.

While details are scarce, it is understood that the price tag is in the region of RM200 million.

When queried about the proposed sale, Pos Malaysia, via a spokesperson, says in an email reply, “Pos Ar-Rahnu will continue to explore business opportunities with potential partners that would create value for Pos Malaysia.”

A source says Pos Malaysia and Bank Muamalat have been treading cautiously as it is a related-party transaction.

Publicly traded Pos Malaysia is a 53.49% unit of diversified conglomerate DRB-Hicom Bhd, which controls 70% of Bank Muamalat. DRB-Hicom, in turn, is 55.92% controlled by businessman Tan Sri Syed Mokhtar Albukhary.

Syed Mokhtar’s key companies — MMC Corp Bhd, DRB-Hicom and the Tradewinds group — have been known to undertake many related-party transactions over the years, which has resulted in depressed valuations of publicly traded outfits in the group.

Financially, Pos Malaysia has been facing challenges. For its first three months of FY2021 ended March, the company suffered a net loss of RM46.78 million from RM595.28 million in revenue. In the previous corresponding period, it suffered a net loss of RM49.22 million from RM558.52 million in sales.

As at end-March this year, Pos Malaysia had deposits with licensed banks amounting to RM167.99 million and cash and bank balances of RM164.16 million. It had short-term debt commitments of RM422.46 million and long-term liabilities of RM222.38 million.

The courier and mail company’s reserves stood at RM26.33 million, down from RM72.01 million as at end-December last year.. Cash flow from operating activities was at RM19.77 million, down from RM36 million for the first three months of FY2020.

On its future prospects, Pos Malaysia says, “The challenges faced by Pos Malaysia due to the increase in Covid-19 cases and nationwide movement restrictions had affected its performance in the first quarter of this year. “The courier business was hit by temporary closures of two of its main parcel processing centres towards the end of 2020, [but] managed to successfully recapture lost ground in Q1FY21, as evident by a 9% quarter-on-quarter increase in parcels delivered. This momentum is expected to continue, which should bring a positive impact towards courier volume in the coming months.”

To put things in perspective, Pos Malaysia has suffered losses for 11 straight quarters, which could explain why it is contemplating the sale of Pos Ar-Rahnu.

A check with the Companies Commission of Malaysia shows that Pos Ar-Rahnu chalked up after-tax profits of RM6.79 million from RM29.72 million in revenue for the year ended December 2019. In FY2018, the Islamic pawnbroking company reported after-tax profits of RM12.51 million from RM42.18 million in sales.

As at end-December 2019, Pos Ar-Rahnu had total assets of RM352.28 million and total liabilities amounting to RM226.48 million. It had retained earnings of RM8.13 million.

In a nutshell, Pos Ar-Rahnu’s appeal is that it enables a borrower to get up to 75% margin of financing on the pawned items, and offers up to RM250,000 per borrower.

Other than Islamic pawnbroking, the company is also involved in selling gold bars, buying used gold, and other ancillary services such as storage and cleaning of gold. Pos Ar-Rahnu operates in 80 of Pos Malaysia’s branches across the country.

Bank Muamalat, meanwhile, has its roots in the merger of Bank of Commerce and Bank Bumiputra in 1999, which created Bumiputra-Commerce Bank, or BCB, which went on to become CIMB, the second largest banking group in the country. The merger of 1999 also resulted in the sale of 70% of Bank Muamalat to Khazanah Nasional Bhd for RM93 million. Bukhary Capital, the private vehicle of Syed Mokhtar, acquired 30% in Bank Muamalat in 2003 for RM155 million.

Bukhary Capital eventually increased its stake in Bank Muamalat to 70% but, in 2008, sold its entire stake to DRB-Hicom for RM1.07 billion. Khazanah still retains 30% in Bank Muamalat.

In the 2008 sale by Bukhary Capital to DRB-Hicom, a condition imposed by Bank Negara was for the conglomerate to eventually reduce its stake to 40%, which has not been met after more than 12 years, with the central bank giving several extensions.

While there have been several attempts by DRB-Hicom to merge Bank Muamalat or sell a strategic stake in or list it, all plans thus far have fallen through.

Pos Malaysia closed last Friday at RM83.5sen, translating into a market capitalisation of RM654 million. DRB-Hicom, meanwhile, ended trading at RM1.81, giving it a market value of RM3.5 billion.

Aviation segment contributed higher revenue of RM254.9 million and turnaround
to profit before tax of RM5.3 million mainly due to opening of borders with
increased number of flights resulting in higher cargo tonnage handled and
increased ground handling revenue during the year. In addition, higher number
of meals uplifted for commercial and umrah related flights has contributed
significantly to the in-flight catering business revenue.

Other segment which consists mainly of printing and insertion, digital certificates
and Ar-Rahnu, registered RM132.1 million revenue during the year, an increase
of 18% compared to last year mainly contributed by Ar-Rahnu.

FUTURE PROSPECTS
Pos Malaysia Berhad continued to make solid progress with its transformation plan even in a
weakening macroeconomic environment. The Group was able to maximise its yields and
efficiently utilize its assets.
Pos Malaysia’s business is cyclical and broadly follows economic trends. The year 2022 was a
year marked out by extraordinary challenges including economic uncertainty and high inflation,
resulting in reduced consumer spending. That along with accelerated insourcing of parcels from
the larger ‘platform’ sellers, use of ‘masking’ and heightened competitor activity, have all
resulted in a very challenging environment.
The ongoing challenges require continued structural changes. We will continue to focus on our
transformation, adjusting the business model and capacity, and tackling our unprofitable
segments. Our operations are characterized by high fixed costs, which makes it challenging to
quickly adapt capacity to changing volume trends.

One of the familiar Islamic banking and finance products used for short-term
collateralized borrowing is Islamic pawn broking or also known as ar-rahnuin
Malaysia. The rapid growth of ar-rahnu in term of profit and beneficial to
customer attract many organizations to offer this kind of product as an alternative
to conventional pawnshop. In 2013, Pos Malaysia Berhad as one of the famous
premier postal service providers in Malaysia offered ar-rahnu which called Ar-
Rahnu@ POS. Since ar-rahnu is a new product that offered by an organization
that is not familiar with Islamic finance product, therefore, this study aims to
inspect the customer’s intention to use Ar-Ar-Rahnu @ POS. This study based on
survey conducted at Post Office in the state of Kedah. A survey comprised of 200
respondents was carried out. A structured question was designed where the data was
analyzed by correlation Pearson and multi regression analysis. Results show that
customer service is the most influential variable on customer’s intention to use Ar-
Rahnu @ POS while syariah view, attitude and pricing give a moderate impact. It is
recommended that Post Office should do aggressive promotion, improve customer
service, make clear and transparent transaction that based on Islamic principle and
offer different and attractive package in order to attract new customer.

study aims to inspect the customer’s intention to use Ar-Rahnu @ POS in the state of
Kedah since it is a new service provided by Malaysia Post Office. A survey
comprised of 200 respondents was carried out. In addition, the use of syariah view,
attitude, pricing and customer service as the factors will helps the researcher to find
out the most factors that influence factor customer’s intention to use Ar-Rahnu @
POS. A structured question was designed where the data was analyzed by using t-
test, ANOVA, correlation and multi regression analysis. Results show that syariah
view, attitude, pricing and customer service are significantly important determinants
to predict customer’s intention to use Ar-Rahnu @ POS. The result from multiple
regression shows that the most influencing factor is a customer service.
Recommendation for the future research is security and confidentiality can be used
as one of the determinants to predict customer’s intention to use Ar-Rahnu @ POS.
In conclusion, this study is useful for the Post Office to planning better Ar-Rahnu
service for their customers in order to attract more customers to use their service.

KUALA LUMPUR (March 9): Pos Malaysia Bhd has launched its Sustainability Roadmap, which targets a 30% reduction in Scope 1 and Scope 2 emissions by 2025, and is committed to net zero carbon emissions for its operations by 2050.

Pos Malaysia delivers to more than 11 million addresses, has more than 7,400 vehicles and one of Malaysia’s largest real estate portfolios, it said in a statement.

The group is already using electric bikes across Kuala Lumpur, with plans to have 200 of them in operation by the third quarter of 2023. By 2025, 28% of the entire fleet will be electric, and 100% by 2030, it said.

It already has three facilities with solar panels generating an estimated three million kWh of electricity annually capable of powering 282 homes a year.

“Apart from its carbon emissions reduction commitment, Pos Malaysia is also looking to recycle 50% of operational waste by leveraging technology and reducing overall waste generation.

“We aim to play a part in the circular economy by increasing renewable and recyclable inputs for all packaging products to 80%, and migrating 50% of staff training to a digital platform,” it said.

Communications and Digital Minister Fahmi Fadzil, who launched the road map, said that “sustainable development has become an essential element of postal operations due to environmental concerns”.

“Hence, it is encouraging to see that Pos Malaysia, an organisation under the purview of the Ministry of Communications and Digital, is cementing its commitment with the Sustainability Roadmap to achieve its decarbonising targets,” Fahmi said.

Pos Malaysia group chief executive officer Charles Brewer said the mail and parcel services provider’s climate commitments address its operations “from all angles”.

“We will transform our fleet to electric, retrofit our buildings, source renewable energy, and educate our fantastic employees on how to be better.

“We will collaborate with our suppliers, customers and partners to meet our science-based targets, while encouraging all [in] our Pos Malaysia team to reduce emissions and take action,” Brewer said.

Pos Malaysia’s sustainability road map is in line with the country’s target to be carbon-neutral by 2050. The nation is a signatory to the Paris Agreement with the ambition of reducing greenhouse gas emissions intensity by 45% against its gross domestic product by 2030.

Shares in Pos Malaysia traded unchanged at 57 sen on Thursday (March 9), giving the group a market capitalisation of RM461.83 million.

A common misconception people have about the pawnbroking business is that it performs well during tough times and badly during good times. But Pappajack Holdings Bhd group managing director and CEO Lim Boon Hua tells The Edge that the group, which offers pawnbroking services, does well in good times too.

“Our financial results were good in 2020 because of the injection of shareholders’ funds in 2019. Then, in 2021, revenue fell as borrowers received cash aid such as the Bantuan Prihatin Nasional from the government as well as the special one-off Employees Provident Fund (EPF) withdrawals, which boosted the market with cash flow.

“We believe the outlook for 2023 and 2024 will be good because MSMEs (micro, small and medium enterprises) are growing their businesses now that the economy has ­reopened. The pawnbroking business does well during both tough times (as people need cash to survive) and good times (as owners of MSMEs need cash to grow their businesses),” he explains.

Recall that long lines were seen at pawn shops when Covid-19 restrictions were eased at the end of the first Movement Control Order in 2020. Lim explains that this was because borrowers were queuing to redeem their pledges, service their loans or pawn items as pawnbrokers were closed during the first MCO.

With higher interest rates and government aid or EPF withdrawals spent, Pappajack also saw a pickup in its business.



While there may be negative connotations associated with pawnbroking services, Pappajack sees itself as being in a unique position given its corporate structure. Furthermore, its flotation exercise last year has raised its profile while lending credibility to the money lender.

Pappajack, which debuted on the ACE Market of Bursa Malaysia last April, is the first — and only — licensed pawnbroking group on the bourse.

With an initial public offering price of 30 sen per share, the exercise raised RM50.1 million, of which RM27.08 million was allocated as capital for Pappajack’s then 20 pawnbroking outlets, RM19.22 million on funding the expansion of pawnbroking outlets and the remaining RM3.8 million, for listing expenses.

It now has 30 pawnbroking outlets — all in Peninsular Malaysia. Each outlet operates as a subsidiary with its own pawnbroking licence from the Ministry of Local Government Development (KPKT).

Pappajack’s pawn shops, most of which are situated next to banks for visibility and accessibility, accept gold and luxury watches as pledges, offering up to 90% and 80% of the spot value for the respective items.

Each pawn ticket is valid for six months, and expired tickets can be renewed. Customers who can only serve the interest amount (repawn) do not pay the principal sum and are issued a ticket for another six months.

“We offer up to RM10,000 per ticket, with the average ticket valued at between RM2,000 and RM3,000. The pledges of customers who don’t return upon the expiry of the ticket or who don’t have any extensions to redeem or repawn are then auctioned publicly. We will bid for the items and sell them to gold bullion companies. This is how we recoup cash from defaults, therefore our risk is quite low. Up to 99% of our portfolio comprises gold jewellery, with watches making up the balance,” says Lim.
