NEW DELHI: India’s Tata Sons Ltd may increase its stake in AirAsia India to 51 per cent by buying the shares held by two minor partners, the Times of India reported today.

AirAsia Group Bhd and Tata Sons each have 49 per cent stake in the India-based airline while the remaining two per cent stake is held by AirAsia India Chairman S. Ramadorai and Non-Executive Director R. Venkataramanan.

Following the acquisition, Tata Sons will gain control of the airline.

Under Indian laws, a foreign entity cannot have a controlling stake in a domestic carrier.
owning 49 per cent, and Indian partners Tata Sons and businessman Arun Bhatia’s Telestra Tradeplace Pvt Ltd controlling 51 per cent shareholding.

Bhatia left the venture in 2016 after selling his 9.94 per cent stake to Tata Sons, Ramadorai and Venkataramanan.

The Times of India, citing an unnamed source, reported that the board of Tata Sons had discussed acquiring Ramadorai and Venkataramanan’s stakes in AirAsia India but no date was fixed to close the transaction.

The Board of Directors of AirAsia Berhad (“AirAsia” or “the Company”) wishes to announce that the Company has adopted a dividend policy to pay an annual dividend of up to 20% of the net operating profit earnings per share (per the audited financial statements of the Company), rounded to the nearest whole sen number, provided that such distribution will not be detrimental to the Company’s cash flow requirements. This dividend policy shall commence for the financial year ending 31 December 2013. The Board of Directors of AirAsia had also recommended a final single tier dividend of 6 sen per ordinary share of RM0.10 in respect of the financial year ended 31 December 2012, payable in cash to the holders of ordinary shares of the Company, subject to the approval of the shareholders at the forthcoming Annual General Meeting of the Company to be convened on a date to be announced later, at the entitlement and payment dates to be determined and announced at a later date. The single tier dividend is tax exempt in the hands of the shareholders pursuant to paragraph 12B of Schedule 6 of the Income Tax Act, 1967. The notice of dividend entitlement and payment shall be announced and advertised at a later date. This announcement is dated 26th day of February 2013.

Meanwhile, AllianceDBS Research said AirAsia’s outlook remains steady as market leader in the industry with 41.7% market share.

“Expansion plans are under way with 18 new aircraft for 2019. Available seat kilometres (ASK) is expected to grow at 9.8% and revenue passenger kilometres at 10.1% backed by load factors of 84.7%. Subdued fuel prices would help support earnings,” it said.

PETALING JAYA: In just three days, the share price of AirAsia Bhd rose 36 sen or 13.8% on talks that the airline has received the proceeds from the sale of its aircraft leasing unit.

The share price rose from RM2.60 a share three days ago to close yesterday at RM2.96.


“The proceeds from the aircraft leasing unit could be driving the rise in share price as investors are expecting a windfall in a form of a special dividend,’’ said an industry source.

“We expect the dividend payout to be anything from 75 sen to 91 sen a share,’’ he added.

The figure could not be verified but the airline company did announce to Bursa Malaysia in March this year that about RM2.615bil (based on the exchange rate of RM3.9985:US$1) or 74.4% of the proceeds “shall be distributed as a special dividend with the quantum to be determined” after the monies have been received.

In March, AirAsia announced the disposal of its leasing unit, Asia Aviation Capital Ltd (AAC) to BBAM Ltd Partnership for US$1.18bil (RM4.619bil), and at that point, analysts were speculating a windfall for shareholders in the region of 60 sen to 70 sen a share.

The sale to BBAM, the world’s third-largest aircraft lessor, will see AirAsia raking in proceeds of RM3.8bil.

The deal involves the sale of 182 current and future aircraft with engines.

“Now that the funds are in, the management will likely meet in the coming days to decide on the quantum of special dividend payout the market is expecting.

“The announcement on the quantum is likely to be announced when AirAsia announces its third quarter financial results planned for Nov 22,’’ the executive said.

“Our target price incorporates an expected dividend payment amounting to 91 sen per share. Of this, 84 sen per share is expected to come from the sale of 84 aircraft and 14 engines to BBAM LLC,’’ CGSCIMB Research said in a note recently.

It added that “since the US dollar has strengthened to RM4.17 (from RM3.9985 when the sale was announced), we lift our potential dividend expectations from the BBAM transaction from 75 sen to 84 sen.’’

Based on AirAsia’s latest update on the BBAM transaction as at end- October, all of the 84 aircraft and 14 engines have been successfully sold to BBAM except for five remaining aircraft which will be sold in November.

CGSCIMB said it expects a further 7 sen a share in dividend to come from the US$60mil in disposal proceeds from the sale of the 25% stake of AAE Travel to Expedia as announced in August this year.
