Mikecyc🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣🤣. If all this while sslee is telling the truth, how can Cap A can fly up to the sky from 67sen on 18th April 2024 to 90sen in just 2 weeks + on 7th May 2024. After that it just hovering between 90 sen to today 84 sen. Just a matter of 6 sen below the peak for > 1 month lo. Thats d sign its flying higher to Rm1 or higher. Now everybody can fly. Air Asia will ensure nobody hurts even theres turbulence. But fasten ur seatbelt pls.........

Referring recent announcement of divestment of The Group aviation to AAX

The divestment of AirAsia Aviation Group Ltd (AAAGL) is expected to give rise to a pro forma gain of RM4.69 billion to Capital A, while the disposal of AirAsia Bhd (AAB) would result in a gain of RM6.07 billion

I’m afraid the deal is a zero sum game. What The Group gains is AAX losses: AAX after the acquisition of AAAGL and AAB the total borrowing and lease liabilities is RM 23,271,794,000 gearing 23.96 times.

Question 32: External Auditor what is the likelihood that AAX/New Aviation Group default on payment on current liabilities: Lease liabilities, borrowing, aircraft maintenance, trade and other payables, etc?

Question 33: Company Secretary If a default happens; will the BOD of both CapitalA and AAX end up in jail for offences of Wrongful/Fraudulent trading under Company Act 2016 section 540 and Section 539?

Wrongful Trading
In the CA 2016, an offence of wrongful trading is captured in section 539(3) that:
“…an officer of the company who knowingly was a party to the contracting of a debt had, at the time the debt was contracted, no reasonable or probable ground of expectation, after taking into consideration the other liabilities, if any, of the company at the time, of the company being able to pay the debt, commits an offence…”

Fraudulent Trading
Whereas section 540(1) of the CA 2016 stipulates an offence of fraudulent trading as below:
“If it appears…that any business of the company has been carried on with intent to defraud the creditors of the company or creditors of any other person or for any fraudulent purpose, the Court may declare that any person who was knowingly a party to the carrying on of the business in that manner shall be personally responsible…”

If an offence under section 539(3) has been made out, offenders may be punishable with a maximum imprisonment of 5 years or a maximum fine of RM500,000, or both. Reading together with section 540 of the CA 2016, it is added that the offender may even bear personal liabilities for the payment of the whole or any part of the company’s debt without any limitation of liability upon a court’s declaration

Question 34: If capital A needs to be delisted from Bursa to get more time and space to do a proper capital-raising and restructuring plan and relist in the future, will BOD do so rather than a rush job that might land everyone in a bad place?

Many months ive been reading @ your -ve info on Cap A n Aax. I really got sick since i bought some shares in both co. Sometime i got no confident in this 2 counters. But when i studied the 1 year graph of Cap A, d price was 78sen on 20/6/23 n went up to Rm1.09 on 16/8/23. It dived to 81.5sen on 23/10/23. Went up again to 91sen on 28/11/23 n dived again to 66.5sen on 18/1/24. Up to 73.5 on 20/2/24 b4 went down to 0.68 on 8/3/24 further down to 0.65 on 19/4/24. Up again to 0.90 on 7/5/24. Downed to 0.81, 9 days ago and now at 0.855. What we can see from this price movement? Its a roller coaster. Why? 1. Cos theres short sellers n sharks. 2. People like u who without fail giving -ve info. If u dont like this 2 counters just leave us here to decide. We r not small children who know nothing. Everyday We read news @ Air Asia via online and from analysts. Some of us know how to do the technical analysis. Just leave us to make decision whether to buy or to sell. To me with this type of price movement ill rather buy low n sell high while waiting for a permanent good news when ill invest for long term gain. T you.

Fact check:
AAX survive because of Debts restructure (pay just 0.5% of debts owed), capital reduction and 10 to 1 consolidation.

Do you think CapitalA can survive as a listing company without a debts restructure?

Anyway already too late for debts restructure as creditors are smart now to demand payment for every debts with interest.

CapitalA suspension and delist from bursa is inevitable. But you still can be a shareholders of unlisted CapitalA and do the Bollywood dance with Stony during yearly private AGM meeting.

This morning while Bursa is down Capital A rise in tandem with Singapore Airlines.

When AirAsia was founded in 2001, our vision was clear: to establish a low-cost airline model focused on simplicity and cost-efficiency, primarily operating single-type narrowbody aircraft optimised for short-haul flights. To capture the medium-haul market, AAX was created in 2007 adhering to the same principles of low-cost, and efficient operations. The emergence of Airbus’ A321LR and A321XLR, is an unprecedented, game-changing opportunity.

Capital A’s shareholders’ equity to turn positive for the first time in 14 quarters following the divestment, while AirAsia X's shareholders’ equity to also strengthen post-transaction

AirAsia Group to fortify its position as the largest low cost carrier in Asia, with a win-win “One Airline” strategy set to transform the face of global low cost travel

Capital A is undergoing significant restructuring. After issuing warrants and placement, AAG (the company) aims to reduce its share capital from RM4.05 billion to RM100 million.

This reduction will eliminate accumulated losses totaling RM3.27 billion. Meanwhile, Capital A’s share capital is projected to decrease by RM2.2 billion to RM6.46 billion, resulting in positive shareholders’ equity at RM492.8 million. If all outstanding RCUIDS and warrants are exercised, the projected shareholders’ equity would be RM1.67 billion following the proposed distribution and disposal of AAB.

Kenanga Investment Bank Bhd highlights anticipated gains from divestment, totaling RM10.8 billion, which is expected to offset the negative shareholder equity and help the company exit the PN17 status.

Dont expect those that attended the AGM give you the answer when you dont even bother to attend.

I posted many questions prior meeting, almost all are answered either during Tony presentation or Q&A.
The sincere communication shown by Tony and BOD are exemplary to other companies AGM.
Whether choose to invest in Capita A or not is personal choice.
The way the companies are professionally managed and the wiliness of BOD to communicate should be appreciated not brush off due to biased opinion.
